A RESOLUTION OF THE COUNCIL OF THE CITY OF SAN
JOSE AUTHORIZING THE CI TY MANAGER, OR HER
DESIGNEE, TO NEGOTIATE AND EXECUTE A
MEMORANDUM OF UNDERSTANDING TO SECURE A
PERFORMANCE AND PARTNERSHIP AGREEMENT AND
A COMMUNITY BENEFIT AG REEMENT WITH TOKAY
ENERGY STORAGE 1, LLC
WHEREAS, the City of San José (“City”) City Council desires to adopt this resolution for the reasons set forth in t he memorandum, dated August 11, 2026, from the Director of Public Works and Matt Loesch for the August 25September 1 , 2026 City Council meeting (“Memorandum”);
NOW, THEREFORE, BE IT RESOLVED BY THE CO UNCIL OF THE CITY OF SAN JOSE THAT:
The City Manager, or her desi gnee, is hereby authorized to negotiate and execute a Memorandum of Understanding to secure a performance and par tnership agreement and a Community Benefit Agr eement with Tokay Energy Storage 1, LLC for the purposes described in the Memorandum.
