WEST VALLEY SANITATION DISTRICT OF SANTA CLARA COUNTY
FOR

CONSTRUCTION, OPERATION AND MAINTENANCE

OF JOINT USE SANITARY SEWERS

THIS AGREEMENT is made and entered into this _________ day of ___________, 2026 by and between the CITY OF SAN JOSE, a municipal corporation of the State of California (hereinafter “CITY”) and WEST VALLEY SANITATION DISTRICT OF SANTA CLARA COUNTY (formerly County Sanitation District No. 4), a county sanitation district organized and existing pursuant to the provisions of the Health and Safety Code of the State of California, Division 5, Part 3, Chapter 3 (hereinafter “DISTRICT”).

RECITALS
WHEREAS, on June 25, 2002, City and District (“Party” individually or “Parties” collectively) entered into an agreement entitled “Cost-Sharing Agreement between City of San José and West Valley Sanitation District of Santa Clara County for Construction, Operation and Maintenance of Joint Use Sanitary Sewers” (“Agreement”); and

WHEREAS, the term of the Agreement was retroactive to July 1, 2000 through June 30, 2020; and

WHEREAS, on June 30, 2020, the Parties executed a First Amendment to the Agreement which extended the term of the Agreement by two (2) years through June 30, 2022 (“First Amendment”); and

WHEREAS, on May 24, 2022, the Parties executed a Second Amendment to the Agreement which extended the term of the Agreement by another three (3) years through June 30, 2025 (“Second Amendment”); and

WHEREAS, on June 17, 2025, the Parties executed a Third Amendment to the Agreement which extended the term of the Agreement by one (1) year through June 30, 2026 (“Third Amendment”); and

WHEREAS, CITY and DISTRICT now wish to enter into a NEW AGREEMENT to set forth their respective rights, privileges and obligations with respect to sharing the cost for operation and maintenance, installation, construction and rehabilitation of those sanitary sewers used jointly by CITY and DISTRICT.

NOW THEREFORE, for and in consideration of their mutual promises, and subject to the terms, provisions and conditions hereinafter set forth, CITY and DISTRICT agree as follows:

I. DEFINITIONS

For the purpose of this AGREEMENT, the following words or terms shall be defined as follows:

A. ANNUAL CAPITAL IMPROVEMENT PROGRAM. An annual list of Capital Improvement projects recommended for construction, as more particularly described in Section IV of this AGREEMENT.

B. CAPACITY. “Capacity” is the maximum volume of flow, expressed in million gallons per day (MGD), that any given reach of sanitary sewer line can convey at two-thirds depth of pipe.

C. CAPITAL IMPROVEMENT. “Capital Improvement” refers to a project to construct, rehabilitate or replace a Joint Use Sewer Line and appurtenances, and all activities necessary and incidental thereto, including, but not limited to financing, planning, designing, engineering, acquiring property or property interests, preparing documents, reports and specifications, obtaining consultant services, performing related administrative services, relocating utilities, performing inspections, and acquiring insurance.

D. CITY-OWNED SEWER LINES. “City-Owned Sewer Lines” are those sanitary sewer lines owned and operated by CITY, and within the jurisdiction of CITY, which are not part of the Joint Use Sewer System.

E. DISTRICT-OWNED SEWER LINES. “District-Owned Sewer Lines” are those sanitary sewer lines owned and operated by DISTRICT, within the jurisdiction of DISTRICT, which are not part of the Joint Use Sewer System.

F. FISCAL YEAR. “Fiscal Year” refers to the twelve-month period commencing July 1st of any given calendar year and ending June 30th of the succeeding calendar year.

G. FLOW. “Flow” is the average dry weather flow expressed in million gallons per day (MGD).

H. JOINT USE SEWER LINE. “Joint Use Sewer Line” means any existing or future sewer line, twelve (12) inches in diameter and larger, which conveys sewage from both CITY and DISTRICT to the San José-Santa Clara Regional Wastewater Facility pursuant to the terms of this AGREEMENT.

I. JOINT USE SEWER SYSTEM. “Joint Use Sewer System” means all Joint Use Sewer Lines within the Jurisdiction of the CITY and the Jurisdiction of the DISTRICT. The Joint Use Sewer System existing as of the date this

AGREEMENT is executed is shown in Exhibit “A” of this AGREEMENT, entitled “Joint Use Sewer System Location Map”.

J. JURISDICTION OF THE CITY. “Jurisdiction of the CITY” means all areas with Joint Use Sewer Lines outside the Jurisdiction of the DISTRICT, as shown in Exhibit “A”.

K. JURISDICTION OF THE DISTRICT. “Jurisdiction of the DISTRICT” means all areas with Joint Use Sewer Lines within the boundaries of the DISTRICT, as shown in Exhibit “A”.

L. LEAD AGENCY. “Lead Agency” means the CITY for any Joint Use Sewer System capital improvement project located within the Jurisdiction of the CITY and the DISTRICT for any Joint Use Sewer System capital improvement project located within the Jurisdiction of the DISTRICT. For a particular Joint Use Sewer System capital improvement project, the CITY and DISTRICT may mutually agree in writing that a different Party is the Lead Agency.

M. OPERATION AND MAINTENANCE. “Operation and Maintenance” refers to the regular and ongoing administration, management, operation, maintenance and repair of Joint Use Sewer Lines. Operation and Maintenance shall include, but not be limited to, cleaning, routine repairs, sewage treatment within the collection system, flow monitoring, inspections, televising lines, testing, mapping, studies, coordination with other agencies, and all related administrative services.

Operation and Maintenance shall not include anything that constitutes a Capital Improvement.

N. PERCENT CAPACITY. “Percent Capacity” means the percentage of capacity in a Joint Use Sewer Line or in the overall Joint Use Sewer System reserved for each of the Parties, CITY and DISTRICT.

O. REIMBURSING AGENCY. “Reimbursing Agency” means the Party to this AGREEMENT that is not the Lead Agency for any Joint Use Sewer System capital improvement project.

P. REACH. “Reach” refers to any continuous length of a Joint Use Sewer Line with equal capacity between any two access entry points.

Q. SEWER ADVISORY BOARD. “Sewer Advisory Board” means that board more particularly described in Section V of this AGREEMENT.

II. OWNERSHIP AND OPERATION OF THE JOINT USE SEWER SYSTEM

The CITY and DISTRICT each have ownership interests in the Joint Use Sewer System based on their respective Percent Capacities in each Joint Use Sewer Line. All decisions with respect to the planning, design, construction, administration, management, repair, installation, rehabilitation, operation and maintenance of that portion of the Joint Use Sewer System located within the Jurisdiction of the CITY shall rest with the CITY, in consultation with the Sewer Advisory Board. All decisions with respect to the planning, design, construction, administration, management, repair, installation, rehabilitation, operation and maintenance of the Joint Use Sewer System within the jurisdiction of the DISTRICT shall rest with the DISTRICT, in consultation with the Sewer Advisory Board.

B. OPERATION AND MAINTENANCE RESPONSIBILITIES.

The responsibility for the Operation and Maintenance of the Joint Use Sewer Lines shall be borne as follows:

1. The CITY is responsible for performing the Operation and Maintenance of existing and future Joint Use Sewer Lines, including any part thereof, located within the Jurisdiction of the CITY. The DISTRICT shall pay to the CITY a portion of the annual Operation and Maintenance costs incurred by the CITY. The DISTRICT’s portion of such annual Operation and Maintenance costs shall be calculated based on the DISTRICT’s Percent Capacity in each Joint Use Sewer Line maintained by the CITY and the identified cost share percentage as shown in Exhibit “C-1” in this Agreement, entitled “CITY Operations and Maintenance Worksheet”.

2. The DISTRICT is responsible for performing the Operation and Maintenance of existing and future Joint Use Sewer Lines, including any part thereof, located within the Jurisdiction of the DISTRICT. The CITY shall pay to the DISTRICT a portion of the annual Operation and Maintenance costs incurred by the DISTRICT. The CITY’s portion of such annual Operation and Maintenance costs shall be calculated based on the CITY’s Percent Capacity in each Joint Use Sewer Line maintained by the DISTRICT and the identified cost share percentage as shown in Exhibit "C-2" in this Agreement, entitled “DISTRICT Operations and Maintenance Worksheet”.

3. In calculating the costs of Operation and Maintenance, both Parties shall include direct and overhead costs incurred in the administration, management, operation, maintenance and repair of Joint Use Sewer Lines.

4. Each Party is responsible for invoicing the other Party for its respective share of the annual costs of Operation and Maintenance on or before September 30 immediately after the completion of the Fiscal Year. Each Party shall pay the amount set forth in the invoice within sixty (60) calendar days from the date of each Parties invoice.

5. The Operation and Maintenance costs charged by CITY to DISTRICT beginning Fiscal Year 2026-2027 shall be based on the CITY’s Operation and Maintenance Actual Expenditures for Fiscal Year 2025-2026 and recalculated and modified every fiscal year thereafter based on actual Maintenance and Operation Expenditures of the preceding fiscal year until the expiration of this AGREEMENT. The calculated percent Operation and Maintenance costs share of the DISTRICT will remain the same for each fiscal year period, unless there are unforeseen changes in the law or regulations that result in a significant increase or decrease in capacity allocation.

6. The Operation and Maintenance costs charged by DISTRICT to CITY beginning Fiscal Year 2026-2027 shall be based on the DISTRICT’S Operation and Maintenance Actual Expenditures for Fiscal Year 2025- 2026 and recalculated and modified every fiscal year thereafter based on actual Maintenance and Operation Expenditures of the preceding fiscal year until the expiration of this AGREEMENT. The calculated percent Operation and Maintenance costs share of the CITY will remain the same for each fiscal year period, unless there are unforeseen changes in the law or regulations that result in a significant increase or decrease in capacity allocation.

7. Each Party is responsible for maintaining appropriate ledgers, books of account, invoices, vouchers, cancelled checks, and other such records and documents evidencing the cost of Operation and Maintenance incurred to operate and maintain the portion of the Joint Use Sewer System located within its respective jurisdiction. Each Party shall maintain such documents for a minimum period of three (3) years, or for any longer period required by law, from the end of the fiscal year in which the payment is incurred. Said records and documents shall be subject to reasonable inspection by any authorized representative of the Parties to this AGREEMENT.

C. REGULATORY COMPLIANCE.

1. Each Party will comply with all applicable laws, rules and regulations, including their respective regulatory obligations associated with discharge of wastewater into their respective separate sewer line systems and from such separate systems into the Joint Use Sewer System.

2. Each Party, CITY and DISTRICT, is responsible to Operate and Maintain the Joint Use Sewer System within their respective jurisdictions consistent with all applicable laws, rules and regulations, and in a way that prevents stoppages and/or overflows within the sewer system of the other Party.

Costs of said overflows, including emergency procedures, cleanup, claims, damages, and fines or penalties shall be borne by the responsible Party. Each Party is responsible, to report to the other Party within

twenty-four (24) hours, sanitary sewer overflows of the joint use sewer system within its jurisdiction.

III. CAPACITY PROVISIONS

A. CAPACITY RIGHTS. In consideration of the terms of this AGREEMENT, CITY and DISTRICT both have contractual rights to discharge wastewater to the Joint Use Sewer System up to the limits of their respective Percent Capacity in each Joint Use Sewer Line as set forth in Exhibit “B,” entitled “Trunk Sewer Worksheet,” which is attached hereto.

B. GIVING UP PERCENT CAPACITY. Either Party to this AGREEMENT can agree, in writing, to give the other Party its Capacity rights in a particular Reach of the Joint Use Sewer System. Exhibits “A”, “B”, “C-1” and/or “C-2” shall be amended as appropriate to reflect any such agreement.

C. REDUCTION IN CAPACITY. The Parties agree that if and when the Capacity of any of the Joint Use Sewer Lines and System is reduced because of obsolescence, damage, or any other reason, the Percent Capacity reserved for each Party in each Reach shall remain the same.

D. INCREASE IN CAPACITY. This subsection shall apply whenever a Capital Improvement increases Capacity in a Reach.

1. Unless otherwise mutually agreed in writing, the additional Capacity shall be allocated between the Parties based upon the net contribution of funds contributed by each Party to the completion of the Capital Improvement.

As used herein, net contribution of funds means the total amount of funds contributed by the Parties to the AGREEMENT after deducting any grant funds awarded for the Capital Improvement. Each Party’s Percent Capacity in the Reach following completion of the Capital Improvement shall be determined as follows: (1) the new Capacity allocated to a Party because of the Capital Improvement will be added to that Party’s allocation of Capacity existing before the Capital Improvement, and (2) the resulting sum shall be expressed as a percent of new Capacity in the Reach.

2. By means of example only, assume that a Reach has a Capacity of 100 million gallons per day. The Capacity allocated to the CITY is 75 million gallons per day and the Capacity allocated to the DISTRICT is 25 million gallons per day. Further assume that the Capital Improvement will increase Capacity by 10 million gallons per day. The CITY and District will each pay for construction of the Capital Improvement in an amount equal to their Percent Capacity in the Reach.

The CITY’s new Percent Capacity in the Reach would be 75 million gallons plus 7.5 million gallons, the sum of which would be divided by 110 million gallons per day and expressed as a percent. The DISTRICT’s new Percent Capacity in the Reach would be 25 million gallons per day plus

2.5 million gallons per day, the sum of which is divided by 110 million gallons per day.

3. Exhibits “A”, “B”, “C-1” and “C-2” shall be amended as appropriate to reflect any changes in Capacity and Percent Capacity resulting from a Capital Improvement.

E. The CITY’s Director of Public Works and the DISTRICT’s Engineer are authorized to execute any modifications to Exhibits “A”, “B”, “C-1” and “C-2” as required by this Section III.

IV. CAPITAL EXPENDITURE PROVISIONS

A. CAPITAL IMPROVEMENT COST SHARING. Subject to the provisions set forth herein, each Party to this AGREEMENT shall share on a proportionate basis all costs associated with construction of each Capital Improvement. Each Party’s proportionate share shall be based on its respective percentage of Capacity, as set forth in Exhibit “B”.

B. ANNUAL REVIEW OF CAPITAL IMPROVEMENT PROGRAM. At least one hundred and twenty (120) calendar days prior to the beginning of the Fiscal Year, each Party to this AGREEMENT shall submit to the other Party, its list of proposed Capital Improvement projects for the new Fiscal Year. The list of proposed Capital Improvement projects shall describe the proposed project briefly and set forth the estimated costs to be paid by each Party.

1. A combined list of all proposed Capital Improvement projects shall be submitted to the Sewer Advisory Board for review. The Sewer Advisory Board shall reach a consensus agreement about which Capital Improvements are to be included in the Annual Capital Improvement Program. If the Parties can not agree to include a particular Capital Improvement in the Annual Capital Improvement Program, then that project shall not be included.

2. Construction of any Capital Improvement on the Annual Capital Improvement Program shall be subject to approval by the governing bodies of the CITY and DISTRICT, and to the appropriation of sufficient funds by each entity.

C. LEAD AGENCY RESPONSIBILITIES. The Lead Agency is responsible for initiating, planning, financing (subject to Section IV.D.), designing, constructing,

inspecting and approving each of the Capital Improvements to Joint Use Sewer Lines and Systems identified in the Annual Capital Improvement Program. 1 . The Lead Agency shall not award a construction contract for a Capital Improvement contained in the Annual Capital Improvement Program until receiving documentation from the Reimbursing Agency that the governing body of the Reimbursing Agency has appropriated funds for the project in the amount of the Reimbursing Agency’s obligation.

2. In all construction, consultant and other contracts related to a Capital Improvement contained in the Annual Capital Improvement, the Lead Agency shall require that the Reimbursing Agency be named as an additional insured.

D. PROVISIONS FOR CAPITAL COST REIMBURSEMENT. If a Capital Improvement from the Annual Capital Improvement Program is constructed, the Reimbursing Agency will reimburse the Lead Agency the proportionate share of incurred costs of the Capital Improvement as follows:

1. The Lead Agency shall invoice the Reimbursing Agency within sixty (60) calendar days of the sixth month on or before September 30 after the completion of each Fiscal Year for the Reimbursing Agency’s proportionate share of any additional costs of the Capital Improvement incurred since the last invoice or not included in the previous invoice. Each invoice shall include sufficient documentation for the Reimbursing Agency to verify the costs set forth therein. The Reimbursing Agency shall pay the Lead Agency the amount set forth in the invoice within sixty (60) calendar days of receiving the Lead Agency invoice.

2. The amount appropriated by the governing body of the Reimbursing Agency for the project shall constitute the maximum amount of the Reimbursing Agency’s contribution to the Capital Improvement. If the amount appropriated by the Reimbursing Agency is insufficient due to additional project costs, then the Parties shall meet and confer in good faith to determine whether to continue with the project.

E. REIMBURSING AGENCY REVIEW OF CAPITAL IMPROVEMENT PROJECTS.

Lead Agency shall allow and make provision for the Reimbursing Agency to review and comment on the plans and specifications on all Joint Use Sewer Line and System projects in which the Reimbursing Agency has more than twenty-five (25%) percent Capacity rights. Lead Agency shall submit to the Reimbursing Agency a ninety percent (90%) completion set and a final signed set of project plans and specifications and engineer’s estimate for review and comment. The Reimbursing Agency shall provide any comments it has on the plans and specifications within twenty-one (21) days after receiving them for review. The Lead Agency shall not proceed with the construction of the Capital Improvement

project until it has received, and considered in good faith, the comments of the Reimbursing Agency. Failure of the Reimbursing Agency to comment within the twenty-one (21) day period constitutes a waiver of the above requirement.

Although the Lead Agency must consider in good faith the comments of the Reimbursing Agency, said comments are advisory only, and nothing in this provision of the AGREEMENT shall require Lead Agency to change or alter intended scope of work, except as required by any encroachment permits issued pursuant to Section IV.F.

F. AGREEMENT TO SWITCH ROLES. By mutual written agreement of the Parties, one Party may act as the Lead Agency for an approved Capital Improvement project that is located in the other Party’s jurisdiction. In such situations, the following provisions govern:

1. Except as otherwise provided herein, the Party within whose jurisdiction the approved Capital Improvement project is being built shall be the Reimbursing Agency and shall have all the rights, responsibilities and obligations of a Reimbursing Agency set forth in this Agreement.

2. Except as otherwise provided herein, the Party acting as the Lead Agency shall have all the rights and responsibilities of a Lead Agency set forth in this Agreement.

3. Notwithstanding anything to the contrary in this Agreement, a Party acting as a Lead Agency under this Section IV.F. must obtain an encroachment permit from the Party acting as the Reimbursing Agency, or any other appropriate Party, prior to constructing the Capital Improvement. The Party acting as the Lead Agency shall construct the approved Capital Improvement project in conformance with all terms and conditions of the encroachment permit.

V. SAN JOSE/ WEST VALLEY SANITATION DISTRICT SEWER ADVISORY BOARD

A. MEMBERSHIP. CITY and DISTRICT under the terms of this AGREEMENT shall have equal representation on the San José/West Valley Sanitation District Sewer Advisory Board, hereinafter designated as the “Sewer Advisory Board.” The Sewer Advisory Board shall consist of four (4) members: two (2) members appointed by CITY and two (2) members appointed by DISTRICT. Members shall be staff-level representatives, including but not limited to the Director of Public Works for CITY and the General Manager or District Engineer for DISTRICT, or their respective designees. Each member shall serve at the pleasure of the appointing Party. Each Party may appoint one (1) alternate member to serve in the absence of its regular member.

B. MEETINGS. Regular meetings of the Sewer Advisory Board shall be held at least one (1) time a year at a time and place specified by mutual agreement in advance. Additional meetings shall be scheduled as often as necessary to consider Joint Use Sewer System issues and perform the Sewer Advisory Board’s duties. One member of the Sewer Advisory Board shall act as board secretary with duties of keeping meeting minutes and sending out meeting agendas. It is the responsibility of CITY and DISTRICT to post scheduled meetings of the Sewer Advisory Board in accordance with State law.

C. RESPONSIBILITIES. The Sewer Advisory Board shall have the following responsibilities: (1) review progress on all current joint sewer Capital Improvement projects, (2) annually, before the commencement of budget hearings by CITY and DISTRICT, review all Capital Improvement projects which either Party proposes to design or construct during the ensuing Fiscal Year, (3) consider and study suggestions, questions, problems or complaints relevant to this AGREEMENT and each Party’s performance and/or compliance with any provisions of this AGREEMENT, (4) consider proposed amendments to this AGREEMENT or proposed new agreements relating to the Joint Use Sewer System, or relating to other sewer lines in which both CITY and DISTRICT have a special interest, (5) submit to the governing bodies of CITY and DISTRICT any and all recommendations which it may care to make respecting the above matters.

VI. TERM OF THE AGREEMENT

A. TERM OF AGREEMENT. This AGREEMENT shall be in full force and effect for a period of time effective retroactive to July 1, 2026 through June 30, 2046, inclusive, unless terminated earlier by mutual agreement or by operation of law, or due to a material breach by either Party.

B. AMENDMENT OF AGREEMENT. Except as otherwise expressly provided herein, this AGREEMENT may be amended only by mutual written agreement of the Parties hereto.

C. EXTENSION OR RENEWAL. This AGREEMENT may be renewed, or its term extended, only by mutual written agreement of the Parties hereto.

D. SURVIVAL OF INDEMNITIES. All indemnity provisions contained in this AGREEMENT survive its termination.

VII. MISCELLANEOUS PROVISIONS

A. CONNECTION TO SEWER LINES OF OTHER PARTY. The two Parties to this AGREEMENT recognize that certain smaller sewer lines of less than twelve (12)

inches in diameter, constructed and financed solely by CITY or DISTRICT, might benefit properties of the other Party where such property adjoins a street or easement within which the CITY or DISTRICT sewer is located. If such a property is connected by way of a sewer lateral to the other Party’s sewer lines of less than twelve (12) inches in diameter, there shall be no connection fees charged by the CITY or DISTRICT to the other Party. DISTRICT or CITY shall provide thirty (30) calendar days written notice to the other, prior to making connection to the other Party’s sewer lines. An encroachment permit shall be obtained from the appropriate agency prior to making connection.

B. CONNECTION AND USE FEES. It is agreed that nothing in this AGREEMENT shall deprive either Party of any right to levy, impose, prescribe, revise, fix, require the payment of and/or collect any fees or charges for the privilege of connecting any property in its legal jurisdiction to its own sanitary sewer collection system or for sewer services and/or the use of sewage facilities.

C. CLAIMS OF BREACH OF AGREEMENT OR INEQUITIES. In the event either Party to this AGREEMENT should at any time claim that the other Party in any way breached or is breaching this AGREEMENT, or that the AGREEMENT is inequitable, the complaining Party shall file with the Sewer Advisory Board, a written claim describing the alleged breach or inequity with all supporting evidence. The Sewer Advisory Board shall thereupon, at a reasonable time and place specified by it, give both Parties full opportunity to be heard on the matter, and upon conclusion of the hearing, give the legislative bodies of both Parties a full report of its findings and recommendations. Said report is advisory only, and shall not in any way bind either of the Parties thereto. No action for breach of this AGREEMENT, and no action for any legal relief because of any breach or alleged breach of this AGREEMENT shall be filed or commenced, and nothing shall be done by either Party to rescind or terminate this AGREEMENT, unless and until the above provisions of this paragraph have been complied with and unless the complaining Party has first given the other Party a reasonable time after conclusion of the above referenced meetings to cure any breach or alleged breach or inequity.

D. WAIVERS. The waiver by either Party to this AGREEMENT of the other Party’s failure to comply with or perform any term, condition or provision of this AGREEMENT shall not be deemed a waiver of each term, condition and provision or any subsequent breach of the same or other term, condition or provision of this AGREEMENT.

E. NOTICES. All notices and other communications and payments required or permitted to be given under this AGREEMENT shall be in writing and shall be personally served or mailed addressed to the respective Parties as follows:

Notice shall be deemed effective on the date personally delivered or, if mailed, three (3) days after deposit in the mail.

F. LOCATION OF PAYMENTS. Any monies which DISTRICT may be required to pay to CITY under this AGREEMENT shall be paid to the Treasury Division within the Department of Finance of the City of San José at the address stated in Section E. Any monies which CITY may be required to pay DISTRICT under this AGREEMENT shall be paid at the District offices at the address stated in Section E.

G. SAN JOSE-SANTA CLARA REGIONAL WASTEWATER FACILITY. This AGREEMENT does not affect or modify any agreements that DISTRICT and CITY may have with regard to the San José-Santa Clara Regional Wastewater Facility.

H. ASSIGNMENTS BY CITY OR DISTRICT. Neither this AGREEMENT or any rights or duties thereunder shall be assigned or delegated to any third Party by either Party to this AGREEMENT without written consent of the non-assigning Party, which consent shall not be unreasonably withheld. The non-assigning Party shall not have any right to any of the proceeds derived from such transaction, provided that any such transaction shall be subject to such rights as the other Party has under the provisions of this AGREEMENT. In addition, any such transfer shall not give the transferee or assignee any rights or privileges in excess of those which the transferring or assigning Party has in this AGREEMENT.

I. INDEMNIFICATION. In lieu of and not withstanding the pro rata allocation that might otherwise be imposed between the Parties pursuant to Government Code Section 895.6, the Parties agree that all losses or liabilities incurred by a particular Party that are subject to indemnity under this provision shall not be shared pro rata. Instead, the Parties agree that pursuant to Government Code Section 895.4 the following shall govern:

1. Neither CITY nor any officer or employee thereof shall be responsible for any damage or liability occurring by reason of anything done or omitted to be done by DISTRICT under or in connection with any work, authority or jurisdiction delegated to DISTRICT under this AGREEMENT. It is also

J. SUCCESSORS AND ASSIGNS. All agreements and provisions, conditions, and restrictions contained in this AGREEMENT shall apply and bind the successors and assigns of the respective Parties as if they were named in this AGREEMENT.
