AND CITY COUNCIL
FROM: Jeff Provenzano

SUBJECT: See Below DATE: September 8, 2026

Approved

Date:

COUNCIL DISTRICT: Citywide

SUBJECT: First Amendment to the Master Consultant Agreement with HF&H Consultants, LLC, for Commercial Solid Waste Collections and Processing Program Services

RECOMMENDATION

Approve the First Amendment to the Master Consultant Agreement with HF&H Consultants, LLC, for the redesign of commercial solid waste collections and processing program and for the request for proposal solicitation program services, increasing the maximum total compensation from $380,000 to $480,000.

SUMMARY AND OUTCOME

HF&H Consultants, LLC (HF&H) participated in the Environmental Services Department’s (ESD) competitive procurement to provide consultant services related to the commercial solid waste collections and processing program (Program). The Master Consultant Agreement (MCA) with HF&H (OC-015501) includes consulting services for Program redesign and procurement development. ESD is recommending an amendment to the MCA to increase the total maximum compensation from $380,000 to $480,000. Increasing compensation for this MCA will ensure that, in addition to consulting services for Program redesign and procurement development, HF&H will also provide consulting services regarding commercial solid waste disposal options prior to the next Program franchise agreement(s). The current franchise agreement with the City’s commercial solid waste contractor Republic Services will terminate on June 30, 2032.

BACKGROUND

In April 2026, ESD solicited a competitive Request for Proposals for Consulting Services for a Commercial Solid Waste Program Redesign and Procurement Development (Request for Proposal ESD12026) to provide consulting services in relation to the City’s commercial solid waste and recycling collection and processing program. As the selected consultant, HF&H will support a Program redesign and assist in the development of a future Request for Proposal to procure solid waste collections and processing service provider(s). HF&H will support the planning and development of a future Request for Proposal to procure service provider(s) into 15 year franchise agreement(s), effective by July 1, 2032. The MCA with HF&H for said services was entered into on August 16, 2026, with a total compensation of $380,000.

ANALYSIS

In addition to the need for consulting services for Program redesign and procurement development, reliable solid waste disposal services are vital to redesigning a commercial solid waste collections and processing program that protects public health, maintains regulatory compliance, and supports the local economy. Without reliable commercial solid waste disposal services, San José residents and Program stakeholders would experience reduced quality of life and negative environmental quality impacts, while the city could face regulatory noncompliance, economic consequences, and public health and safety impacts.

The City is currently contracted to use International Disposal Corporation’s Newby Island Landfill. However, Newby Island Landfill is projected to close by 2041 or sooner, requiring the city to identify necessary alternative disposal options and ensure the continuity of essential disposal services during the next commercial solid waste franchise agreement beginning in July 2032. As part of the commercial Program redesign, the city will also evaluate long-term commercial solid waste disposal alternatives. Increasing the maximum total compensation under the MCA with HF&H from $380,000 to $480,000 will enable HF&H to perform more commercial solid waste landfill disposal capacity planning work as part of the existing Program redesign scope of work.

This Amendment will enable HF&H to develop additional contingency plans, further evaluate alternative commercial solid waste disposal options, assess long-term landfill capacity during the next Program franchise agreement, and obtain information regarding Newby Island Landfill's permitting requirements and anticipated closure

timeline. The term of the MCA will remain unchanged under the proposed First Amendment.

EVALUATION AND FOLLOW-UP

No additional follow-up action with the City Council is expected at this time.

FISCAL IMPACTS

The recommended amendment to this MCA with HF&H to authorize additional maximum compensation in the amount of $100,000 (for a total Not to Exceed limit of $480,000) will be funded through the Integrated Waste Managed Fund over the Agreement Term. There is no impact to the General Fund from the proposed amendment.
