City shall reimburse Developer for the cost of the design, construction, installation ("Hard Costs") and the other costs, which other costs are designated as "Administrative Costs" or "Other Costs", of the Project in the Actual Costs schedule attached hereto as Exhibit C, by making reimbursement payments by check from the CFD account ('Cash"), subject to compliance with this Section (b) Reimbursement. Subject to the provisions of this Section 5, City and Developer behalf of Developer for the Project. The City is not obligated to provide any funding beyond the CFD funds contemplated by this Agreement regardless if those funds do not fully cover the Actual Costs.
Payments. The parties acknowledge and agree that Exhibit D, attached hereto and incorporated herein, identifies the amount of CFD funds previously paid to City by Property within the CFD Reimbursement Area, which shall represent the maximum amount of reimbursement to be made to partially reimburse Actual Costs with respect to CFD payments made for such Property prior to the Effective Reimbursement to the Developer in Cash shall occur as follows:
The Actual Costs reviewed and approved by City are identified in Exhibit C attached hereto.
2 35989249v13
(Il) Developer understands and acknowledges that CFD payments are received by City in two (2) annual installments, and that reimbursement of approved reimbursement requests will be implemented accordingly.
Within twenty-one (21) days of execution of this Agreement, City shall pay to Developer Cash in the amount identified in Exhibit D.
The parties acknowledge that, for reimbursements in excess of the amounts identified in Exhibit D, future proceeds of CFD payments from Property within the CFD Reimbursement Area may be needed to reimburse Developer for as much of the Actual Costs (defined below) as it is possible to reimburse from the CFD Reimbursement Area. Within twenty (20) working days of receipt, City shall (a) send Developer a written accounting of the CFD payments received from the County Tax Collector from the Property within the CFD Reimbursement Area in excess of those identified in Exhibit D ("Available Funds"); and (b) make a Cash payment of the Available Funds to Developer, but those payments shall in no event exceed the Actual Costs. In the event the Available Funds are not sufficient to pay the entire amount of Actual Costs owed, City will make such additional reimbursement payment out of the Available Funds until such time as the Actual Costs have been fully reimbursed. If the final payment toward unreimbursed Actual Costs is less than all the Available Funds, the City shall only make a Cash payment of the Available Funds in an amount equal to that previously unreimbursed amount.
Amount. Any portion of reimbursable Actual Costs not previously reimbursed, commencing with the date of Acceptance of the Project, shall earn interest at a rate equal to four percent (4%) per annum and that amount shall be included as part of the Actual Costs even if those interest payment amounts cause the reimbursed amounts to exceed the Actual Costs identified in Exhibit C.
Developer's Administrative Costs. • Developer's Administrative Costs are the reasonably incurred Project-related administration and supervision expenditures identified as 4.45% of the Actual Costs on Exhibit C.
Accounting. Developer shall keep records of all Actual Costs in accordance with generally accepted accounting procedures, and shall retain them for such period as may be required by the Department of Industrial Relations, and in no event less than five (5) years. Developer shall submit to City copies of all supporting documentation, including but not limited to all contract bids, if required by this Agreement, and invoices relative to the categories of Hard Costs and Other Costs identified on Exhibit C.
Developer acknowledges and agrees that, beyond the Administrative Costs, Developer does not intend or seek to make or retain any amount following completion of the Project. Except as otherwise provided for in this Agreement, Developer acknowledges that neither the City nor CFD will reimburse actual project costs in excess of the Actual Costs identified on Exhibit C. Each party hereto agrees to cooperate with the other party with respect to this accounting and any reconciliation, if applicable.
6. Transfer.
(a) If the assignment or transfer of this Agreement is solely with respect to Developer's right to receive the Cash reimbursement from the City as reimbursement for Actual Costs, only notice and delivery to the City of a written assumption agreement executed by the assignee and assignor is required prior to an assignment or transfer.
(b) Any assignment or transfer other than those specified in subsection (a) above shall require the City's written consent, which consent shall not be unreasonably withheld or delayed Indemnity. Developer shall defend, indemnify, and hold City and its agents, officers and employees (collectively, "City Indemnified Party") harmless from and against any and all claims, costs, damages, demands, expenses, and liability arising from this Agreement by Developer or its agents, officers or employees, except to the extent arising from the active negligence or intentional misconduct of any City Indemnified Party.
