NOW, THEREFORE, BE IT RESOLVED AND DETERMINED by the City Council of the City of San Marcos, California, acting for itself and as the legislative body of the Community Facilities District, as follows:

SECTION 1. Recitals. The above recitals are true and correct.

SECTION 2. Special Tax Refunding Bonds Authorized. Pursuant to the Act, this Resolution, and the Fiscal Agent Agreements, each series of Special Tax Refunding Bonds are hereby authorized to be issued. The date, manner of payment, interest rate or rates, interest payment dates, denominations, form, registration privileges, manner of execution, place of payment, terms of redemption and other terms, covenants, and conditions of each series of such Special Tax Refunding Bonds shall be as provided in the applicable Fiscal Agent Agreement as finally executed.

SECTION 3. Findings. In furtherance of the issuance of the Special Tax Refunding Bonds, the City Council hereby makes the following findings and determinations: (i) it is prudent in the management of the fiscal affairs of the Community Facilities District to issue the Special Tax Refunding Bonds for the purpose, inter alia, of defeasing and redeeming the Prior Authority Bonds and thereby discharging the Prior Special Tax Refunding Bonds, (ii) as to each series of the Special Tax Refunding Bonds, the total net interest cost to maturity of such Special Tax Refunding Bonds plus the principal amount of such Special Tax Refunding Bonds will not exceed the total net interest cost to maturity on the series of the Prior Special Tax Refunding Bonds being defeased and redeemed from the proceeds of such Special Tax Refunding Bonds plus the principal amount of such Prior Special Tax Refunding Bonds, and (iii) the issuance of the Special Tax Refunding Bonds is in compliance with the City's Goals and Policies for community facilities districts. The principal amount of each series of the Special Tax Refunding Bonds will be less than one-fourth of the value of the property in the applicable Improvement Area, subject to the levy of the special taxes authorized under the Act securing such Special Tax Refunding Bonds, as confirmed by the aggregate assessed value of taxable parcels in such Improvement Area. In accordance with the requirements of Section 53345.8 of the Act, the City Council hereby determines that the value of the real property in the applicable Improvement Areas of the Community Facilities District subject to the special tax to pay debt service on the applicable Special Tax Refunding Bonds is at least three times the principal amount of the Special Tax Refunding Bonds, the Prior Special Tax Refunding Bonds to remain outstanding after the issuance of the Special Tax Refunding Bonds, and the principal amount of all other bonds outstanding that are secured by a special tax levied pursuant to the Act or a special assessment levied on property within the applicable Improvement Area of the Community Facilities District.

For purposes of Section 53363.2 of the Act, the City Council hereby further finds and determines that (i) it is expected that the purchase of each series of the Special Tax Refunding Bonds will occur on the Closing Date (as such term is defined in each Fiscal Agent Agreement); (ii) the date, denomination, maturity dates, places of payment and form of each series of such Special Tax Refunding Bonds shall be as set forth in the applicable Fiscal Agent Agreement, as executed; (iii) the Special Tax Refunding Bonds will bear interest at the minimum rate of 0.10% per annum; and (iv) the designated costs of issuing the Special Tax Refunding Bonds shall be as described in Section 53363.8 of the Act, and as otherwise described in the applicable Fiscal Agent Agreement, the Official Statement for the 2024 Authority Bonds to finance the acquisition of the Special Tax Refunding Bonds, and the closing certificates for the 2024 Authority Bonds and the Special Tax Refunding Bonds, including but not limited to, a proportionate share of the Bond Counsel fees and expenses, Disclosure Counsel fees and expenses, underwriter’s discount, printing costs for the Official Statement, Special Tax Consultant fees and expenses, Municipal Advisor fees and expenses, escrow verification costs, initial Fiscal Agent fees and expenses, costs of issuance of the 2024 Authority Bonds, and costs of City staff incurred in connection with the sale and issuance of the 2024 Authority Bonds and the Special Tax Refunding Bonds.

In satisfaction of the requirements contained in Section 53364.2 of the Act, the City Council hereby determines that any savings achieved through the issuance of the Special Tax Refunding Bonds shall be used to reduce special taxes of the Community Facilities District, and such reductions shall be made in accordance with the rate and method of apportionment of special taxes for the Community Facilities District.

SECTION 4. Authorization and Conditions. The Mayor, City Manager or the Director of Finance of the City and each of their specified designees (the “Authorized Officers,” and each an “Authorized Officer”), acting for and on behalf of the City or the Community Facilities District, as applicable, are, and each of them individually is, hereby authorized and directed to execute and deliver the various documents and instruments described in this Resolution with such changes, insertions, and omissions as the Authorized Officer executing the same may require or approve as being in the best interests of the Community Facilities District subject to any limiting conditions contained herein and further subject to the approval thereof as to form by the City Attorney or specified designee and Best Best & Krieger LLP (“Bond Counsel”). Notwithstanding the foregoing, the authorization to execute the Bond Purchase Agreement is subject to the satisfaction of the following conditions precedent: (a) all findings set forth in Section 3 above have been confirmed, (b) the final maturity of each series of Special Tax Refunding Bonds shall not exceed the final maturity of the applicable series of Prior Special Tax Refunding Bonds to be discharged; and (c) that the City Manager has determined, in his professional and prudent judgment, that under the circumstances existing at the time of the execution of the Bond Purchase Agreement the level of savings to be realized from the issuance of the Special Tax Refunding Bonds will be in the best interest of the taxpayers within the Improvement Areas of the Community Facilities District, as applicable.

SECTION 7. Escrow Agreement. The form of the Escrow Agreement on file in the City Clerk’s office is hereby approved with such changes, insertions, and omissions as the Authorized Officer executing the same may require or approve.

EXHIBIT D
Good Faith Estimates
The good faith estimates set forth herein are provided with respect to the Special Tax Refunding Bonds for the Improvement Areas in accordance with California Government Code Section 5852.1. Such good faith estimates have been provided to the City by the Municipal Advisor in consultation with the Underwriter.

Principal Amount. The Municipal Advisor has informed the City that, based on the financing plan and current market conditions, its good faith estimate of the aggregate principal amount of the Special Tax Refunding Bonds for each Improvement Area to be sold is set forth in Column A in the table below (the “Estimated Principal Amount”), which excludes net premium for each Improvement Area in the amounts identified in Column B in the table below estimated to be generated based on current market conditions. Net premium is generated when, on a net aggregate basis for a single issuance of Special Tax Refunding Bonds for each Improvement Area, the price paid for such Special Tax Refunding Bonds for each Improvement Area is higher than the face value of the Special Tax Refunding Bonds for each Improvement Area.

True Interest Cost. The Municipal Advisor has informed the City that, assuming that the Estimated Principal Amount of the Special Tax Refunding Bonds for each Improvement Area is sold, and based on market interest rates prevailing at the time of preparation of such estimate, its good faith estimate of the true interest cost of the Special Tax Refunding Bonds for each Improvement Area, which means the rate necessary to discount the amounts payable on the respective principal and interest payment dates to the purchase price received for the Special Tax Refunding Bonds, are identified in Column C in the table below.

Finance Charge. The Municipal Advisor has informed the City that, assuming that the Estimated Principal Amount of the Special Tax Refunding Bonds for each Improvement Area is sold, and based on market interest rates prevailing at the time of preparation of such estimate, its good faith estimate of the finance charge for the Special Tax Refunding Bonds for each Improvement Area, which means the sum of all fees and charges paid to third parties (or costs associated with the Special Tax Refunding Bonds for each Improvement Area), are identified in Column D in the table below.

Amount of Proceeds to be Received. The Municipal Advisor has informed the City that, assuming that the Estimated Principal Amount of the Special Tax Refunding Bonds for each Improvement Area is sold, and based on market interest rates prevailing at the time of preparation of such estimate, its good faith estimate of the amount of proceeds expected to be received by the City for the sale of the Special Tax Refunding Bonds for each Improvement Area, less the finance charge of the Special Tax Refunding Bonds for each Improvement Area, as estimated above, and any reserve fund paid or funded with proceeds of the Special Tax Refunding Bonds for each Improvement Area, are identified in Column E below.

Total Payment Amount. The Municipal Advisor has informed the City that, assuming that the Estimated Principal Amount of the Special Tax Refunding Bonds for each Improvement Area is sold, and based on market interest rates prevailing at the time of preparation of such estimate, its good faith estimate of the total payment amount, which means the sum total of all payments the City will make to pay debt service on the Special Tax Refunding Bonds for each Improvement Area, plus the finance charge for the Special Tax Refunding Bonds in each Improvement Area, as described above, not paid with the proceeds of the Special Tax Refunding Bonds, calculated to the final maturity of the Special Tax Refunding Bonds for each Improvement Area are identified in Column F below.

The foregoing estimates constitute good faith estimates only. The actual principal amount of the Special Tax Refunding Bonds of each Improvement Area issued and sold, the true interest cost thereof, the finance charges thereof, the amount of proceeds received therefrom and total payment amount with respect thereto may differ from such good faith estimates due to (a) the actual date of the sale of the Special Tax Refunding Bonds of each Improvement Area being different than the date assumed for purposes of such estimates, (b) the actual principal amount of Special Tax Refunding Bonds of each Improvement Area sold being different from the Estimated Principal Amount, (c) the actual amortization of the Special Tax Refunding Bonds of each Improvement Area being different than the amortization assumed for purposes of such estimates, (d) the actual market interest rates at the time of sale of the Special Tax Refunding Bonds of each Improvement Area being different than those estimated for purposes of such estimates, (e) other market conditions, or alterations in the financing plan or finance charges, or a combination of such factors. The actual date of sale of the Special Tax Refunding Bonds of each Improvement Area and the actual principal amount of Special Tax Refunding Bonds of each Improvement Area sold will be determined by the City based on the timing of the need for proceeds of the Special Tax Refunding Bonds of each Improvement Area and other factors. The actual interest rates borne by the Special Tax Refunding Bonds of each Improvement Area will depend on market interest rates at the time of sale thereof. The actual amortization of the Special Tax Refunding Bonds of each Improvement Area will also depend, in part, on market interest rates at the time of sale thereof. Market interest rates are affected by economic and other factors beyond the control of the City.
