AMENDMENT NO. 1 TO AGREEMENT BETWEEN THE CITY OF SAN MARINO AND MARIPOSA TREE MANAGEMENT, INC.
THIS AMENDMENT NO. 1 TO THE AGREEMENT (“Amendment No. 1”) by and between the CITY OF SAN MARINO (“City”) and Mariposa Tree Management, Inc.
Contractor”) is effective as of February 28, 2025. City and Contractor are collectively referred to as the “Parties.”
RECITALS
A. City and Contractor entered into that certain Agreement for Maintenance Services dated February 25, 2022 (“Original Agreement”) whereby Contractor agreed to provide those services specified in the Original Agreement.
B. City and Contractor now desire to amend the Original Agreement C. City and Contractor now desire to amend the Original Agreement, in accordance with Section 9.10 of the Agreement to increase the compensation amount by an amount not-toexceed $220,000.
TERMS
1. Contract Changes. The Original Agreement is amended as provided herein.
A. Section 1.5 of the Original Agreement is amended to read as follows:
1.5 Compensation for Contractor’s Services
Compensation for the Services shall be a cumulative amount not-to-exceed $2,237,227 with progress payments
Exhibit C (Compensation) is revised in accordance with the attached Revised Exhibit C.
2. Continuing Effect of Agreement. Except as amended by this Amendment No. 1, all provisions of the Original Agreement shall remain unchanged and in full force and effect. From and after the date of this Amendment No. 1, whenever the term “Agreement” appears in the Agreement, it shall mean the Original Agreement, as amended by Amendment No. 1.
3. Authority. The persons executing this Amendment No. 1 on behalf of the Parties hereto warrant that (i) such party is duly organized and existing, (ii) they are duly authorized to execute and deliver this Amendment No. 1 on behalf of said party, (iii) by so executing this Amendment No. 1, such party is formally bound to the provisions of this Amendment No. 1, and (iv) the entering into this Amendment No. 1 does not violate any provision of any other agreement to which said party is bound.
