EMPLOYMENT AGREEMENT BETWEEN THE CITY OF SAN MARINO AND

PHILIPPE ESKANDAR
THIS FIRST AMENDMENT (“First Amendment”) by and between the City of San Marino, California, a municipal corporation (“City”), and Philippe Eskandar, an individual (the “Employee”) is dated and effective as of the 12th day of November, 2025 and amends that certain Amended and Restated City Manager Employment Agreement (“Agreement”) dated November 13, 2024, which amended the original City Manager Employment Agreement dated as of July 1, 2023. City and Employee are collectively referred to as the “Parties.” SECTION 1. RECITALS
WHEREAS, pursuant to the terms of the Agreement, the City Council conducted an annual evaluation of the Employee on September 26, 2025, and October 7, 2025; and WHEREAS, based upon the positive results of that evaluation and in recognition of the Employee’s leadership and accomplishments during the previous year, the City Council and the Employee wish to make certain amendments to the Agreement.

Therefore, in consideration of the performance by the Parties of the promises, covenants, and conditions herein, the Parties agree as provided in this First Amendment.

SECTION 2. Section 2 of the Agreement is amended to state that the term of the Agreement commences on July 1, 2023, and continues to and through June 30, 2032, unless earlier terminated as provided elsewhere in the Agreement.

SECTION 3. Section 5.A.1.a of the Agreement is hereby amended to add that the Employee’s base salary as of July 1, 2025, is $278,460; all other provisions of section 5.A.1. remain unchanged.

SECTION 4. Section 6.D is amended to reflect that the severance payment described in that section will be an amount equal to 12 months base salary.

SECTION 5. Employee shall receive a one-time allocation of 3 weeks of sick leave notwithstanding any accrual cap to which Employee is subject. Any use of sick leave by Employee shall first come from this one time allocation, and to the extent that Employee may be at the current cap, his accrual of sick leave will resume once he has exhausted the one time allocation and then utilizes additional sick leave such that his accrued sick leave is below the cap.

SECTION 6. Except as expressly amended by this First Amendment, all other terms and provisions of the Agreement remain in full force and effect. 4911-5543-2563 v1
IN WITNESS WHEREOF, the Parties have executed this First Amendment as of the day and year first written above.
