AMENDMENT NO. 4 TO AGREEMENT BETWEEN THE CITY OF SAN MARINO
AND DUDEK
THIS AMENDMENT NO. 4 TO THE AGREEMENT (“Amendment No. 3”) by and between the CITY OF SAN MARINO (“City”) and DUDEK a California corporation (“Contractor”) is effective as of December 10, 2025. City and Contractor are collectively referred to as the “Parties.”
RECITALS
A. City and Contractor entered into that certain Agreement for Professional Services dated February 10, 2021 (“Original Agreement”) whereby Contractor agreed to provide those professional services specified in the Original Agreement.
B. City and Contractor entered into Amendment No. 1 to the Original Agreement between the City and Contractor dated June 9, 2022 to include an additional twelve months of services from July 1, 2022 through June 30, 2023.
C. City and Contractor entered into Amendment No. 2 to the Original Agreement between the City and Contractor dated May 10, 2023, increasing the compensation amount by $47,100 and to include an additional six months of service from July 1, 2023 through December 31, 2023.
D. City and Contractor entered into Amendment No.3 to the Original Agreement between the City and Contractor dated January 10, 2024, increasing the compensation amount by $45,500 and to include an additional twenty-four months of service from January 1, 2024 through December 31, 2025.
E. City and Contractor now desire to amend the Original Agreement, as amended by Amendment No. 1, Amendment No. 2, and Amendment No.3, in accordance with Section 16 of the Agreement to include an additional six months of service from January 1, 2026 through June 30, 2026.
TERMS
1. Contract Changes. The Original Agreement is amended as provided herein.
A. Section 2 of the Original Agreement is amended to read as follows:
2.0 Term
The term of this Agreement shall commence as of the Effective Date and shall continue through June 30, 2026, unless sooner terminated as provided in Section
5.0 of this Agreement.
Continuing Effect of Agreement. Except as amended by Amendments No. 1, No. 2, No.3, and by this Amendment No. 4, all provisions of the Original Agreement shall remain Doc No. 2453984
unchanged and in full force and effect. From and after the date of this Amendment No. 4, whenever the term “Agreement” appears in the Agreement, it shall mean the Original Agreement, as amended by Amendment No. 1, Amendment No. 2, Amendment No.3 and Amendment No. 4.
Authority. The persons executing this Amendment No. 4 on behalf of the Parties hereto warrant that (i) such party is duly organized and existing, (ii) they are duly authorized to execute and deliver this Amendment No. 4 on behalf of said party, (iii) by so executing this Amendment No. 4, such party is formally bound to the provisions of this Amendment No. 4, and (iv) the entering into this Amendment No. 4 does not violate any provision of any other agreement to which said party is bound.
IN WITNESS WHEREOF, the Parties hereto have executed this Amendment No. 4 as of the date and year first hereinabove written.
