First Second Amendment to Professional Services Agreement This Second First Amendment to Professional Services Agreement (“First Second Amendment”) is dated and effective as of December 10, 2025 October 31, 2025 and amends that certain Professional Services Agreement (“Agreement”) dated August 19, 2025 and First Amendment to Professional Services Agreement dated October 31, 2025 by and between Eide Bailly LLP (“Consultant”) a California limited liability partnership, and the City of San Marino (“City”), a California municipal corporation, (collectively, “the Parties”).
Section 1. The term of the Agreement is hereby extended to and through January April 30, 2026 unless sonnersooner terminated as provided in Section 5.0 of the Agreement.
Section 2. The total not to exceed amount set forth in Section 3.0 of the Agreement is hereby increased from $20,000 to a total of $50,00090,000.
Section 3. Except as otherwise provided herein, all other provisions of the Agreement are and remain in full force and effect.
IN WITNESS WHEREOF, the Parties hereto, through their respective authorized representatives have executed this First Amendment to be effective as of October 31, 2025December 10, 2025.
