AMENDMENT NO. 3 TO AGREEMENT BETWEEN THE CITY OF SAN MARINO
AND DUDEK
THIS AMENDMENT NO. 3 TO THE AGREEMENT (“Amendment No. 3”) by and between the CITY OF SAN MARINO (“City”) and Dudek, a California corporation (“Consultant”) is effective as of January 14, 2026. City and Consultant are collectively referred to as the “Parties.”
RECITALS
A. City and Consultant entered into that certain Agreement for Professional Services dated January 12, 2022 (“Original Agreement”) whereby Consultant agreed to provide those professional services specified in the Original Agreement.
B. City and Consultant entered into Amendment No. 1 to the Original Agreement between the City and Consultant dated September 13, 2023 to increase the compensation amount by $80,400 to a new compensation amount of $345,006 and include an additional twelve months of service from January 1, 2024 to December 31, 2024.
C. City and Consultant entered into Amendment No. 2 to the Original Agreement between the City and Consultant dated December 11, 2024 to include an additional twelve months of service from January 1, 2025 to December 31, 2025.
D. City and Consultant now desire to amend the Original Agreement, as amended by Amendment No. 1 and Amendment No.2, in accordance with Section 16 of the Agreement to include an additional twelve months of service from January 1, 2026 to December 31, 2026.
TERMS
1. Contract Changes. The Original Agreement is amended as provided herein.
A. Section 2 of the Original Agreement is amended to read as follows:
2.0 Term
The term of this Agreement shall commence as of the Effective Date and shall continue through December 31, 2026 unless sooner terminated as provided in Section 5.0 of this Agreement.
2. Continuing Effect of Agreement. Except as amended by Amendment No. 1, Amendment No.2, and this Amendment No. 3, all provisions of the Original Agreement shall remain unchanged and in full force and effect. From and after the date of this Amendment No. 3, whenever the term “Agreement” appears in the Agreement, it shall mean the Original Agreement, as amended by Amendment No. 1, Amendment No.2 and Amendment No. 3.
3. Authority. The persons executing this Amendment No. 3 on behalf of the Parties hereto warrant that (i) such party is duly organized and existing, (ii) they are duly authorized to Doc No. 2453984
execute and deliver this Amendment No. 3 on behalf of said party, (iii) by so executing this Amendment No. 3, such party is formally bound to the provisions of this Amendment No. 3, and (iv) the entering into this Amendment No.3 does not violate any provision of any other agreement to which said party is bound.
IN WITNESS WHEREOF, the Parties hereto have executed this Amendment No. 3 as of the date and year first hereinabove written.
