AMENDMENT NO. 2 TO AGREEMENT BETWEEN THE CITY OF SAN MARINO AND MOBIUS PLANNING, LLC.
THIS AMENDMENT NO. 2 TO THE AGREEMENT (“Amendment No. 2”) by and between the CITY OF SAN MARINO (“City”) and MOBIUS PLANNING, LLC., a California limited liability company (“Consultant”) is effective as of July 8, 2026. City and Consultant are collectively referred to as the “Parties.”
RECITALS
A. City and Consultant entered into that certain Agreement for Professional Services dated July 12, 2023 (“Original Agreement”) whereby Consultant agreed to provide those professional services specified in the Original Agreement.
B. City and Consultant now desire to amend the Original Agreement, as previously amended.
TERMS
1. Contract Changes. The Original Agreement is amended as provided herein.
A. Section 1.1 of the Original Agreement is amended to include as part of the Scope of Services the work described on Exhibit 1 attached to this Second Amendment.
B. Section 2 of the Original Agreement is amended to extend the term through July 12, 2029, unless sooner terminated as provided in Section 5.0 of the Original Agreement.
C. Section 3 of the Original Agreement is amended to provide that the Consultant shall receive payment not to exceed $38,500 for the work described on Exhibit 1, attached to this Second Amendment.
2. Continuing Effect of Agreement. Except as amended by this Amendment No. 2, all provisions of the Original Agreement and Amendment No. 1 shall remain unchanged and in full force and effect. From and after the date of this Amendment No. 2, whenever the term “Agreement” appears in the Agreement, it shall mean the Original Agreement, as amended by Amendment No. 1 and Amendment No. 2.
3. Authority. The persons executing this Amendment No. 2 on behalf of the Parties hereto warrant that (i) such party is duly organized and existing, (ii) they are duly authorized to execute and deliver this Amendment No. 2 on behalf of said party, (iii) by so executing this Amendment No. 2, such party is formally bound to the provisions of this Amendment No. 2, and (iv) the entering into this Amendment No. 2 does not violate any provision of any other agreement to which said party is bound.
