CONSUMER DISCLOSURE
From time to time, Carahsoft OBO City of San Mateo (we, us or Company) may be required by law to provide to you certain written notices or disclosures. Described below are the terms and conditions for providing to you such notices and disclosures electronically through the DocuSign, Inc. (DocuSign) electronic signing system. Please read the information below carefully and thoroughly, and if you can access this information electronically to your satisfaction and agree to these terms and conditions, please confirm your agreement by clicking the ‘I agree’ button at the bottom of this document .

Getting paper copies
At any time, you may request from us a paper copy of any record provided or made available electronically to you by us. You will have the ability to download and print documents we send to you through the DocuSign system during and immediately after signing session and, if you elect to create a DocuSign signer account, you may access them for a limited period of time (usually 30 days) after such documents are first sent to you. After such time, if you wish for us to send you paper copies of any such documents from our office to you, you will be charged a $0.00 per-page fee. You may request delivery of such paper copies from us by following the procedure described below.

Withdrawing your consent
If you decide to receive notices and disclosures from us electronically, you may at any time change your mind and tell us that thereafter you want to receive required notices and disclosures only in paper format. How you must inform us of your decision to receive future notices and disclosure in paper format and withdraw your consent to receive notices and disclosures electronically is described below.

Consequences of changing your mind
If you elect to receive required notices and disclosures only in paper format, it will slow the speed at which we can complete certain steps in transactions with you and delivering services to you because we will need first to send the required notices or disclosures to you in paper format, and then wait until we receive back from you your acknowledgment of your receipt of such paper notices or disclosures. To indicate to us that you are changing your mind, you must withdraw your consent using the DocuSign ‘Withdraw Consent’ form on the signing page of a DocuSign envelope instead of signing it. This will indicate to us that you have withdrawn your consent to receive required notices and disclosures electronically from us and you will no longer be able to use the DocuSign system to receive required notices and consents electronically from us or to sign electronically documents from us.

All notices and disclosures will be sent to you electronically Unless you tell us otherwise in accordance with the procedures described herein, we will provide electronically to you through the DocuSign system all required notices, disclosures, authorizations, acknowledgements, and other documents that are required to be provided or made available to you during the course of our relationship with you. To reduce the chance of you inadvertently not receiving any notice or disclosure, we prefer to provide all of the required notices and disclosures to you by the same method and to the same address that you have given us. Thus, you can receive all the disclosures and notices electronically or in paper format through the paper mail delivery system. If you do not agree with this process, please let us know as described below. Please also see the paragraph immediately above that describes the consequences of your electing not to receive delivery of the notices and disclosures Electronic Record and Signature Disclosure created on: 6/13/2017 8:08:23 AM Parties agreed to: Jesse Cooper, Linh Nguyen, Azalea Mitch, Cathy Huffington

SUBJECT:

California State Library Services and Technology Act – Appropriation RECOMMENDATION:

Adopt a Resolution to approve a supplemental budget appropriation in the amount of $10,000 for a grant awarded by the California State Library to the San Mateo Public Library to support the Sustainability for All project.

BACKGROUND:

Library Services and Technology Act (LSTA) grants are federally funded by the Institute of Museum and Library Services and are awarded by the State Library to eligible California libraries. The State Library distributes the funding into various grant opportunities designed to improve the quality and reach of library programs and services. In August 2022, the State Library opened a grant opportunity specifically targeting sustainability efforts with grant opportunities up to $30,000. The San Mateo Public Library's grant application resulted in an award of $10,000, which will be used to provide sustainability programming targeting people of all ages and will run through June 2023.

BUDGET IMPACT:

Once appropriated, the donated funds will augment the Library’s General Fund expense accounts for Adult-Teen Information Services.

ENVIRONMENTAL DETERMINATION:

This activity is not a project subject to CEQA, because it is a government fiscal activity which does not involve any commitment to any specific project which may result in a potentially significant physical impact on the environment. (CEQA Guidelines Section 15378(b)(4).)

Business Tax Audit and Discovery Services – Agreement
RECOMMENDATION:

Approve an agreement with HdL Software, LLC for business tax discovery and audit services in an amount not to exceed $431,648.69.

BACKGROUND:

The City of San Mateo issued a request for proposals (RFP) in 2018 for business tax discovery and audit services and entered into an agreement with HdL Software, LLC (HdL) for business tax discovery and audit services on February 25, 2019. Pursuant to the City's Purchasing Policy, the agreement was executed under the City Manager's contract authority of less than $100,000. The original term of the agreement was through June 30, 2021, with the option to extend for three one-year periods.

Due to a clerical oversight, the amount paid to HdL exceeded the City Manager’s authority by $131,648.69. The processes and financial system procedures are in place to provide the appropriate internal controls to prevent this issue from occurring, but the clerical error overrode the internal controls that are in place. Appropriate training has been provided to clarify the City’s purchasing policy to prevent this issue from occurring in the future.

HdL continued to provide business tax discovery and audit services beyond the initial term, but the option to extend for additional periods was not formally executed.

For the reasons stated above, staff recommends that a new agreement be authorized by the City Council for an amount not to exceed $431,648.69 for a term beginning July 1, 2021 and ending on June 30, 2024, with the understanding that $131,648.69 of the $431,648.69 has already been paid to HdL. The remainder is expected to provide enough contract authority for the term of the agreement. The costs that have been and will be incurred are contingent upon HdL identifying additional ongoing business tax revenues that the City would not otherwise be able to realize.

It is important to point out that there is no nexus between this agreement and the results of the business tax audit. HdL's audit findings for commercial and residential lessors are valid. The City does not have the authority to exempt any industry from the business tax requirement, as the City is obligated to apply the business tax as written in San Mateo Municipal Code Title 5 “BUSINESS LICENSES AND REGULATIONS”.

BUDGET IMPACT:

No additional budget appropriations are required.

SECTION 16 - COSTS AND ATTORNEY FEES
Attorney fees in total amount not exceeding $5000, shall be recoverable as costs (by the filing of a cost bill) by the prevailing party in any action or actions to enforce the provisions of this Agreement. The above $5000 limit is the total of attorney fees recoverable whether in the trial court, appellate court, or otherwise, and regardless of the number of attorneys, trials, appeals, or actions. 3.1. Fees for performing compliance Services apply to all monies received for the current tax/license period and any other prior period collected (including monies received for taxes, penalties, interest, and fees).

Deficiencies which are uncollectable due to insolvency or dissolution of the business, or for deficiencies which are otherwise incapable of collection (i.e. statute of limitation or other legal defense) shall not be considered a City voluntary election to waive, and thus, Contractor would not be entitled to compensation related thereto under this provision.

Contractor shall furnish the City with original certificates and amendatory endorsements, or copies of the applicable policy language effecting coverage required by this clause. All certificates and endorsements are to be received and approved by the City before work commences. However, failure to obtain the required documents prior to the work beginning shall not waive the Contractor’s obligation to provide them. RE: Consent Calendar January 17, 2023, Line item 10.

To the San Mateo City Council:

At its January 17, 2023, meeting, the San Mateo City Council will consider the following on its consent calendar:

10. Business Tax Audit and Discovery Services –
Agreement. Approve an agreement with HdL Software, LLC for business tax discovery and audit services in an amount not to exceed $431,648.69.

CEQA: This agreement is not a project subject to
CEQA, because it is an organizational or administrative activity that will
not result in direct or indirect physical changes in the environment.

(CEQA Guidelines Section 15378(b) (5).)

"[B]usiness tax discovery and audit services” refer, at least in part, to asking residents of San Mateo for detailed personal financial information about residential rental property they own in San Mateo, for the purpose of imposing a business license tax on that ownership.

San Mateo residents should not be required to have a business license to own and manage their own investments.

If someone is paid to
manage someone else’s property, this might require a business license, but merely handling one’s own property should not.

Tree Pruning, Maintenance, and Emergency Removal Services Agreement – Amendment RECOMMENDATION:

Approve Amendment No. 1 to add up to $155,000 to the agreement with Peninsula Tree Care, Inc. for tree pruning, maintenance, and emergency removal services, for a new not to exceed amount of $250,000; and authorize the Director of Parks and Recreation to execute the Amendment No. 1 in substantially the same form presented.

BACKGROUND:

The Parks Department signed an agreement in July 2022 with Peninsula Tree Care, Inc. to provide on-call emergency tree maintenance and removal services at a cost of $90 per person hour, up to $95,000. Due to recent severe weather, the City needs additional on call emergency support for tree maintenance and removal. Due to recent heavy wind and rain and the impact on trees, the City has received approximately $113,000 in vendor services so far this fiscal year. Thus, a new not to exceed agreement total of $250,000 is more appropriate based on recent severe storms and projected needs.

BUDGET IMPACT:

There are sufficient funds in the Tree Division’s operating budget to fund this amendment.

ENVIRONMENTAL DETERMINATION:

The approval of this amendment is categorically exempt from CEQA because (1) it involves the pruning, maintenance, and emergency removal of trees for public health and safety purposes, (2) the pruning and maintenance work consists of minor public alterations in the condition of vegetation which do not involve removal of healthy, mature, scenic trees except for forestry and agricultural purposes, and (3) the emergency removal of trees is a specific action necessary to prevent or mitigate an emergency. CEQA Guidelines §15301 (Existing Facilities), Class 1, Subclass (h) (Maintenance of existing landscaping and native growth); §15304 (Minor Alterations to Land); and §15269 (Emergency Projects).

The Senior Citizens Commission has had a long-term vacancy from November 2021 due to the death of Commissioner Irene Bluth. Several recruitment cycles were conducted with insufficient applications received. There are currently two applicants and there is a need to establish the appointment subcommittee for interviews.

Measure S Oversight Committee – Two Vacancies
Lisa Diaz Nash was elected to City Council in December 2022 creating a vacancy for a partial term through June 10, 2026 and Rich Hedges was appointed to City Council in December 2022 creating a vacancy for a second partial term through June 10, 2026.

Per the City Council Guidelines, the City Council appoints an appointment subcommittee for each board or commission body, comprised of the Mayor (or designee) and the Council liaison to that commission. The guidelines also allow the other Council Members to participate as a member of the appointment subcommittee. As each meeting for interviews is publicly noticed and to ensure that the meeting is appropriately agendized, this is the opportunity for Council to add their names as a participant to any individual appointment subcommittee.

Council adopted the Council Appointments Liaison list for 2023 at its January 3, 2023 meeting; however, a liaison for the Measure S Oversight Committee had not yet been established. Mayor Lee has indicated that Rich Hedges be given the liaison role to that committee.

The assigned appointment subcommittee for the vacancies are as follows:

Board/Commission Appointment Subcommittee Member 1 Appointment Subcommittee Member 2 Library Board Mayor Lee Deputy Mayor Nash
Personnel Board Mayor Lee Council Member Hedges
Senior Citizens Commission Mayor Lee Deputy Mayor Nash
Measure S Oversight Committee Mayor Lee Council Member Hedges Please pull this item from the Consent Calendar if you desire to make any changes to the appointment subcommittee.

The recruitment timeline is:
•Open Recruitment on Friday January 20, 2023
•Close Recruitment on Friday February 10, 2023 at 5 pm
•Conduct interviews the week of February 13 – 16, 2023
•Bring appointment action to Council at its February 21, 2023 meeting BUDGET IMPACT:

Agenda Number: 13 Section Name: CONSENT CALENDAR Account Number: 10-4679 File ID: 22-7036 TO: City Council
FROM: Drew Corbett, City Manager
PREPARED BY: Public Works Department
MEETING DATE: January 17, 2023
SUBJECT: Marina Lagoon Fill Pump Overhaul – Change Order RECOMMENDATION:

Approve Change Order No. 3 with Koffler Electrical Mechanical Apparatus Repair, Inc. dba KEMAR, to overhaul the Marina Lagoon fill pump for an amount of $38,000, for a revised total not-to-exceed amount of $542,204.36; increase the contingency reserve by $5,000 for a revised total of $51,640; and authorize the Public Works Director to execute the change order in substantially the form presented, as well as execute any additional change orders within the revised reserve amount.

BACKGROUND:

The City manages water levels in the Marina Lagoon to optimize flood control, recreation, aesthetics, and ecological benefits. The City has five large diesel pumps that lower levels by pumping water to the San Francisco Bay (Bay). One electric pump is used to raise levels by pumping Bay water into the Marina Lagoon to maintain seasonal operating levels.

The pumps were installed in 1989. Due to their long service life and harsh operation conditions (such as submersion in salt water), the manufacturer recommends the City overhaul the pumps to avoid unanticipated failures. Due to the Marina Lagoon’s critical role in flood control for the City, these pumps need to be maintained in good working order.

The City previously repaired two of the diesel pumps and contracted with KEMAR to rehabilitate the remaining four pumps (three diesel pumps and the electric fill pump). Unforeseen additional repairs on the last two diesel pumps resulted in increased costs. Additional funds are needed to complete overhaul of the final pump. In order to provide enough funding for this work, staff recommends approving a contract change order for $38,000 and increasing the remaining contingency reserve by $5,000.

BUDGET IMPACT:

Sufficient funding for contract change order (CCO) No. 3 and the increase to the contingency reserve are included in the Storm Sewer Maintenance operating budget. Changes to the agreement and contingency are summarized, below.

Original Agreement $466,400.00
CCO No. 1 $37,804.36
CCO No. 2 $0.00
CCO No. 3 Request $38,000.00
Revised Agreement Total $542,204.36
Original Contingency $46,640.00
CCO No. 1 (Contingency Used) ($37,804.36)
CCO No. 2 $0.00
CCO No. 3 Request $5,000.00
Remaining Contingency Reserve $13,835.64
ENVIRONMENTAL DETERMINATION:

This contract change order is categorically exempt from CEQA as an “existing facility,” because it consists of the operation, repair, maintenance, permitting, leasing, licensing, or minor alteration of existing public or private structures, facilities, mechanical equipment, or topographical features, involving negligible or no expansion of use. Downtown Parking – Comprehensive Fee Schedule Update
RECOMMENDATION:

Adopt a Resolution to update the Adopted 2022-23 Comprehensive Fee Schedule Downtown Parking Pass Fees and Hourly Parking Fees to Include the Kiku Public Downtown Garage.

BACKGROUND:

The Council-approved Downtown Affordable Housing and Parking Garage project (Kiku Crossing) began construction in early January 2022. The facilities are being constructed on the sites of the former City-owned surface parking lots located at 4th Ave. and Claremont St. and 5th Ave. and Claremont St. Public parking will be provided at the Kiku Public Downtown Garage and operated by the City of San Mateo, with rates and hourly restrictions determined by the City. The Kiku Public Downtown Garage is expected to be completed in spring 2023.

Downtown San Mateo parking is currently divided into two zones: the central “Premium Zone” and the perimeter "Value Zone”. The Premium Zone is in the core of the downtown and has slightly higher hourly rates and monthly parking permit costs. Conversely, the perimeter Value Zone is priced at slightly lower rates for both hourly parking and monthly parking permits.

Discussion
Hourly restrictions and parking rates for the Kiku Public Downtown Garage must be adopted in advance of the garage opening to implement necessary signage in the garage and program the parking revenue collection systems. The garage location is an ideal opportunity for motorists to park once and walk in Downtown San Mateo, including in the pedestrian mall area, and is an opportune location to highlight 10-hour parking for long-term daytime vehicle parking for employees given the land uses near the garage. Given the location of the garage on the perimeter of the Downtown, staff recommends adding the new facility to the existing perimeter Value Zone.

The hourly and monthly parking rates in the Comprehensive Fee Schedule were adopted by City Council in 2018. Staff recommends updating the Comprehensive Fee Schedule to include the new Kiku Public Downtown Garage in the existing Value Zone for both hourly parking rates ($0.75/hour) and monthly parking permit costs ($65/month). The Low-Income Parking Permit will be available for $40/month for those who qualify, in accordance with availability at other Downtown parking garages and as currently included in the Comprehensive Fee Schedule.

BUDGET IMPACT:

Updating the Comprehensive Fee Schedule to include hourly and permit parking rates at Kiku Public Downtown Garage will result in the collection of parking revenue that is part of the City's General Fund.

On January 2, 2023, the City Manager, in his capacity as Director of Emergency Services, issued an emergency proclamation in response to the heavy winter storms that had previously impacted the city and future storms that were forecast to impact the city. At its regular meeting on January 3, 2023, the City Council affirmed the declaration of local emergency. In addition to positioning the City for potential mutual aid and cost recovery opportunities, the emergency proclamation also provides the City Manager broader authority to be able to expeditiously address issues related to the emergency. With that said, actions taken by the City Manager outside of the general authority of the duties provided for in the City Charter are subject to confirmation by Council as soon as practicable.

Due to the heavy rains and winds that were expected starting in the afternoon of Wednesday, January 4th and lasting through Thursday, January 5th, the City opened its Emergency Operations Center (EOC) for a 36-hour operational activation to address impacts of the storm. Further, the City Manager authorized the following closures:
•City Hall – Afternoon of January 4 th and all day on January 5th •Recreation Facilities – Afternoon of January 4 th and all day on January 5th •Libraries – After 2:00 on January 4 th
While some employees at closed facilities were able to work from home, many impacted employees, particularly those that are per diems, were not. The City Manager authorized that all employees who were scheduled to work at these facilities/programs but were not able to because of the closures be paid regardless to avoid employees being penalized for circumstances beyond their control.

BUDGET IMPACT:

The extraordinary staff response to the winter storms was not anticipated in various departmental operating budgets and may not be able to be absorbed within existing budget appropriations. Staff will be seeking potential emergency response reimbursements from state and federal sources should those be made available. If not, staff may need to return to Council later in the fiscal year to request a supplemental budget appropriation to cover the cost of this emergency response.
