AMENDMENT NO. 3 TO THE AGREEMENT
BETWEEN THE CITY OF SAN MATEO AND
DKS ASSOCIATES FOR
TRAFFIC ENGINEERING STAFF AUGMENTATION AND DESIGN SERVICES ($80,000 [Original Amount]; $80,000 [Amendment No. 3])
WHEREAS, the City of San Mateo (“City”), a municipal corporation of the State of California, and DKS ASSOCIATES (“Consultant”), entered into an Agreement for Traffic Engineering Staff Augmentation and Design Services (“Agreement”) on March 1, 2022; and WHEREAS, City and Consultant wish to amend the Agreement to amend the scope of services and to increase the not-to-exceed amount of this Agreement in the amount of $80,000, for a total not- to-exceed amount of $160,000.
NOW, THEREFORE, the parties agree as follows:
1. Section 5 “Payment” of the Agreement is amended to read:
Payment shall be made by CITY only for services rendered and upon submission of a payment request upon completion and CITY approval of the work performed. In consideration for the full performance of the services set forth in Exhibit A, CITY agrees to pay CONSULTANT a fee in an amount not to exceed $160,000, pursuant to rates stated in Exhibit B to this Agreement, attached and incorporated by reference.
2. Exhibit A is amended to include ‘Addendum 1 – Scope of Services Task Revisions’ of this Amendment.
3. Exhibit B is amended to include ‘Addendum 2 – Revised Fee Rates for Fiscal Year 2024’ of this Amendment. This amendment will not change the total dollar amount for work that has already been invoiced.
4. The remaining terms of the Agreement remain in full force and effect.

Addendum 1 – Scope of Services Task Revisions
1. Local Roadway Safety Plan Project Management – DKS has been assisting the City in providing Project Management services on behalf of the City to oversee the Local Roadway Safety Plan development. Josh Pilachowski will continue his role as the project manager to provide technical reviews, manage the schedule and will be the point of contact for the consultant selected to develop the LRSP.
2. On-Call Traffic Engineering Services as needed – Meron Shiferaw, PE (TX), PTOE will continue in her current role as DKS's representative in providing staff augmentation services. Meron will be assisted by various DKS staff to continue providing services to the City. The budget estimate is based on historic monthly charges on our current contract.
3. 3rd Avenue and S Norfolk Street Traffic Operations Analysis – With this task, DKS will conduct the operational analysis of the alternative concepts developed for the project to aid in the selection of a preferred alternative. DKS will prepare a draft and final technical memorandum summarizing the results of the analysis.
