7 AMENDMENT NO. 2 TO THE AGREEMENT
BETWEEN THE CITY OF SAN MATEO AND
ZFA STRUCTURAL ENGINEERS
FOR PROFESSIONAL SERVICES
($139,287.50 [Original Amount]; $12,952.50 [Amendment No. 1]; $45,201.50 [Amendment No. 2]) This Amendment No. 2 is made and entered into this day of ___________2024, by and between the CITY OF SAN MATEO, a municipal corporation existing under the laws of the State of California (“CITY”), and ZFA Structural Engineers, a Corporation (“CONSULTANT”), whose address is 1390 El Camino Real, Suite 100, San Carlos, CA 94070.
WHEREAS, CITY and CONSULTANT entered into an Agreement for professional services for the 2nd & El Camino Garage Structural Improvements (“Agreement”) on March 7, 2024; and WHEREAS, in April 2024, CITY and CONSULTANT executed Amendment No. 1 to the Agreement which increased the scope of services and compensation in the amount of $12,952.50; and WHEREAS, CITY and CONSULTANT wish to amend the Agreement to include additional professional services included in Exhibit A-2, attached and incorporated herein, and to increase the agreement amount by $45,201.50, for a total revised Agreement amount of $197,441.50.
NOW, THEREFORE, the parties agree as follows:
1. Section 1 – “Scope of Services” of the Agreement is amended to read:
“The scope of services to be performed by CONSULTANT under this Agreement is as described in Exhibits A, A-1, and A-2 to this Agreement, attached and incorporated by reference.”
2. Section 5 – “Payment” of the Agreement is amended to read:
“Payment shall be made by CITY only for services rendered and upon submission of a payment request upon completion and CITY approval of the work performed. In consideration for the full performance of the services set forth in Exhibits A, A-1, and A- 2, CITY agrees to pay CONSULTANT a fee in an amount not to exceed $197,441.50 pursuant to Exhibits A, A-1, and A-2.”
3. The remaining terms of the Agreement remain in full force and effect. [SIGNATURE PAGE FOLLOWS]
