3 AMENDMENT NO. 7 TO THE AGREEMENT
BETWEEN THE CITY OF SAN MATEO AND
IMPERIAL MAINTENANCE SERVICES, INC. FOR
FOR CUSTODIAL SERVICES
This Amendment is made and entered into this day of ____________, by and between the CITY OF SAN MATEO (“CITY”), a municipal corporation existing under the laws of the State of California, and IMPERIAL MAINTENANCE SERVICES, INC. (“CONTRACTOR”).
WHEREAS, in February 2018, CITY and CONTRACTOR entered into an agreement for custodial services at CITY facilities for an initial term of three-years, with five optional annual extensions; and WHEREAS, CITY and CONTRACTOR have executed Amendment Nos. 1 through 6 which included adjusting the agreement term, setting minimum wage requirements, exercising optional extensions, expanding the scope of services to include additional CITY facilities, and adding compensation related to the expanded scope of services as well as to account for Consumer Price Index increases; and WHEREAS, CITY and CONTRACTOR wish to amend the Agreement, effective July 1, 2024, to exercise the final one-year extension in an amount not to exceed $1,048,870,97, for a new total agreement amount not to exceed $6,420,635.22, which includes an increase in the scope to include the Wastewater Treatment Plant Administration Building, and an increase in the annual fee to account for a 3.8% Consumer Price Index.
NOW, THEREFORE, the parties agree as follows:
1. Section 4 – “Term” of the Agreement is amended to read:
“The services to be performed under this Agreement shall commence on January 31, 2018, and conclude on June 30, 2025.”
2. Section 5 – “Payment” of the Agreement is amended to read:
“Payment shall be made by CITY only for services rendered and upon submission of payment requested upon completion and CITY approval of the work performed. In consideration for the full performance of the services set forth in Exhibit A, CITY agrees to pay CONTRACTOR a fee in the amount not to exceed $6,420,635.22.
For fiscal year 2024-2025 (July 1, 2024 to June 30, 2025), a maximum annual compensation shall not exceed of $1,048,870.97, pursuant to rates stated in Exhibit B, attached and incorporated by reference. The maximum annual compensation amount includes a performance based compensation factor.”
3. Exhibit A – Scope of Services, Part I – Section 1: General Information/Locations, 10.0 Holiday Schedule is amended to add Juneteenth on June 19th as a City Observed Holiday.

Exhibit A – Scope of Services, Part II - Section 1: Specific Scope of Work by Location is amended to add cleaning services for the Wastewater Treatment Plant New Administration Building, inclusive of cleaning of Offices, Locker Rooms, Restrooms, Showers, Labs, Kitchenettes, Conference Rooms, Break Rooms, Lunchrooms, Patios, Common Areas, etc. as further defined in Exhibit A1, attached and incorporated by reference.
