6 AMENDMENT NO. 8 TO THE AGREEMENT
BETWEEN THE CITY OF SAN MATEO AND
IMPERIAL MAINTENANCE SERVICES, INC. FOR
CITYWIDE CUSTODIAL SERVICES
($747,600.00 [Original Amount], $5,673,035.22 [Amendments 1-7], $78,665.32 [Amendment 8]) This Amendment is made and entered into this day of ____________, by and between the CITY OF SAN MATEO (“CITY”), a municipal corporation existing under the laws of the State of California, and IMPERIAL MAINTENANCE SERVICES, INC. (“CONTRACTOR”).
WHEREAS, CITY and CONTRACTOR entered into an Agreement for custodial services for City facilities on January 31, 2018; and
WHEREAS, CITY and CONTRACTOR have executed Amendment Nos. 1 through 7, which included adjusting the agreement term, setting minimum wage requirements, exercising optional extensions, expanding the scope of services, and accounting for Consumer Price Index increases; and WHEREAS, CITY and CONTRACTOR wish to amend the Agreement to increase the Agreement amount by $78,665.32, for a total Agreement amount of $6,499,300.54 and extend the term through July 31, 2025.
NOW, THEREFORE, the parties agree as follows:
1. Section 4 - “Term” of the Agreement is amended to read:
“The services to be performed under this Agreement shall commence on January 31, 2018, and conclude on July 31, 2025.”.
2. Section 5 - “Payment” of the Agreement is amended to read:
“Payment shall be made by CITY only for services rendered and upon submission of a payment requested upon completion and CITY approval of the work performed. In consideration for the full performance of the services set forth in Exhibit A, CITY agrees to pay CONTRACTOR a fee in an amount not to exceed $6,499,300.54.”
3. The remaining terms of the Agreement remain in full force and effect. [SIGNATURE PAGE FOLLOWS]
