2 CITY OF SAN MATEO
RESOLUTION NO. ____ (2025)

APPROVING AN ALTERNATIVE PURCHASING PROCEDURE TO AWARD AN AGREEMENT FOR BUILDING ACCESS

CONTROL SYSTEM MAINTENANCE WITH EDGEWORTH INTEGRATION, LLC DBA VAS SECURITY SYSTEMS IN THE AMOUNT OF $120,000
WHEREAS, the City of San Mateo currently operates a building access control system that is proprietary to Edgeworth Integration, LLC DBA Vas Security Systems (Edgeworth); and WHEREAS, the City has contracted with Edgeworth for building access control system maintenance services since 2020 and the term of the current building access control system maintenance services agreement expires on June 30, 2025; and
WHEREAS, in May 2025, staff requested a proposal from Edgeworth; and WHEREAS, San Mateo Municipal Code Section 3.60.030 generally requires competitive bidding for contacts of $100,000 or more; and
WHEREAS, San Mateo Municipal Code Section 3.60.050(b) authorizes the City Council to approve an alternative purchasing procedure where calling for bids is impracticable, unavailing, or impossible; and WHEREAS, based on these circumstances, staff recommends award of an agreement to Edgeworth in the amount of $120,000 for building access control system maintenance services.

NOW, THEREFORE, THE CITY COUNCIL OF THE CITY OF SAN MATEO, CALIFORNIA, HEREBY RESOLVES that:

1. Adoption of this resolution approving an alternative purchasing procedure to award an agreement to Edgeworth Integration, LLC DBA Vas Security Systems is not a project subject to CEQA, because it can be seen with certainty that there is no possibility that building access control system maintenance services may have a significant effect on the environment. (CEQA Guidelines Section 15061(b)(3).)

2. In accordance with San Mateo Municipal Code Section 3.60.050(b), calling for bids is impracticable, unavailing, or impossible because the current control system equipment is proprietary and can only be provided and serviced by Edgeworth Integration, LLC DBA Vas Security Systems.

3. The award of a custodial services agreement to Edgeworth Integration, LLC DBA Vas Security Systems in the amount of $120,000, with a contingency reserve in the amount of $12,000, is approved.

4. The Public Works Director is authorized to execute the agreement in substantially the form presented and issue change orders within the contingency amount.
