AMENDMENT NO. 3 TO THE AGREEMENT
BETWEEN THE CITY OF SAN MATEO AND TYLER TECHNOLOGIES, INC.
FOR PERMIT TRACKING SOFTWARE
This Amendment No. 3 (“Amendment”) is effective as of the date of signature of the last party to sign as indicated below (“Amendment Effective Date”), by and between Tyler Technologies, Inc. with offices at One Tyler Drive, Yarmouth, Maine 04096 (“Tyler”) and the City of San Mateo, with offices at 330 W 20th Avenue, San Mateo, California 94403 (“Client”).
WHEREAS, Tyler and Client are parties to an agreement dated August 22, 2024 (“Agreement”), as amended on May 8, 2024 (“Amendment No. 1”) and August 22, 2024 (“Amendment No. 2”); and WHEREAS, Tyler and Client desire to further amend the terms of the Agreement as provided herein.
NOW THEREFORE, in consideration of the mutual promises hereinafter contained, Tyler and the Client agree as follows:
1. Tyler shall invoice Client fees at the rates set for below for the following renewal periods for the items listed in Exhibit 1 of this amendment:
a. September 1, 2025 - August 31, 2026: $202,966.22 Current Invoice 025-519844 b. September 1, 2026 - August 31, 2027: $209,055.21 3% Increase c. September 1, 2027 - August 31, 2028: $219,507.97 5% Increase d. September 1, 2028 - August 31, 2029: $230,483.37 5% Increase Subsequent annual renewals shall be at our then-current rates and will be invoiced in accordance with the Agreement.
2. The items set forth in the Amendment Investment Summary attached as Exhibit 2 to this Amendment are hereby added to the Agreement as of the first day of the first month following the Amendment Effective Date and, notwithstanding anything to the contrary in Exhibit 1, ending coterminous with the SaaS Term as defined in the Agreement. Payment of fees and costs for such items shall conform to the following terms:
a. The annual SaaS fees payable under the Agreement shall be increased in the amount of $27,500, for the Tyler Software added herein. The first year’s annual SaaS Fees shall be invoiced on the first day of the first month following the Amendment Effective Date, prorated for the time period commencing on such date and ending concurrently with the Client’s annual SaaS Term under the Agreement. Annual SaaS Fees for the first renewal period shall be invoiced at a three (3%) percent increase over the year one fees.
Year two and three renewals shall be invoiced at a five (5%) percent increase over the previous year’s fees. Subsequent SaaS Fees shall be invoiced in accordance with the terms
b. Unless otherwise provided herein, services identified at Exhibit 1 and added to the Agreement pursuant to this Amendment, along with applicable expenses, shall be invoiced as provided and/or incurred.
3. This Amendment shall be governed by and construed in accordance with the terms and conditions of the Agreement.
4. Except as expressly indicated in this Amendment, all other terms and conditions of the Agreement shall remain in full force and effect.
