3 AMENDMENT NO. 2 TO THE AGREEMENT
BETWEEN THE CITY OF SAN MATEO AND
KITTELSON AND ASSOCIATES FOR
ON-CALL TRANSPORTATION ANALYSIS REPORT PREPARATION
($250,000 [Original Amount] $150,000 [Amendment No. 1]

This Amendment is made and entered into this day of _______ 2026, by and between the CITY OF SAN MATEO, a municipal corporation existing under the laws of the State of California ("CITY"), and KITTELSON AND ASSOCIATES, INC. ("CONSULTANT").
WHEREAS, CITY and CONSULTANT entered into an Agreement for On-Call Transportation Analysis Report Preparation Services (“Agreement”) on January 23, 2020; and WHEREAS, on July 1, 2024, CITY and CONSULTANT executed Amendment No. 1 to extend the term of agreement to June 30, 2026, and include additional compensation in the amount of $150,000, for a total amount of $400,000; and
WHEREAS, CITY and CONSULTANT wish to amend the Agreement to extend the term of the agreement and include additional compensation in the amount of $200,000, for a revised total agreement amount of $600,000.
NOW, THEREFORE, the parties agree as follows:
1. Section 4, “Term,” of the Agreement is amended to read:
“The services to be performed under this Agreement shall commence January 22, 2020, and be completed on June 30, 2028, with an option for a one-year extension.”
2. Section 5, “Payment,” of the Agreement is amended to read:
“In consideration for the full performance of the services set forth in Exhibit A, CITY agrees to pay CONSULTANT a fee in an amount not to exceed $600,000, pursuant to rates stated in Exhibit B to this Agreement, attached and incorporated by reference.”
3. Exhibit B, attached and incorporated by reference, hereby replaces Exhibit B of the Agreement in its entirety.
4. The remaining terms of the Agreement remain in full force and effect. [SIGNATURE PAGE FOLLOWS]
