8 AMENDMENT NO. 4 TO THE AGREEMENT
BETWEEN THE CITY OF SAN MATEO AND CAROLLO ENGINEERS, INC.
FOR PROFEESIONAL CONSULTANT SERVICES FOR WASTEWATER TREATMENT PLANT ON-CALL
CONSULTING SERVICES
($400,000 [Original Amount], $450,000 [Amendment No. 1], $475,000 [Amendment No. 2], $100,000 [Amendment No. 3], $250,000 [Amendment No. 4]) This Amendment entered into this day of ____________, by and between the City of San Mateo, a municipal corporation existing under the laws of the State of California (“CITY”), and Carollo Engineers, Inc. (“CONSULTANT”).
WHEREAS, on September 2, 2022, CITY and CONSULTANT entered into an Agreement for professional consultant services (“Agreement”) for a total of $400,000 for services to be performed an on-call basis; and
WHEREAS, on October 25, 2024, CITY and CONSULTANT executed Amendment No. 1 to the Agreement to amend the points of contact and to increase the Agreement amount by $450,000, for a revised not-to-exceed total of $850,000; and
WHEREAS, on June 25, 2025, CITY and CONSULTANT executed Amendment No. 2 to the Agreement to increase the Agreement amount by $475,000, for a revised not-to-exceed total of $1,325,000; and
WHEREAS, on August 15, 2025, CITY and CONSULTANT exercised the first one-year option to extend the term of the Agreement to August 31, 2026, and increase the compensation by $100,000, for a revised not-to-exceed total of $1,425,000; and
WHEREAS, CITY and CONSULTANT wish to execute Amendment No. 4 to the Agreement to increase the Agreement amount by $250,000, for a revised not-to-exceed total of $1,675,000.
NOW, THEREFORE, the parties agree as follows:
1. The first paragraph of Section 8, “Payment”, of the Agreement is amended to read as follows:
“Payment shall be made by the CITY only for services rendered and upon submission of a payment request upon completion and CITY approval of the work performed. In consideration for the full performances of the services and any reimbursable expenses set forth in this Agreement, CITY agrees to pay CONSULTANT a fee based on verified time and materials not to exceed $1,675,000 without prior written authorization. Requests for payments shall be itemized and correspond to the various items of work described in Exhibit A and shall be based on the rate and cost schedule set forth in Exhibit B.”
2. The remaining terms of the Agreement remain in full force and effect. [SIGNATURE PAGE FOLLOWS]
