2 AMENDMENT NO. 2 TO THE AGREEMENT
BETWEEN THE CITY OF SAN MATEO AND
STEER DAVIES AND GLEAVE, INC. FOR
TRANSPORTATION DEMAND MANAGEMENT PLAN PREPARATION

This Amendment is made and entered into this day of ______ _ _ , 2026, by and between the CITY OF SAN MATEO, a municipal corporation existing under the laws of the State of California ("CITY"), and STEER DAVIES AND GLEAVE, INC. ("CONSULTANT").
WHEREAS, CITY and CONSULTANT entered into an Agreement for Transportation Demand Management Plan Preparation Services (“Agreement”) on January 23, 2020; and WHEREAS, on July 1, 2024, CITY and CONSULTANT executed Amendment No. 1 to extend the term of agreement to June 30, 2026, and include additional compensation by $150,000, for an Agreement total of $400,000; and
WHEREAS, CITY and CONSULTANT wish to amend the Agreement to extend the term of the Agreement and update the CONSULTANT’s payment rates.
NOW, THEREFORE, the parties agree as follows:
1. Section 4, “Term,” of the Agreement is amended to read:
“The services to be performed under this Agreement shall commence on January 23, 2020 and be completed on June 30, 2028, with option for a one-year extension.”
2. Exhibit B, attached and incorporated by reference, hereby replaces Exhibit B of the Agreement.
3. The remaining terms of the Agreement remain in full force and effect. [SIGNATURE PAGE FOLLOWS]
