4 AMENDMENT NO. 1 TO THE AGREEMENT
BETWEEN THE CITY OF SAN MATEO AND
CATALIS PUBLIC WORKS & CITIZEN ENGAGEMENT, LLC FOR
MASTER TECHNOLOGY-RELATED PROFESSIONAL SERVICES
($140,500 [Original Amount], $10,000 [Amendment No. 1]) This Amendment is made and entered into this day of _______________ by and between the CITY OF SAN MATEO, a municipal corporation existing under the laws of the State of California ("CUSTOMER"), and CATALIS PUBLIC WORKS & CITIZEN ENGAGEMENT, LLC ("VENDOR").
WHEREAS, on August 28, 2025, CUSTOMER and VENDOR entered into an agreement for master technology related professional services relating to establishment of a Customer Relationship Management system (“Agreement”); and
WHEREAS, CUSTOMER and VENDOR wish to amend the Agreement, to expand the scope of services, and increase compensation by $10,000, for a total revised Agreement total of $150,500.
NOW, THEREFORE, the Parties agree as follows:
1. Section 2.1 is amended to read as follows:
“The scope of services to be performed by VENDOR under this Agreement is as described in the Statement of Work in Exhibits A and A-1 of this Agreement, which is attached and incorporated by reference.”
2. Section 2.6 is amended to read as follows:
“The Services, such as but not limited to training, software implementation, software development and customization, consulting, and interface development, will be performed pursuant to and in accordance with the Statement of Work attached hereto as Exhibits A and A-1 of this Agreement.”
3. Section 6 – Payment of this Agreement is amended to read as follows:
“Payment shall be made by CITY only for services rendered and upon submission of a payment request upon completion and CITY approval of the work performed. In consideration for the full performance of the services set forth in the Scope of Services, CUSTOMER agrees to pay VENDOR a fee in an amount of $150,500, pursuant to rates stated in Exhibits A and A-1.”
4. Exhibit A-1, as attached to this Amendment No.1, is hereby incorporated by reference to the Agreement.
5. The remaining terms of the Agreement remain in full force and effect. [SIGNATURE PAGE FOLLOWS]

Development of Separate Backend Environment for City’s Contractor This SaaS license of Request311, specifically for the Graffiti abatement contractor, will be a separate backend environment than what the City currently uses.

1.1. Invoices shall be due and payable within thirty (30) calendar days following invoice by Catalis.
1.2. Any Recurring Fees will increase annually by the greater six percent (6%) or by the increase in the Consumer Price Index (“CPI”) for the prior calendar year.
VENDOR will invoice $10,000 upon beginning additional services. CITY can exercise the option of one- year extensions for an additional annual subscription fee.
