MEMORANDUM OF
DISPOSITION AND DEVELOPMENT AGREEMENT
THIS MEMORANDUM OF DISPOSITION AND DEVELOPMENT
AGREEMENT (the "Memorandum of DDA") is made as of ______, 2026, by and among the City of San Mateo, a California charter city (the "City"), AH Bespoke LP, a California limited partnership (the “Residential Developer”) and DTSM Housing, LLC, a Delaware limited liability company (the "Commercial Developer"), who may individually be referred to as a “Party” and collectively be referred to as the “Parties,” to confirm that the City, Residential Developer and Commercial Developer have entered into that certain Disposition and Development Agreement dated as of _____, 2026 (the "DDA"). The DDA imposes certain conditions (including but not limited to, construction requirements, operating covenants, and transfer restrictions) on the real property described in Exhibit A attached hereto and incorporated herein (the "Property"). The DDA is a public document and may be reviewed at the principal office of the City.
This Memorandum of DDA incorporates all of the terms and provisions of the DDA as though fully set forth herein.
Should there be any inconsistency between the terms of this Memorandum of DDA and the DDA, the terms of the DDA shall prevail. This Memorandum of DDA is prepared for the purpose of recordation, and it in no way modifies the provisions of the DDA.
This Memorandum of DDA may be executed simultaneously or in counterparts, each of which shall be deemed to be an original, but all of which together shall constitute one and the same document.
