3 AMENDMENT NO. 2 TO THE AGREEMENT
BETWEEN THE CITY OF SAN MATEO AND
FRANK & GROSSMAN LANDSCAPE CONTRACTORS, INC. FOR
CUSTODIAL SERVICES FOR DOWNTOWN SAN MATEO AND SIMILAR AREAS ($1,000,000 [Original Amount] / $500,000 [Amendment No. 1] / $601,400 [Amendment No. 2]) WHEREAS, the City of San Mateo (“CITY”), a municipal corporation of the State of California, and Frank & Grossman Landscape Contractors, Inc. (“CONTRACTOR”), entered into an Agreement for Custodial Services for Downtown San Mateo and Similar Areas on June 9, 2023 (“Agreement”); and WHEREAS, the original two-year term of the Agreement ends on June 30, 2025, and the CITY has options to extend the original Agreement for up to two, one-year extensions on the same price and terms; and
WHEREAS, on June 27, 2025, Amendment No. 1 was executed exercising the first of two, one- year extensions, extending the term through June 30, 2026, and increasing the total not-to-exceed compensation of $1,500,000; and
WHEREAS, due to increased pedestrian traffic and associated litter in the Downtown area, the CITY has identified the need to expand porter services to maintain cleanliness standards and enhance public safety, including increasing service coverage to seven days per week and additional daily service hours; and
WHEREAS, the CITY and CONTRACTOR wish to amend the Agreement to revise the scope and increase the Agreement amount by $101,400 for these increased services; and WHEREAS, the CITY and CONTRACTOR wish to amend the Agreement to exercise the final one- year extension of the Agreement in the amount of $500,000, for a total Agreement amount of $2,101,400.
NOW, THEREFORE, the Parties agree as follows:
1. Section 4, “Term”, of the Agreement is amended to read as follows:
“The services to be performed under this Agreement shall commence on July 1, 2023, and be completed on June 30, 2027.”
2. Section 5, “Payment,” of the Agreement is amended to read as follows:
“Payment shall be made by CITY only for services rendered and upon submission of a payment request upon completion and CITY approval of the work performed. In consideration for the full performance of the services set forth in Exhibits A and A-1, CITY agrees to pay CONTRACTOR an amount not to exceed $2,101,400, a fee pursuant to rates stated in Exhibits A-1 and B, attached and incorporated by reference.” Contract Amendment Page 2 of 4
