6 AMENDMENT NO.1 TO THE AGREEMENT
BETWEEN THE CITY OF SAN MATEO AND
TODD DISSLY ATHLETICS, LLC FOR
RECREATION INSTRUCTOR SERVICES
($1,950,000 to $2,050,000)
This Amendment No. 1 is made and entered into this day of _____________ by and between the CITY OF SAN MATEO, a municipal corporation existing under the laws of the State of California ("CITY"), and Todd Dissly Athletics, LLC ("CONTRACTOR").
WHEREAS, City and Todd Dissly Athletics, LLC entered into an agreement on June 8, 2022 for Recreation Instructor Services, for an initial term of June 15, 2022 to June 14, 2024, and two (2) two (2) year extension terms, for a total of six years; and
WHEREAS, City Council approved the agreement on June 6, 2022, with an annual compensation of $300,000 and provided the Director of Parks and Recreation with the authority to sign change orders of up to $25,000 per year; and
WHEREAS, the second such extension term began on June 14, 2026 and will be completed on June 14, 2028; and
WHEREAS, compensation for the 2025-2026 fiscal year has exceeded the original $300,000 amount and the $25,000 contingency was exhausted, leaving a remaining amount of $20,171.04 due to the Contractor for that fiscal year; and
WHEREAS, annual compensation for the remainder of the agreement shall be up to $350,000 annually, with a $25,000 contingency, for a total not to exceed amount of $2,050,000 for the six-year term.
NOW, THEREFORE, the Parties agree as follows:
1. Section 8(a)(1) shall be added to Exhibit A of the Agreement to read:
City shall make a one-time payment to Contractor in the amount of $20,171.04 for services rendered during Fiscal Year 2025-2026.
2. The remaining terms of the Agreement remain in full force and effect. [SIGNATURE PAGE FOLLOWS]
