AMENDMENT NO. 12 TO THE AGREEMENT
BETWEEN THE CITY OF SAN MATEO AND
CH2M HILL ENGINEERS, INC. FOR
PROGRAM MANAGEMENT SERVICES

WHEREAS, the CITY OF SAN MATEO (“CITY”), a municipal corporation of the State of California, and CH2M HILL ENGINEERS, INC. (“CONSULTANT”), entered into an Agreement for Program Management Services (“Agreement”) on October 27, 2014; and
WHEREAS, the Clean Water Program is a $1 billion capital improvement program necessary to replace aging infrastructure in the wastewater treatment plant and collection system to meet regulatory requirements; and
WHEREAS, City Council approved a professional services agreement with CONSULTANT in October 2014 to provide program management services for the Clean Water Program with scope and funding for subsequent years to be authorized annually by the City Council; and
WHEREAS, City Council authorized the scope of services for years two through twelve of the Clean Water Program under Amendments No. 1 through 11, respectively; and
WHEREAS, CITY and CONSULTANT wish to amend the Agreement effective October 27, 2014, to increase the scope of services and Agreement amount by $1,345,733.93 for year twelve of the Agreement, for a revised total of $6,807,260.93 for year twelve, to address additional levels of support required and to provide funding for two outstanding invoices from year eleven of the Agreement.
NOW, THEREFORE, the parties agree as follows:
1. Section 1, “Scope of Project,” of the Agreement is amended to add services as described in Exhibit A1, as attached to this Amendment No. 12 and incorporated by reference.
2. Section 5, “Duties of Consultant,” is amended to add services as described in Exhibit A1, and made a part of hereof.
3. Section 8, “Payment,” of the Agreement is amended to provide an additional cost schedule set forth in Exhibit A1, attached hereto this Amendment No. 12 and incorporated by reference.
4. Section 8, “Payment,” of the Agreement is amended to provide an additional cost schedule set forth in Exhibit C1, attached hereto this Amendment No. 12 and incorporated by reference.
5. The remaining terms of the Agreement remain in full force and effect.

Task 05.03—Additional Construction Management Services required to complete the Plant Seeding initiative.
This task provides programmatic oversight for the construction related activities or the Program including, Site Construction Management (CM) Services for the Wastewater Treatment Plant Upgrade and Expansion Project. Due to project delays, completion tasks such as startup and commissioning increased beyond the original estimate resulting in a higher level of effort required for Site CM Services. This task captures the cost of the increased level of effort for these services during Year 11 of the contract term and the two outstanding invoices for a total of 1,345,733.93.
