RE: Protest of Preliminary Bid Results for 2600 Moraga Road Abatement & Demolition Project
Dear Ms. Miguel,
Resource Environmental, Inc. ('Resource') formally submits a protest regarding the 2600 Moraga Road Abatement & Demolition Project ('Project'). We assert our protest on the grounds that the apparent low bidder, PARC Environmental ('PARC'), is nonresponsive due to significant deviations from the bid requirements as stipulated by the Project specifications; violations of the State of California Public Contract Code ('PCC') and controlling case law; and unfair competitive advantages. Specifically, PARC failed to have the bid proposal and the non-collusion declaration signed by an authorized officer, as required. This breach presents an unfair advantage to PARC, allowing them to potentially withdraw their bid under PCC 5103 without suffering the forfeiture of their bid bond, an advantage not offered to compliant bidders. We maintain that the lowest responsive, responsible, and qualified bidder, in this case, is Resource.
Summary of California Law
California law mandates that a public entity must competitively bid public works contracts and award the contract to the lowest responsible bidder that submits a responsive bid. MCM Construction, Inc. v.
City and County of San Francisco (1998) 66 Cal.App.4th 359, 368. These requirements are strictly enforced to protect taxpayers by inviting competition, which helps “guard against favoritism, improvidence, extravagance, fraud and corruption,” Domar Electric, Inc. v. City of Los Angeles (1994) 9 Cal. 4th 161, 173. These public interests are what is important. Ghilotti Construction Co. v. City of Richardson (1996) 45 Cal.App.4th 897, 908-909.
It is established under California law that bids which substantially conform to a public City’s request but contain some error or irregularity may be accepted if the error does not affect the amount of the bid or gives the applicant an advantage that other bidders did not have. Bay Cities Paving & Grading, Inc. v.
City of San Leandro (2014) 223 Cal.App.4th 1181, 1198-1199. Therefore, bids must be evaluated from a practical, rather than hypothetical standpoint, giving due consideration to the public interest being served. Ghilotti at 908-909; MCM at 370. These public interests are getting the best work and avoiding favoritism and corruption. Domar at 173.
To be responsive, a bid must conform to the material terms of the Instructions for Bidders. See Menefee v. County of Fresno (1985) 163 Cal.App.3d 1175. A bid that varies materially from the specifications must be rejected. Stimson v. Hanley (1907) 151 Cal. 379. The material terms of a bid are those that affect price, quantity, quality, or delivery and those terms that the bid package clearly identifies as mandatory.

Id. A bid fails to comply materially with the bid package if it gives the bidder an advantage or benefit not enjoyed by other bidders. Menefee v. County of Fresno (1985) 163 Cal.App.3d 1175.
In the case of California Transit Construction, Inc. v. California Department of General Services (2004) 114 Cal. App. 4th 169, it was determined that authorization and execution of bid proposals bear paramount significance in public works contracts. The ruling emphasized that each bid must be signed by the bidder’s corporate officers, if required by the specifications, and failure to comply results in an invalid bid. The court also stressed that in instances of a partnership or corporation, stringent guidelines must be followed to ensure the validity of the bid. This verdict reaffirms the stringent norms surrounding the competitive bidding process, ensuring that only bids submitted by appropriately authorized parties are considered valid and enforceable, thereby preserving the integrity and competitiveness of the public bidding process.
Mistakes that provide the bidder with an opportunity to withdraw its bid under Public Contract Code (‘PCC’) 5103 cannot be waived by the awarding body because the defective bid gives the bidder an unfair competitive advantage over other bidders. Ghilotti Construction Company v. City of Richmond (1996) 45 Cal.App.4
th 897, 900; Konica Business Machines USA, Inc. v. Regents of the University of California (1988); Menefee v. County of Fresno (1985)
In MCM Construction, Inc. v. City & County of San Francisco (1998) 66. Cal.App.4 th 359, the court held
that the awarding body was without power to waive the bidder’s failure to state accurate dollar amounts of work to be performed by subcontractors because the nonresponsive bidder could seek withdrawal of its bid without forfeiting bid security, and thus obtained an unfair advantage not available to other bidders.
Violation of Bid Signature Requirements
According to the bid specifications and California Corporation Code 313, all bid documents must be signed by two authorized officers of the bidding company. PARC’s bid was signed by an estimator/project manager, not an authorized officer, which is a violation of the bid requirements.
As per the Instructions to Bidders, Section 3: Authorization and Execution, "Each Bid Proposal must be signed by the bidder’s authorized representative...A Bid Proposal submitted by a corporation must be signed with the legal name of the corporation, followed by the signature and title of two officers of the corporation with full authority to bind the corporation to the terms of the Bid Proposal, under California Corporations Code § 313."
The case of California Department of General Services v. California Transit Construction, Inc., 114 Cal.
App. 4th 169 (2004) underscores the importance of the signature requirement. In this case, the court held that a bid was invalid because it was not signed by an authorized officer of the corporation. The court reasoned, "The bid was invalid because it was not signed by an authorized officer of the corporation" (Cal. Dept. Gen. Servs. v. Cal. Transit Const., Inc., 114 Cal. App. 4th 169). This decision underlines the criticality of the signatory's authority to ensure the legitimacy and enforceability of the bid.

The ruling in California Department of General Services v. California Transit Construction, Inc., 114 Cal.
App. 4th 169 (2004) reinforces the importance of this requirement, with the court specifically noting that a bid signed by an unauthorized individual "fails to bind the corporation legally to its bid and potentially leaves the public entity without a remedy in the event the corporation refuses to execute a contract" (114 Cal. App. 4th at 178).
By not signing the bid proposal as required by the solicitation and by California Corporations Code § 313, PARC Environmental has failed to bind itself legally to the bid, providing the company an unfair advantage over other compliant bidders. This impropriety has given PARC Environmental an opportunity to withdraw its bid under Public Contract Code 5103, an advantage not available to other bidders who have complied with the signature requirements and are, therefore, legally bound to their bids.
This deviation from the required bid signature protocol is not minor or immaterial, but a material deviation that directly impacts the enforceability of the bid, making it non-responsive to the solicitation's requirements. In this instance, the question of responsiveness is settled law.
Violation of Non-Collusion Affidavit Requirements
The bid package required that a non-collusion declaration be signed by an officer of the bidding company, in accordance with California Public Contract Code § 7106 and Title 23 U.S.C § 112. However, PARC Environmental's declaration was signed by an estimator/project manager, not an officer with the authority to bind the corporation.
The non-collusion declaration included in the bid documents states: "This declaration is intended to comply with California Public Contract Code § 7106 and Title 23 U.S.C § 112." Despite this statement, the signer of the declaration was not an officer with full authority to bind the corporation as stipulated in Public Contract Code § 7106.
Specifically, the final paragraph of Section 7106 mandates: "Any person executing this declaration on behalf of a bidder that is a corporation, partnership, joint venture, limited liability company, limited liability partnership, or any other entity, hereby represents that he or she has full power to execute, and does execute, this declaration on behalf of the bidder."
The violation lies in the fact that an estimator/project manager, not a corporate officer, signed the declaration. This discrepancy undermines the authenticity of the non-collusion affidavit, thereby calling into question the validity of the entire bid. It is not a minor or inconsequential irregularity. Instead, it represents a material deviation from bid requirements that directly impacts the authenticity and enforceability of the bid and compliance with PCC.
Furthermore, an improperly signed non-collusion declaration could potentially offer the bidder an undue advantage by providing a means to sidestep legal consequences for collusive or sham bidding.
This is in direct opposition to the spirit and purpose of Public Contract Code § 7106 and Title 23 U.S.C § 112, which strive to ensure fairness, transparency, and accountability in the public bidding process.
Taken together with the issue of unauthorized bid signature discussed in point 1, these violations provide compelling evidence that PARC Environmental's bid is non-compliant and must be rejected.

Inconsistent Application of Bid Requirements Violates Fair Bidding Practices
It is a principle of public contracting that all bidders be held to the same standards, providing all potential contractors with a fair and equitable opportunity to compete for public work. This standard was not upheld in the case of American Integrated Resources, Inc., whose bid was discarded by the City of San Pablo for failing to adhere to the specifications regarding the bid document's signature.
A selective adherence to the application of bid requirements can undermine the integrity of the entire public bidding process. Discrepancies such as this not only provide an unfair advantage to one bidder over others but also may imply favoritism, contrary to the principles of a competitive bidding process that seeks to maintain a level playing field for all participants.
The treatment of PARC’s bid proposal, which contains a similar violation in terms of the required signatures, raises questions about the objectivity and fairness of the bid evaluation process. In the interest of public fairness and equitable treatment, the City of San Pablo should apply the same rigidity to all bid proposals.
Consequently, not applying the same rigor in assessing the compliance of all bidders sends a message that undermines the public's confidence in the integrity of the competitive bidding process. To uphold the public interest in maintaining a fair and open competitive bidding process, it is essential that the same strict compliance to the bid requirements be applied consistently across all bidders.
The Unfair Advantage of Possible Bid Withdrawal
PARC Environmental, by submitting a bid with non-compliant signatures, created a situation where they may have been given an undue and unfair advantage over other bidders. Specifically, this discrepancy provides PARC Environmental with the opportunity to withdraw its bid under Public Contract Code (PCC) 5103 without forfeiting its bid bond, an advantage not afforded to compliant bidders.
The legal precedents set in previous case law clearly support this point. As established in Ghilotti Construction Company v. City of Richmond (1996) 45 Cal.App.4th 897, 900, mistakes that afford the bidder an opportunity to withdraw its bid under PCC 5103 cannot be waived by the awarding body. This is because the defective bid gives the bidder an unfair competitive advantage over other bidders, a principle that was also upheld in Konica Business Machines USA, Inc. v. Regents of the University of California (1988) and Menefee v. County of Fresno (1985).
In the case of MCM Construction, Inc. v. City & County of San Francisco (1998) 66. Cal.App.4th 359, the court further reinforced this principle. The court ruled that the awarding body lacked the power to waive the bidder’s failure to accurately state the dollar amounts of work to be performed by subcontractors. This was because the non-responsive bidder could seek withdrawal of its bid without forfeiting bid security – after knowing its competitors’ bid numbers and where they placed, thereby gaining an unfair advantage not available to other bidders.
In this context, by signing the bid with an unauthorized representative, PARC Environmental may have positioned itself to withdraw its bid after having seen the spread of the other bids, without suffering any

penalties that a compliant bidder would typically face. This potential for bid withdrawal gives PARC Environmental an undue advantage in this bidding process, in clear violation of the principles of fair and equitable public contracting. The precedent set by controlling case law, along with the principles of fair competition, mandates that such an advantage is not allowed to stand.
Resource Environmental, Inc., based on the significant deviations and violations outlined herein, requests the City of San Pablo to deem PARC Environmental nonresponsive and reconsider the preliminary bid result tabulation. These substantial discrepancies contravene the principles of the PCC, compromise the competitive bidding process, and most importantly, subvert the public interest. If overlooked, these deviations implicitly sanction an unfair advantage to PARC, severely distorting the bidding competition. Therefore, to preserve the integrity, fairness, and competitive spirit of the public contract bidding process, we earnestly request the contract be awarded to Resource Environmental, Inc., the lowest responsive and responsible bidder that fully adheres to the rules stipulated in the Project's specifications and the PCC.

“will negotiate,” or similar, will be considered nonresponsive. Each Bid Proposal must be accompanied by the following documents plus any other required enclosures as applicable:

• A completed Bid Schedule, using the form included with the Contract Documents; • A completed Subcontractor List, using the form included with the Contract Documents; and
• A Non-Collusion Declaration, using the form included with the Contract Documents.
3. A
uthorization and Execution. Each Bid Proposal must be signed by the bidder’s authorized representative. A Bid Proposal submitted by a partnership must be signed in the partnership name by a general partner with authority to bind the partnership. A Bid Proposal submitted by a corporation must be signed with the legal name of the corporation, followed by the signature and title of two officers of the corporation with full authority to bind the corporation to the terms of the Bid Proposal, under California Corporations Code § 313.
4. Bi
d Security. Each Bid Proposal must be accompanied by bid security of ten percent of the maximum bid amount, in the form of a cashier’s check or certified check, made payable to the City, or bid bond using the form included in the Contract Documents and executed by a surety licensed to do business in the State of California. The bid security must guarantee that, within ten days after issuance of the Notice of Potential Award, the bidder will: execute and submit the enclosed Contract for the bid price; submit payment and performance bonds for 100% of the maximum Contract Price; and submit the insurance certificates and endorsements and any other submittals, if any, required by the Contract Documents or the Notice of Potential Award. A Bid Proposal may not be withdrawn for a period of 90 days after the bid opening without forfeiture of the bid security, except as authorized for material error under Public Contract Code § 5100 et seq. After 90 days and award of contract, all other bid proposals will be deemed withdrawn unless City determines otherwise.
5. Requests for Information. Questions or requests for clarifications regarding the Project, the bid procedures, or any of the Contract Documents must be submitted in writing to Matt Brown, Senior Civil Engineer, at [email protected] . Oral responses are not authorized and are not binding on the City. Bidders should submit any such written inquiries at least six Working Days before the scheduled bid opening. Questions received any later might not be addressed before the bid deadline. An interpretation or clarification by City in response to a written inquiry will be issued in an addendum.
6. Pr
e-Bid Investigation.
6.1 G
eneral. Each bidder is solely responsible at its sole expense for diligent and thorough review of the Contract Documents, examination of the Project site, and reasonable and prudent inquiry concerning known and potential site and area conditions prior to submitting a Bid Proposal. Each bidder is responsible for knowledge of conditions and requirements which reasonable review and investigation would have disclosed. However, except for any areas that are open to the public at large, bidders may not enter property owned or leased by the City or the Project site without prior written authorization from City.
6.2 D
ocument Review. Each bidder is responsible for review of the Contract Documents and any informational documents provided “For Reference Only,” e.g., as-builts, technical reports, test data, and the like. A bidder is responsible for notifying City of any errors, omissions, inconsistencies, or conflicts it discovers in the Contract Documents, acting solely in its capacity as a contractor and subject to the limitations of Public Contract Code § 1104.
