SECOND AMENDMENT TO AGREEMENT FOR CONSULTING SERVICES
BETWEEN THE CITY OF SAN PABLO AND CIRCLE UP EDUCATION
THIS SECOND AMENDMENT TO AGREEMENT FOR CONSULTING
SERVICES is effective this 18th day of June 2024, by and between the City of San Pablo, a municipal corporation ("City") and CircleUp Education (“Consultant”).
R E C I T A L S
WHEREAS, on the 15th of February 2023, City and Consultant entered into an Agreement to provide Diversity, Equity, Inclusion Initiative Support, Development, and Training services to City (“Agreement”); and
WHEREAS, effective the 15
th of October 2023, the parties agreed to modify the terms of that Agreement related to Scope of Scope of Services and Compensation through a First Amendment, adding the provision of additional Diversity, Equity and Inclusion coaching and training, and increasing compensation by $27,829, for a total contract amount not to exceed $45,054; and
WHEREAS, the parties have agreed to further modify the terms of that Agreement and Amendment related to Sections 1 and 3, “Scope of Services,” Section 2, “Compensation,” and Section 4, “Effective Date and Term”;
NOW, THEREFORE, THE PARTIES DO MUTUALLY AGREE AS FOLLOWS:
1. SCOPE OF SERVICES. Pursuant to Section 3 of the Agreement, entitled “Additional Services,” certain Additional Services shall be added to the “Scope of Services” identified in Section 1 of the Agreement. Section 1.A. of the Agreement, “Scope of Services” is amended to add the following provision(s):
“Consultant shall provide to the City the Additional Services of Organizational Culture Survey Design and Implementation, as set forth in the Consultant’s Proposal submitted May 9, 2024, attached as Amendment Exhibit 2 and incorporated herein.”
2. COMPENSATION. Section 2 of the Agreement, “Compensation” is amended to include the following provision:
“As full compensation for timely and completed performance of the Additional Services as specified in Section 1 of this Amendment, CITY shall pay Consultant an additional Twenty-Nine Thousand Two Hundred Eighty-Two Dollars ($29,282), for a total compensation under this Agreement as amended not to exceed Seventy-Four Thousand Three Hundred Thirty-Six Dollars ($74,336).”
3. EFFECTIVE DATE AND TERM. Section 4 of the Agreement, “Effective Date and Term” is amended to include the following provision:

“The Term of this Agreement (“Term”) begins on the date set forth above, and expires on December 31, 2024.”
4. All other terms and conditions of the Agreement, as amended, s hall remain in full force and effect.
