STAFF REPORT
OCTOBER 20, 2022
(For City Council Consideration on November 1, 2022)
TO: Mayor and City Council
FROM: John Kuehl CBO, City Building Official
SUBJECT: 2nd Reading - Formal Adoption of the 2022 California Building and Related Codes
BACKGROUND
At the October 18, 2022 Council meeting, the City Council adopted for first reading an ordinance to update Title 15 of the City’s Municipal Code with the latest versions of the California Building, Fire, and other related construction codes. No concerns were identified or discussed at the October 18th public hearing, nor was there any public comment received. If adopted by Council, the ordinance would go into effect on January 1, 2023. The October 18th staff report is attached and incorporated into this report.
RECOMMENDATION
Staff recommends that the City Council ADOPT the ordinance to update and amend related sections/chapters of Title 15 of the Sand City Municipal Code for 1) consistency and compliance with the State of California, 2) consistency with the service contract between Sand City and Monterey, and 3) to incorporate amendments that are specific to Sand City’s local climate, geology, and topographical conditions as allowed by California Health and Safety Code Sections 17958, 17958.5, and 17958.7 Attachments:

STAFF REPORT
October 18, 2022
TO: Mayor and City Council
FROM: John Kuehl CBO, City Building Official
SUBJECT: Formal Adoption of the 2022 California Building and Related Codes
BACKGROUND
The State of California adopted updated editions of the California Building Standards Code (inclusive of the Building Code, Fire Code, Historical Building Code, Existing Building Code, Residential Code, Plumbing Code, Electrical Code, Mechanical Code, Green Building Code, and International Property Maintenance Code) that become effective on January 1, 2023. These codes must be implemented by county and municipal governments throughout California as of that date. Following the State’s adoption of updated Building Standard Codes, the City adopts an ordinance to amend and update Title 15 of the Sand City Municipal Code (the “SCMC”) to be consistent with the updated California Code. The following is a list of the updated California codes to be adopted and incorporated into the SCMC:
California Building Code & Appendix Chapters H and J; 2022 ed.
California Historic Building Code, 2022 ed.;
California Existing Building Code, 2022 ed.;
California Residential Code, 2022 ed.;
California Plumbing Code, 2022 ed.;
California Electrical Code, 2022 ed.;
California Mechanical Code, 2022 ed.;
California Green Building Standards Code, 2022 ed.;
California Energy Code, 2022 ed;
California Fire Code; 2022 ed.;
International Property Maintenance Codes, 2021 ed.;
DISCUSSION
The California Building Standards comprising codes regulating building, fire, electrical, plumbing, and mechanical conditions are revised on a multi-year cycle. In January 2022, the State adopted and approved the 2022 Edition of the Building Standards Codes, also known as the California Codes. These codes were published July 1, 2022 and will become effective January 1, 2023 (and are known as the 2022 Edition of the California Codes). All local jurisdictions in California are mandated to begin enforcement of these new codes and standards by January 1, 2023.
Typically, and in accordance with state law, local jurisdictions incorporate additional regulations that address special circumstances in the community or area provided. Such 72 special regulations are based on geographical, topographical, climatic, or environmental findings. City staff has developed and incorporated a few local amendments to the model codes. These amendments are consistent with past code adoptions and staff is not proposing any new amendments. There were some amendments that have been removed. The deletions are not necessary as the California Codes have incorporated these previous amendments into the new codes.
Council could choose to adopt the new 2022 Edition of the Building Standards Codes with no changes. However, the amendments are necessary to address local conditions.
Similar amendments are believed to be appropriate for structures in Pacific Grove. For each amendment to be effective, they must be adopted by the City Council along with the model codes that have been adopted by the state.
The proposed Ordinance is exempt from environmental review, per the provisions of Section 15061(b)(3) of the California Environmental Quality Act of 1970 (“CEQA”), as amended. The Ordinance does not have the potential to cause a significant effect on the environment because the Building Codes ensure that property improvements meet the State of California’s health and safety requirements. New property improvements undergo their own environmental clearance when proposed.
RECOMMENDATION
Staff recommends that the City Council approve a first reading of the attached draft ordinance, to update and amend related sections of Title 15 of the Sand City Municipal Code for 1) consistency and compliance with the State of California, 2) consistency with the service contract between Sand City and Monterey, and 3) incorporate amendments that are specific to Sand City’s local climate, geology, and topographical conditions as allowed by California Health and Safety Code Sections 17958, 17958.5, and 17958.7.
Second reading should follow on the next Council Meeting as a public hearing item. This ordinance would then be effective on January 1, 2023 in accordance with State law.

SUBJECT: Adopt a Resolution Approving a Pedestrian and Bicycle Wayfinding Program Regional Funding Agreement Between the Transportation Agency for Monterey County and the City of Sand City
RECOMMENDATION
Adopt a Resolution Approving a Pedestrian and Bicycle Wayfinding Program Regional Funding Agreement Between the Transportation Agency for Monterey County and the City of Sand City.
BACKGROUND
The Transportation Agency for Monterey County (TAMC) developed the Regional Bicycle and Pedestrian Wayfinding Plan (Wayfinding Plan) for Monterey County (County) to provide standard guidelines for bicycle and pedestrian wayfinding signage throughout the County. The goal of the Wayfinding Plan is to improve access to regional destinations, provide consistent wayfinding signs for regional connections and to promote sign features that jurisdictions will be encouraged to incorporate into their own signs in order to improve wayfinding within their own city boundaries. TAMC has found that uniform signage supports residents and visitors who want to bicycle or walk for transportation and recreation and can enhance each jurisdiction’s brand as a regional destination.
The Wayfinding Plan is published on TAMC’s web site and includes the following elements:
• Identification of regional bicycle and pedestrian routes • Identification of appropriate sign locations
• Uniform wayfinding sign design guidelines
• Wayfinding Plan implementation and maintenance strategies As part of the Wayfinding Plan, TAMC is requesting that each jurisdiction enter into a Pedestrian and Bicycle Wayfinding Program Regional Funding Agreement (Agreement), which describes the Wayfinding Plan and covenants that each party to the agreement will be responsible for.
The main terms of the Agreement include:
• The complete Project Description is specified in Exhibit “A” to the Agreement, • City accepts the Wayfinding signage at the locations proposed in the Wayfinding Plan, • Eligible costs to be funded by TAMC pursuant to this Agreement are those related to the solicitation and award one or more contracts for the manufacture and installation of Wayfinding signage approved by the City.
• City shall bear all costs related to the issuance of permits and the maintenance and repair of Wayfinding signage within its jurisdiction,
• The City accepts the designs of the Wayfinding signage shown in Exhibit “B” to the 86
Agreement and generally at the locations designated in Exhibit “C” to the Agreement, • That installation of the wayfinding signs will occur within the first six (6) months after notification by TAMC,
• Wayfinding signage will consist of a customized “Sign Topper”, “Confirmation Signs”, and “Directional/Distance” signage.
The Agreement is shown in Attachment A to the Resolution accompanying this staff report.
Exhibits “A”, “B”, and “C” are included with the Agreement.
The wayfinding sign designs, layout and color scheme were developed by a county wide committee that included extensive community outreach. The committee settled on the designs shown in Exhibit “B” as the standard throughout the county as a means to provide a cohesive county-wide system of wayfinding signage.
TAMC has submitted an encroachment permit to the City with accompanying plans that show the construction of a total of 9 wayfinding signs within City Limits. However, 2 of these signs will be installed within the Caltrans Right-of-Way (ROW) at California Avenue and State Route 1.
Therefore, the Agreement with TAMC will govern the 7 signs within the City which are proposed at the following locations:
• 2 signs at La Playa Avenue
• 3 signs on Tioga Avenue near Metz Road (to be coordinated with the West End South of Tioga Development)
• 2 signs on Sand Dunes Drive south of Metz Road
Regarding the 2 signs within the Caltrans ROW, TAMC will initiate coordination with Caltrans to establish a separate agreement which the City will need to execute. TAMC will ensure that the City Engineer and City staff are involved once this coordination has been initiated.
The wayfinding sign designs, proposed locations, and long-term maintenance have all be reviewed and approved by the City Planner, Public Works Supervisor, and City Engineer. The Agreement has been reviewed and approved by the City Manager.
REVIEW AND ANALYSIS
The Wayfinding Plan will provide standard guidelines for bicycle and pedestrian wayfinding signage within the City consistent with signage that is County-wide. City staff have reviewed the sign designs, proposed locations, and the Agreement and have approved of these items and support this project.
ENVIRONMENTAL (CEQA) CLEARANCE
The Wayfinding Plan was determined to be exempt from CEQA under 14 CCR Section 15301:
Existing Facilities, as affecting minor alterations to existing public structures and facilities. All applicable statutes of limitations concerning the approval of the Wayfinding Plan under CEQA have been exhausted
FISCAL IMPACT
As noted above, TAMC will provide for the solicitation and award one or more contracts for the manufacture and installation of Wayfinding signage and the City will be responsible for all costs associated with the issuance of permits and the maintenance and repair of Wayfinding signage 87
within its jurisdiction, once the signs have been installed.

SUBJECT: Award of contract for Calabrese Park Improvement Project to Granite Rock
______________________________________________________________________ Background:
The City of Sand City (“City”) was awarded $177,952 in grant funds from the Proposition 68 California Drought, Water, Parks, Climate, Coastal Protection, and Outdoor Access for All Act of 2018 Per Capita Program (“Per Capita Grant”) to support the rehabilitation and improvement of Calabrese Park. The grant program is administered by the State of California Natural Resources Agency Department of Parks and Recreation Office of Grants and Local Services (the “State”) and funds local park rehabilitation. In August of 2020, the City entered into a grant contract with the State to receive these funds with the performance period ending on June 30, 2024.
In addition to the Per Capita Grant, the City was awarded $90,000 in Community Development Block Grant (CDBG) funding to support the ADA parking and street improvements adjacent to Calabrese Park and the City Engineer worked with the California Transportation Commission to obtain approval for the City to utilize its share of SB 1 Road Maintenance and Rehabilitation Account funding which is $31,207 through June 30, 2022.
In 2021, the City expanded the original park project to include the rehabilitation of Pendergrass Way and the parking lots in and around City Hall, as well as new curb, gutter, and sidewalk along the west side of Pendergrass Way and ADA compliant curb returns at the two intersections with California Avenue and new signing and striping.
Also in 2020, the City Council approved a City Capital Improvement Project (CIP) which identified the Project as a priority for the City (SC Res. No 20-13, 2020). On January 18, 2022, BFS Landscape Architects and the City Engineer presented the Project design 102
(park, street and parking lot improvements) to Council and obtained its approval to move ahead with the Project.
On August 2, 2022, the City publicly bid the larger scope project and received four bids which were opened on August 23, 2022. However, the lowest bid was $358,618 higher than the engineer’s estimate for the larger scope project and well above the City’s FY 22-23 projected budget surplus. City staff therefore recommended to Council that it reject all the bids for the combined project and reduce the scope of the project to limit it to the improvements of Calabrese park, the adjacent ADA parking and limited curb, gutter, and sidewalk improvements. Council rejected all bids and requested this rescoping and re-bidding at its September 20, 2022 City Council meeting. The project was re-scoped and rebid on September 28, 2022 with a bid opening on October 18, 2022. The final Project plans and specifications are attached to this staff report as Exhibit A.
The reduced scope Calabrese Project was advertised for public bidding and posted in the Monterey Herald and on the City’s website on September 28, 2022. On October 6, 2022, a pre-bid conference was held during which time interested bidders were provided the opportunity to walk the site, ask questions, and review the bid documents, and on October 14, 2022, the City issued an addendum in response to bidder’s questions. On October 18, 2022 a bid opening was held at City Hall and a total of four sealed bids were received for the Project as summarized below:
Bidder Total Bid Amount:
Granite Rock $726,265.00
Tyman Construction Inc. $740,705.00
Don Chapin Company $771,369.00
MPE $844,250.00
If the contract is awarded, City staff would work to obtain the required bonds, proof of insurance, and other support documents from the lowest responsible bidder in order to execute the contract for the work. Prior to starting construction, a pre-construction meeting will be scheduled.
FISCAL IMPACT:
As set forth above, the total grant funding awarded to apply to the Project is $299,159.
While the lowest bid is for an amount not to exceed $726,265.00, the total Project construction estimate is as follows:
Construction contract (total base bid): $726,265.00
Construction contingency, 15%: $108,939.00
103
Construction Management and inspection, 15% $ 108,939.00 Total Project estimate to completion: $944,143.00_
Expenses to date:
In addition, it should be noted that the following expenditures have already been incurred by the City for the Project over the past several years:
BFS Landscape Architects; sign works; tree service, 4LEAF: $ 36,710 City Engineer & City Surveyor (dating back to February, 2018): $129,799 Moore Twining Associates, Inc. (Geotechnical) $ 7,344
Total expenditure on Project as of 10/25/22: $173,853
When completed, the total cost to the City for the Project as a whole is expected to not exceed $ 818,837 (The $944,143.00 remaining projected expense plus the $173,853 already spent minus the $299,159 grant funding obtained).
If the City were to award this contract, given the expected costs set forth above, this action would require that the budget be amended and money transferred to the 5010-12 (Calabrese ADA and Per Capita Parks) budget line for FY 22-23.
CEQA:
The Project was evaluated by the City and determined to be categorical exempt based on guideline sections 15301(c)-Existing Facilities, 15302-Replacement/Reconstruction, and 15304(b)-replacement of existing landscaping. The City originally filed a Notice of Exemption (NOE) for the Calabrese Park portion of the Project with the Monterey County Recorder’s office.
RECOMMENDATION:
It is recommended that the City Council adopt the attached resolution. The resolution will accomplish the following:
1. Award the Contract to the lowest bidder and authorize the City Manager to execute a contract with Granite Rock in an amount not to exceed $726,265.
2. Approve additional funds up to $108,939 (15% of the contract amount) as a contingency for construction change orders, if necessary, and subject to the approval of the City Manager.
3. Approve additional funds up to $108,939 (15%) for construction management and inspection, subject to the approval of the City Manager. 104

1 City of Sand City
Staff Memo
TO: Honorable Mayor and City Council
FROM: Vibeke Norgaard, City Manager; Charles Pooler, City Planner DATE: October 31, 2022 (for November 1, 2022 meeting)
SUBJECT: Approval of purchase and sale agreement with the John T. Calcagno and Teresa L. Calcagno Revocable Trust regarding Monterey County Assessor’s Parcel number 011-133-009-000
_____________________________________________________________________
1. Background/Discussion
On June 7, 2022, the City Council directed the City Manager and City Attorney to negotiate with Rich Calcagno to execute the required documentation to purchase a 25-foot wide and 75-foot deep undeveloped vacant parcel currently impacted with environmentally sensitive species and habitat located within the undeveloped East Dunes planning district fronting Hayes Street on APN 011-133-009 (no address) (“Property”) and as depicted on the map attached hereto as Attachment 1.
The City Attorney has drafted an agreement with Mr. Calcagno, the representative of the owner of the property -- the John T. Calcagno and Teresa L. Calcagno Revocable Trust. Under the terms of the Agreement, the City will purchase the parcel for $2,000 plus any closing costs. The draft Purchase and Sale Agreement (“Agreement”) can be found as Exhibit A to the resolution attached to this staff report as Attachment 2. Attached to the Agreement is the legal description of the Property.
This vacant property is located in an area of known to have environmentally sensitive species and habitat with the possible existence of Federally and State protected species such as the Smith’s Blue Butterfly, Monterey Gilia, Monterey Spineflower, and Coastal Buckwheat. Despite its current lack of development potential, City staff recommends that the Council purchase this parcel for its potential role in a future City-wide” Incidental Take Permit (ITP) from California Fish and Wildlife (CDFW), which has been preliminarily discussed between the City Manager and CDFW. If the City could obtain such a City-wide ITP, it could assist some property owners in Sand City who are interested in future development of their properties within environmentally sensitive East Dunes area.
2. CEQA
The transfer of land ownership to the City is not a “Project” in accordance with CEQA (California Environmental Quality Act) guideline section 15378, and is therefore not subject to CEQA per Agenda
Item
9C
130
2 CEQA Guideline sections 15060(c)(3) and 15060(c)(2) as such activity will not result in the direct or reasonably foreseeable indirect physical change or significant effect to or upon the environment.
3. Fiscal Impact
The cost to the City for the purchase of this parcel is $2,000 plus closing costs.
4. Staff’s Recommendation
Staff recommends that the City Council approve the attached resolution (Attachment 2) which authorizes the City Manager to enter into the Agreement Regarding Land Conveyance Exhibits/Attachments:

Pacific Time on the last day of the Due Diligence Contingency Period, Buyer shall be deemed to have waived the Due Diligence Contingency and Buyer’s Deposit shall become nonrefundable except in the event of Seller’s breach or as otherwise provided in this Agreement. If Buyer gives Seller timely written notice of termination of this Agreement because of failure of the Due Diligence Contingency, Seller shall, within one (1) business day, issue irrevocable and unconditional written instructions to Escrow Holder to return Buyer’s Deposit with all interest accrued thereon, and to return to the Party depositing them all such funds, documents, and other items as that Party may have previously deposited into Escrow, and neither Party shall have any further right or remedy against the other under this Agreement.
3.4 Independent Consideration. As independent consideration for Seller’s entering into this Agreement to sell the Property to Buyer, Buyer shall deliver the sum of Ten Dollars ($10.00) to Seller through Escrow (“Independent Consideration”). In the event that this Agreement is terminated for any reason, Seller shall retain the Independent Consideration; in the event that Buyer does not terminate this Agreement as aforesaid, the Independent Consideration shall be applied to the Purchase Price at Closing.
4. DUE DILIGENCE AND PROPERTY DISCLOSURE REQUIREMENTS.
(a) Condition of Title/Preliminary Report. Buyer has received Preliminary Report for the Property, including copies of all exceptions listed in the Preliminary Report (collectively the “Preliminary Report”). Buyer will review the Preliminary Report and all of the following exceptions to title shall be deemed “Permitted Exceptions”: (a) standard printed exceptions in the Preliminary Report;
136
(b) general and special real property taxes and assessments constituting a lien not yet due and payable; (c) exceptions created by Buyer or by any subtenant of Buyer; (d) any other exceptions approved by Buyer in writing.
(i) Title Review; Objections. Buyer shall have thirty
(30) days after the Effective Date to either approve the exceptions contained in the Preliminary Report (the “Title Approval Date”), or to notify Seller in writing (the “Title Objection Notice”), specifying any exceptions and/or survey matters to which Buyer objects (the “Title Objections”). The Title Approval Date shall be extended one day for every day that delivery of the Preliminary Report to Buyer is delayed beyond the five (5) day period. If Buyer fails to timely give the Title Objection Notice, Buyer shall be deemed to have delivered a Title Objection Notice objecting to all exceptions contained in the Preliminary Report. Seller shall have a period of fifteen (15) business days after Seller’s receipt (or deemed receipt) of the Title Objection Notice (a) to remove, or agree to remove prior to the Closing, some or all of the Title Objections, and to inform Buyer in writing of the same, or (b) to inform Buyer, in writing, that Seller will not agree to remove some or all of the Title Objections (the “Title Response Notice”). If Seller fails to timely deliver the Title Response Notice to Buyer, it shall be conclusively deemed that Seller has elected not to remove any of the Title Objections. If Seller advises Buyer in its Title Response Notice that it will not remove all of the Title Objections (or Seller is deemed to have so advised Buyer), then Buyer shall have until 11:59 p.m. Pacific Time on the last day of the Due Diligence Contingency Period (as defined below) to inform Seller, in writing, whether Buyer elects to waive such objections and proceed with the acquisition of the Property or to terminate this Agreement. Seller shall have until the Closing Date to remove those specified exceptions, if any, which Seller has agreed to remove in the Title Response Notice. Notwithstanding the foregoing, by the Closing Date or in connection with the Closing, Seller shall remove or cause to be removed all monetary liens, all UCC-1 filings with respect to the Property, if any, and all monetary encumbrances affecting the Property (other than current taxes and assessments not yet due and payable). If, after agreeing to correct or remove any Title Objections, Seller is unable to correct or remove all of them before the time set for the Closing, Buyer shall have the right to terminate this Agreement and the escrow provided for herein, in which event Seller shall, within one (1) business day, issue irrevocable and unconditional written instructions to Escrow Holder to return Buyer’s Deposit with all interest accrued thereon, and to return to the Party depositing them all such funds, documents, and other items as that Party may have previously deposited into Escrow. (b) Modifications to the Preliminary Report. Buyer shall have the right to reexamine title to the Property and in the event of any amended, updated or modified version of the Preliminary Report after Buyer has provided or been deemed to have provided the Title Objection Notice, Buyer shall have the right to object to any additional title exceptions, or modifications to existing title exceptions, contained in such amended, updated, or modified Preliminary Report by the same process used with regard to the original Preliminary report, as described in this Article 4; provided, however, that the objection and response times of each of the Parties shall be limited to five (5) calendar days each, and the Closing shall be extended accordingly.
137
4.2 Due Diligence Contingency Period. Buyer will have thirty (30) days from the Effective Date (the “Due Diligence Contingency Period”) to complete physical inspections of the Property and due diligence related to the purchase of the Property, including without limitation approval of the condition of title. Buyer may extend the Due Diligence Contingency Period two (2) times, each by thirty (30) days, upon written notice to Seller not less than two (2) days prior to the end of the Due Diligence Contingency Period and deposit of the additional funds required for extension, as set forth in Section 3.3. Notwithstanding the foregoing, Buyer may only extend the Due Diligence Contingency Period two (2) times. Seller shall provide to Buyer complete copies of all documents relating to the ownership and operation of the Property, if any, that are in Seller’s possession or control (the “Due Diligence Documents”) by not later than ten (10) business days following the Effective Date All physical inspections must be coordinated with Seller’s representative. Buyer hereby agrees to indemnify and hold Seller harmless for any damage to the Property caused (but not merely revealed) by Buyer’s inspections.
4.3 Satisfaction of Due Diligence Contingency. Buyer shall have the right, in its sole discretion, to terminate this Agreement for any reason prior to the expiration of the Due Diligence Contingency Period and receive a refund of Buyer’s Deposit. Buyer hereby agrees to provide written notice to Seller prior to the expiration of the Due Diligence Contingency Period if Buyer approves or disapproves the due diligence items. Upon provision of notice of disapproval to Seller, this Agreement will terminate, and all amounts deposited by Buyer into escrow, together with interest thereon, if any, will be returned to Buyer, and neither Party will have any further rights or obligations hereunder except those which expressly survive the termination of this Agreement. If Buyer fails to notify Seller in writing of the approval or disapproval of all due diligence items, then after Seller gives Buyer ten (10) days’ written notice of Buyer’s failure to approve or disapprove all due diligence items, it will be conclusively presumed that Buyer has approved all such items, matters or documents.
4.4 Environmental and Natural Hazards Disclosure. California Health and Safety Code Section 25359.7 requires owners of non-residential real property who know, or have reasonable cause to believe, that any release of hazardous substances is located on or beneath the real property to provide written notice of same to the buyer of real property. Other applicable laws require Seller to provide certain disclosures regarding natural hazards affecting the Property. Seller agrees to make all necessary disclosures required by law. (i) record the Grant Deed; (ii) disburse to Seller the Purchase Price less any adjustments for Seller’s share of the Closing Costs as described below and any credits due to Buyer; (iii) deliver to Buyer the Non-Foreign Affidavit, the California Certificate and the original recorded Grant Deed; (iv) pay any other expenses payable through escrow; and (v) distribute to itself the payment of escrow fees and expenses required hereunder.

Buyer does not pay ad valorem taxes.
6. REPRESENTATIONS, WARRANTIES AND COVENANTS.
6.1 Seller’s Representations, Warranties and Covenants. In addition to the representations, warranties and covenants of Seller contained in other sections of this Agreement, Seller hereby represents, warrants and covenants to Buyer that the statements below in this Section 6.1 are each true and correct as of the Closing Date provided however, if to Seller’s actual knowledge any such statement becomes untrue prior to Closing, Seller will notify Buyer in writing and Buyer will have three (3) business

Seller will not, directly or indirectly, alienate, encumber, transfer, mortgage, assign, pledge, or otherwise convey its interest prior to the Close of Escrow, as long as this Agreement is in force.
(c) Agreements. There are no agreements affecting the
Property except those which have been disclosed by Seller. There are no agreements which will be binding on the Buyer or the Property after the Close of Escrow. (d) No Violations. The execution, delivery and performance by Seller of its obligations under this Agreement will not conflict with or result in a breach of any law, governmental rule, regulations, judgment, decree or order by which the Seller or the Property is bound, or by the provisions of any contract to which Seller is a party, or by which Seller or the Property is bound. Seller has not received notice of any, and to the best of Seller’s knowledge there is no, action, suit, proceeding, or investigation pending or threatened, before any agency, court or other governmental authority which relates to the Property or the use thereof. Seller has not received any notices of any violations of any governmental laws or requirements applicable to the Property. Seller further represents and warrants that, during the period of ownership of the Property, Seller, its agents and employees complied with all federal, state and municipal environmental laws, regulations and policies applicable to the Property. (e) Litigation. There is not pending, or, to the best of Seller’s knowledge, threatened, any suit, action, arbitration, or legal, administrative or other proceeding or governmental investigation against or affecting the Property or Seller’s ability to convey the Property at the Closing. Seller is not in default with respect to any order, writ, injunction or decree of any federal, state, local or foreign court, department, agency or instrumentality affecting the Property or Seller’s ability to convey the Property at the Closing.
(f) Default of Obligations or Liabilities. Seller has no notice that it is in default with respect to any of its obligations or liabilities pertaining to the Property, nor are there any facts or circumstances or conditions or events which, but for notice or lapse of time or both, would constitute a result in any such default.
141
(g) Maintenance and Operations. Prior to Closing, Seller shall operate and maintain the Property in the same manner and condition as of the date of this Agreement, and shall make no material capital improvements or alterations to the Property without Buyer's prior written approval, which approval may be withheld in Buyer's sole discretion.
(h) Hazardous Substances. To the best of Seller’s knowledge, Seller hereby represents and warrants that there are no underground storage tanks on the Property in which any Hazardous Substance, as defined , below, has been or is being stored, nor has there been any storage, production, manufacture, generation, treatment, handling, refinement, spill, disposal, discharge or release of any Hazardous Substance into, on, from or over the Property, or into or upon ground or surface water on or under the Property.
(i) Definition. As used in this Agreement, "Hazardous

(i) Withholding. Seller is not a "foreign person", "foreign corporation", "foreign trust" or "foreign estate" as those terms are defined in the I.R.C., Section 1445, nor is the sale of the Property subject to any withholding requirements imposed by the Internal Revenue Code (including, but not limited to, Section 1445
142
thereof) or any comparable laws of the State, and Buyer has no obligation under any such laws to withhold any monies from the Purchase Price in accordance with the provisions of such laws in connection with the transaction contemplated hereby (or, if same shall not be the case such that Buyer is obligated to withhold from the Purchase Price under any such laws, Seller shall cooperate with Buyer in connection with Closing to allow for withholding and compliance with such laws, as necessary). (j) Other Material Facts. Seller represents and warrants that there are no other material facts or additional items which warrant disclosure, except as stated herein or delivered to Buyer in accordance with this Agreement. (k) Full Disclosure. None of the representations and warranties made by Seller contain or will contain any untrue statement or material fact, or fail to state a material fact necessary to make the statements made, in light of the circumstances under which they were made, not misleading.
The truth and accuracy of each of the representations and warranties, and the performance of all covenants of Seller contained in this Agreement are conditions precedent to Buyer’s obligation to proceed with the Closing hereunder. The foregoing representations and warranties shall survive Close of Escrow or the expiration or termination of this Agreement and shall not be deemed merged into the deed upon closing.
6.2 Buyer’s Representations and Warranties. In addition to the representations, warranties and covenants of Buyer contained in other sections of this Agreement, Buyer hereby represents, warrants and covenants to Seller that the statements below in this Section 6.2 are each true as of the Effective Date, and, if to Buyer’s actual knowledge any such statement becomes untrue prior to Closing, Buyer shall so notify Seller in writing and Seller shall have not more than ten (10) days thereafter to notify Buyer, in writing, of the following: (a) whether or not Seller deems such untruth to be material, the reasons therefor, and a detailed explanation of how such untruth would, in Seller’s reasonable estimation, prevent Buyer or Seller from Closing escrow or otherwise fully performing their obligations under this Agreement; and (b) whether or not Seller wishes to proceed with Closing. Nothing in this section 6.2 allows Seller to terminate this Agreement or to refuse to proceed to Closing unless the condition causing the untruth of any of Buyer’s representations or warranties below directly and actually prevents Buyer from Closing escrow:
(a) Buyer is a California municipal corporation. Buyer has the full right, capacity, power and authority to enter into and carry out the terms of this Agreement. This Agreement has been duly executed by Buyer, and upon delivery to and execution by Seller shall be a valid and binding agreement of Buyer. (b) Buyer is not bankrupt or insolvent under any applicable federal or state standard, has not filed for protection or relief under any applicable bankruptcy or creditor protection statute, and has not been threatened by creditors with an involuntary application of any applicable bankruptcy or creditor protection statute.
143
The truth and accuracy of each of the representations and warranties, and the performance of all covenants of Buyer contained in this Agreement are conditions precedent to Seller’s obligation to proceed with the Closing hereunder.
7. REMEDIES
7.1 Seller's Indemnifications. Seller shall indemnify Buyer against and hold Buyer harmless from any claim, loss, damage or expense, including any reasonable attorneys' fees and costs, expert fees and Costs of Suit, asserted against or suffered by Buyer resulting from or arising out of (i) any breach by Seller of this Agreement; (ii) any liability or obligation of Seller which Buyer is not required to assume hereunder or accruing prior to such assumption; or (iii) the inaccuracy or breach of any of the representations, warranties, or covenants made by Seller herein.
7.2 Buyer’s Remedies. In the event of a breach or default under this Agreement by Seller, if such breach or default occurs prior to Close of Escrow, Buyer reserves the right to either (a) seek specific performance from Seller or (b) to do any of the following: (i) to waive the breach or default and proceed to close as provided herein; (ii) to extend the time for performance and the Closing Date until Seller is able to perform; or (iii) to terminate this Agreement upon written notice to Seller.
7.3 Seller’s Remedies. FOLLOWING SATISFACTION OR WAIVER BY BUYER OF THE BUYER’S CONTINGENCIES, IF BUYER COMMITS A MATERIAL
DEFAULT UNDER THE AGREEMENT (WHICH DEFAULT IS NOT CURED WITHIN FIVE (5) BUSINESS DAYS AFTER SELLER NOTIFIES BUYER IN WRITING OF
SUCH DEFAULT) AND THE CLOSE OF ESCROW FAILS TO OCCUR BY REASON
OF SUCH MATERIAL DEFAULT, THEN IN ANY SUCH EVENT, SELLER MAY
TERMINATE THIS AGREEMENT AND SELLER SHALL THEREUPON BE RELEASED FROM ITS OBLIGATIONS HEREUNDER. BUYER AND SELLER AGREE THAT
BASED UPON THE CIRCUMSTANCES NOW EXISTING, KNOWN AND UNKNOWN,
IT WOULD BE IMPRACTICAL OR EXTREMELY DIFFICULT TO ESTABLISH SELLER’S DAMAGE BY REASON OF BUYER’S MATERIAL DEFAULT.
ACCORDINGLY, BUYER AND SELLER AGREE THAT IF THIS AGREEMENT
TERMINATES AS A RESULT OF A MATERIAL DEFAULT BY BUYER UNDER THE
AGREEMENT, IT WOULD BE REASONABLE AT SUCH TIME TO AWARD SELLER
THE AMOUNT OF THE DEPOSIT PAID BY BUYER AT THE TIME OF THE DEFAULT AS LIQUIDATED DAMAGES. SELLER AND BUYER AGREE THAT THE AMOUNT OF
THE DEPOSIT PAID AT THE TIME OF THE DEFAULT IS REASONABLE AS LIQUIDATED DAMAGES AND SHALL BE SELLER’S SOLE AND EXCLUSIVE
REMEDY IN LIEU OF ANY OTHER RELIEF, RIGHT OR REMEDY, AT LAW OR IN
EQUITY, TO WHICH SELLER MIGHT OTHERWISE BE ENTITLED BY REASON OF BUYER’S MATERIAL DEFAULT IN ITS OBLIGATION TO PURCHASE THE PROPERTY PURSUANT TO THE AGREEMENT. SELLER HEREBY WAIVES THE REMEDY OF SPECIFIC PERFORMANCE AGAINST BUYER. SELLER AND BUYER
ACKNOWLEDGE THAT THEY HAVE READ AND UNDERSTAND THE PROVISIONS
OF THIS PARAGRAPH AND BY THEIR INITIALS IMMEDIATELY BELOW AGREE TO BE BOUND BY ITS TERMS.

If any Party employs counsel to enforce or interpret this Agreement, including the commencement of any legal proceeding whatsoever (including insolvency, bankruptcy, arbitration, mediation, declaratory relief or other litigation), the prevailing party shall be entitled to recover its reasonable attorneys’ fees and court costs (including the service of process, filing fees, court and court reporter costs, investigative fees, expert witness fees, and the costs of any bonds, whether taxable or not) and shall include the right to recover such fees and costs incurred in any appeal or efforts to collect or otherwise enforce any judgment in its favor in addition to any other remedy it may obtain or be awarded. Any judgment or final order issued in any legal proceeding shall include reimbursement for all such attorneys’ fees and costs.
