THIS SECOND AMENDMENT to the above -referenced agreement is entered into on November 21, 2023, by andbetween Sedaru, formerly known asID Modeling, Inc.
Contractor"), andtheCity of SantaAna, a chartercity andmunicipalcorporationorganizedand existing under the Constitution and laws of the Stateof California ("City").
RECITALS
A. The parties enteredinto Agreement No. A- 2018-275 ("Agreement") datedDecember 4, 2018, to retainaqualifiedcontractortoprovidewatersystemcomputermodelingand engineeringservices, including the designandcreationof a water systemcomputermodel.
B. On November 4, 2021, the parties executedthe sole two (2) year extension. Therefore, the Agreement is in full force and effect through December 3, 2023.
C. On April 4, 2023, the Parties entered into a First Amendment to the Agreement ( A- 2023- 052) to increase the compensation under the Agreement due to an unanticipated increase in volume of development plan submittals.
D. On September21, 2023, the City' sPublic Works Agency ("PWA") receiveda written noticefrom Contractorinforming PWA the Sedarusoftwareplatform contemplatedby the Agreement would no longer be supported after June 30, 2024.
E. The Parties now wish to amend the Agreement to extend the term of the Agreement to allow PWA to finish existing projects, download data and information, and transition to another software platform.
The Parties therefore agree:
1. Section 3, Term, shall be amended to extend the term of the Agreement through June 30, 2024.
2. Except as modified by this SecondAmendment, all terms andconditions of theAgreement shall remain in full force and effect.
