Minimum Terms
Your subscriptioniseffectiveupon the date we process your order (“EffectiveDate”) and Monthly Charges willbe prorated forthe number of days remaining inthat month, ifany. Your subscriptionwill continue for the number of months listed in the Minimum Term column above plus any Bridge Term that may be outlined above counting from the firstday of the month followingthe EffectiveDate. Your Monthly Charges duringthe firsttwelve (12)months ofthe Minimum Term are as setforthabove. Ifyour Minimum Term islongerthan 12 months, then your Monthly Charges foreach yearofthe Minimum Term are displayed inthe Attachment to the Order Form.
Post Minimum Terms
Your subscriptionwillautomaticallyrenew at the end of the Minimum Term for successive 12-month renewal terms (each, an "Automatic Renewal Term”), unless eitherparty provides writtennoticeof itsintentto not renew at least30 days priorto the beginning of an Automatic Renewal Term. We willnotifyyou ofany change intheAnnual Charges atleast60 days beforeeach Automatic Renewal Term begins. For Federal government subscribers that chose a multi-year Minimum Term, those additionalyears willbe implemented at your option pursuant to federallaw.

Our pricingforbanded productsismade inrelianceupon your certification.Ifwe learnthatthe actualnumber isgreateror increases at any time,we reservethe rightto increaseyour charges to the market rateforallofyour attorneys.
Miscellaneous
Material Change. If,at any time during the Minimum Term or the Renewal Term, there isa materialchange in your organizational structure including,but not limitedto merger,acquisitions,combination,significantincreaseinthe number ofattorneysata locationcovered by the agreement, divestitures,downsizing or dissolution,we willmodify your ratesproportionally.Ifyou acquirethe assetsof,or attorneys from, another entitythatisa currentsubscriber,you assume allobligationsunder theagreements thatapplytothose assetsand attorneys,and you willpay the invoicedchargeson both thoseagreements as they become due,untila supersedingagreement isnegotiated ingood faith.
Charges, Payments & Taxes.You agreeto pay allchargesinfullwithin30 days ofthe date ofinvoice.You are responsibleforany applicable sales,use, value added tax (VAT),etc.unless you are tax exempt. Ifyou are a non-government customer and failto pay your invoiced charges,you are responsibleforcollectioncostsincludingattorneys’fees.
Excluded Charges And Schedule A Rates.Ifyou accessproductsor servicesthatare not includedinyour subscriptionyou willbe charged our then-currentrate (“Excluded Charges”).Excluded Charges willbe invoiced and due with your next payment. For your reference,the currentExcluded Charges schedulesare locatedinthe below link.ExcludedChargesmay change from time-to-timeupon 30 days writtenor online notice.We may, at our option, make certain products and servicesExcluded Charges ifwe are contractuallybound or otherwise required to do so by a thirdparty provideror ifproducts or servicesare enhanced or ifnew products or servicesare released after the effectivedate of thisorderingdocument. Modificationof Excluded Charges or Schedule A rates isnot a basisfor termination under paragraph 9 the General Terms and Conditions.

IfTR imposes or modifiesa usage limitunder thisclause.Customer may, within 30 days of TR's noticeof the limit,provide written noticeto TR requestinggood faithnegotiations.The partiesshallexplorecommerciallyreasonablealternatives,which may includeadjustmentsto usage limits or pricing.
Amended Terms and Conditions
Government Non-Availabilitv of Funds for Online. Practice Solutions or Software Products You may cancel a product or servicewith at least30 days writtennoticeifyou do not receivesufficientappropriationof funds. Your notice must include an officialdocument, (e.g.,executive order, an officiallyprinted budget or other officialgovernment communication) certifyingthe non-availabilityoffunds. You willbe invoicedforallchargesincurredup totheeffectivedate of the cancellation.
