AMENDMENT NO. 1
TO THE AGREEMENT FOR SERVICES
BETWEEN THE
CITY OF SANTA CLARA, CALIFORNIA,
AND
RICOH USA, INC.
PREAMBLE
This agreement (“Amendment No. 1”) is entered into between the City of Santa Clara, California, a chartered California municipal corporation (City) and Ricoh USA, Inc., an Ohio corporation, (Contractor). City and Contractor may be referred to individually as a “Party” or collectively as the “Parties” or the “Parties to this Agreement.”
RECITALS
A. The Parties previously entered into an agreement entitled “Agreement for the Performance of Services By and Between the City of Santa Clara, California, and Ricoh USA, Inc., dated September 26, 2017 (Agreement); and B. The Parties entered into the Agreement for the purpose of having Contractor provide lease and maintenance services citywide for copier/multi-functional devices (insert services provided), and the Parties now wish to amend the Agreement to extend for an additional two years ending on August 31, 2024 and to increase compensation by $750,000 for a revised not-to-exceed maximum compensation of $2,150,000, subject to the appropriation of funds.
NOW, THEREFORE, the Parties agree as follows:
AMENDMENT TERMS AND CONDITIONS
1. Section 3 of the Agreement entitled, “TERM OF AGREEMENT” is amended to read as follows:
A. Unless otherwise set forth in this Agreement or unless this paragraph is subsequently modified by a written amendment to this Agreement, the initial term of this Agreement shall begin on the effective date of this Agreement and terminate on August 31, 2024.
2. Exhibit B of the Agreement Exhibit B of the Agreement, entitled “Fee Schedule” is hereby amended to read as shown in Revised Exhibit B, attached herein.
3. Exhibit F of the Agreement, entitled “U.S. Communities Product Schedule” is hereby added and attached herein.

4. Exhibit G of the Agreement, entitled “Order Agreement” is hereby added and attached herein.
5. Except as set forth herein, all other terms and conditions of the Agreement shall remain in full force and effect. In case of a conflict in the terms of the Agreement and this Amendment No. 1, the provisions of this Amendment No. 1 shall control.
The Effective Date is the date that the final signatory executes the Agreement. The Parties acknowledge and accept the terms and conditions of this Amendment No. 1 as evidenced by the following signatures of their duly authorized representatives.

FEE SCHEDULE
Consultant shall provide a schedule of rates and fees which includes all billing amounts and costs as follows (if applicable), such as:
- Lease pricing for MFDs, Consumable costs (included), Repair & Maintenance costs (included)
- Actual Print usage costs.
- Ricoh U.S. Communities Master Lease Agreement and Product Schedule, Ricoh Order Agreement and Equipment Removal / Buyout Authorization Documents.
In no event shall the amount billed to City by Contractor for services under this Agreement exceed Two Million One Hundred Fifty Thousand Dollars and Zero Cents ($2,150,000.00), over the term of the Agreement, subject to budget appropriations.

This U.S. Communities Product Schedule (this “Schedule”) is between Ricoh USA, Inc. (“we” or “us”) and CITY OF SANTA CLARA, as customer or lessee (“Customer” or “you”). This Schedule constitutes a “Schedule,” “Product Schedule,” or “Order Agreement,” as applicable, under the U.S. Communities Master Lease Agreement (together with any amendments, attachments and addenda thereto, the “Lease Agreement”) identified above, between you and us. All terms and conditions of the Lease Agreement are incorporated into this Schedule and made a part hereof. If we are not the lessor under the Lease Agreement, then, solely for purposes of this Schedule, we shall be deemed to be the lessor under the Lease Agreement. It is the intent of the parties that this Schedule be separately enforceable as a complete and independent agreement, independent of all other Schedules to the Lease Agreement.

TERMS AND CONDITIONS
1. The first Payment will be due on the Effective Date. If the Lease Agreement uses the terms “Lease Payment” and “Commencement Date” rather than “Payment” and “Effective Date,” then, for purposes of this Schedule, the term “Payment” shall have the same meaning as “Lease Payment,” and the term “Effective Date” shall have the same meaning as “Commencement Date.”
2. You, the undersigned Customer, have applied to us to rent the above-described Product for lawful commercial (non-consumer) purposes. THIS IS AN UNCONDITIONAL, NON-CANCELABLE AGREEMENT FOR THE MINIMUM TERM INDICATED ABOVE, except as otherwise expressly provided in any provision of the Lease Agreement. If we accept this Schedule, you agree to rent the above Product from us, and we agree to rent such Product to you, on all the terms hereof, including the terms and conditions of the Lease Agreement. THIS WILL ACKNOWLEDGE THAT YOU HAVE READ AND
