RESOLUTION NO. 23-9202
A RESOLUTION OF THE CITY OF SANTA CLARA ,
CALIFORNIA, TO DELEGATE AUTHORITY TO CERTAIN
EMPLOYEES TO ACT ON BEHALF OF THE OFFICE OF THE
CITY MANAGER FOR A LIMITED TERM, AND TO APPOINT AN
ACTING DIRECTOR OF EMERGENCY SERVICES
BE IT RESOLVED BY THE CITY OF SANTA CLARA AS FOLLOWS:
WHEREAS, on April 5, 2022, the City Council of Santa Clara appointed Rajeev Batra Interim City Manager,
WHEREAS, on April 5, 2022, the Interim City Manager Rajeev Batra, authorized in writing certain employees of the City Manager’s Office – Nadine Nader, Manuel Pineda, Cynthia Bojorquez, Ruth Shikada, and Christine Jung – to approve and execute agreements and other documents on behalf of the City of Santa Clara, Santa Clara Stadium Authority and/or Silicon Valley Power, as designee of the City Manager/Executive Director, in his absence or due to conflict; and,
WHEREAS, on January 31, 2023, Rajeev Batra resigned from the position of Interim City Manager;
WHEREAS, on February 7, 2023, the City Council of the City of Santa Clara appointed Jovan D.
Grogan to serve as the City Manager for the City of Santa Clara commencing on May 1, 2023; WHEREAS, the City Council of the City of Santa Clara has elected not to appoint an Interim City Manager prior to City Manager Jovan D. Grogan commencing his employment on May 1, 2023;
WHEREAS, Santa Clara City Code section 2.140.050 provides that the City Manager shall be the Director of Emergency Services and that the City Manager shall appoint a Deputy Director of Emergency Services. On February 19, 2023, Lisa Schoenthal retired from the position of Chief Emergency Services Officer (also serving as the Deputy Director of Emergency Services); and //

WHEREAS, the City Council of the City of Santa Clara recognizes the importance of clearly establishing signing authority within the city to ensure continuous, efficient, and effective management of city business, and promptly responding to or addressing emergency situations that may arise within the City, and wishes to formally delegate signature authority to particular employees of the City Manager’s Office for a limited term, to ensure the same.
NOW THEREFORE, BE IT FURTHER RESOLVED BY THE CITY OF SANTA CLARA AS FOLLOWS:
1. That out of an abundance of caution, the City Council affirmatively and expressly ratifies the actions taken by employees of the City Manager’s Office pursuant to a continuation of the April 6, 2022 delegation of powers, for the period January 31, 2023 through the effective date of this Resolution.
2. That the City Council affirmatively and expressly authorizes the following employees of the City Manager’s Office to execute agreements and other documents, and to take actions (including but not limited to making a determination of incapacity pursuant to the Public Employees’ Retirement Law), within the limits of authority granted to the City Manager under applicable State law, ordinance, resolution, or policy until May 1, 2023 or until such time that forthcoming City Manager Jovan Grogan directs otherwise in writing, whichever is later.

3. That the City Council hereby appoints Chief Operating Officer Nadine Nader as the acting Director of Emergency Services until May 1, 2023, or until such time that forthcoming City Manager Jovan Grogan shall assume such role pursuant to Santa Clara City Code section 2.140.050. The City Council authorizes Nadine Nader to appoint a Deputy Director of Emergency Services . If such an appointment is made, the appointment is effective until May 1, 2023 or until such time that forthcoming City Manager Jovan Grogan directs otherwise in writing, whichever is later.
4. Effective Date. This resolution shall become effective immediately .

AND ADOPTED BY THE CITY OF SANTA CLARA , CALIFORNIA, AT A REGULAR MEETING THEREOF HELD ON THE 7TH DAY OF MARCH, 2023, BY THE FOLLOWING VOTE:
