City Attorney’s Office
Memorandum
Date: June 13, 2023
To: Honorable Mayor and Members of the City Council
From: Elizabeth Klotz, Assistant City Attorney
Subject: Conflicts Review – Historic Landmarks Commission Applicants

Background

The City Attorney’s Office has been asked to review applications to City Boards and Commissions regarding potential conflicts of interest. The applications generally do not provide complete information regarding potential conflicts; however, they do occasionally disclose potential conflicts of interest or incompatible offices. The purpose of this memorandum is to highlight areas of potential conflict that are disclosed by the application. This review is limited to the information provided on the applications and is not intended to be comprehensive investigation of potential conflicts involving the applicants.

Commission Duties

Pursuant to the City Code, the Historic Landmarks Commission acts in an advisory capacity to the City Council in all matters pertaining to historical landmarks, names and renaming of streets, museums and the establishment thereof in the City, and the marking and preservation of historical landmarks and places.

Legal Conflicts that May Preclude Vote or Participation

Certain positions may preclude a commissioner from participating in a commission discussion or from voting if a matter involving the entity comes before the commission. While this list is not complete, these types of conflicts generally fall within one or more of the following situations:

• An applicant has an interest in property the value of which could be affected by a decision coming before the Commission
• An application shows entities that are “sources of income” to a potential commissioner within the 12 months preceding the start of the commission term, as defined under the Political Reform Act, • An applicant is an officer or employee of an entity that could be involved in a matter coming before the commission, or
• An applicant engages in a profession serving the local market that is likely to realize financial benefits or detriments, distinguishable from the public generally, that would result from the work performed by the Commission

Appearance of Bias

There may be facts which would not amount to a legal conflict of interest requiring a commissioner to recuse him- or herself from a commission vote or discussion, however the relationship could create an appearance of bias on the part of the commissioner. The Code of Ethics and Values requires that Commissioners “make impartial decisions, free of . . . financial and other personal interests that impair City of
Santa Clara

Page 2 ends

[one’s] independence of judgment or action.” Accordingly, a situation may arise that may require a commissioner to recuse him- or herself if the facts could reasonably lead one to conclude that the applicant would be biased for or against an entity or entities.

Review Of Applicants

None of the two applicants work in fields that are likely to present potential conflicts of interest for historic landmarks commissioners. The following is a list of the applicants and their employers:

• Neetu Garg is an IT Consultant with CG Vak, a global software provider headquartered in India with an office in Walnut Creek. Their application discloses neither incompatible office nor apparent conflicts of interest.
• Yvonne C. Inciarte is a Field Representative for the U.S. House of Representatives. Their application discloses neither incompatible office nor apparent conflicts of interest.

Conclusion

The City Council may wish to consider the above comments in making its appointments to the Commission.

Please state reasons why you want to become a member of this Board/Commission/Committee, including what specific objectives you would be working toward as a member of this advisory board:

I served on the board for 11 years. ( 2 full terms & 1 partial term, 11 months) I would like to finish the job on making the indoor sculpture exhibition year round, with little cost to the City.

While a commissioner, I began the Sculpture Exhibition, the electrical box project, the Summer Street Dance & the Art in the Air street banner project. I would like to work morndosely with the Triton museum, as well.

Additional Information
Any other information which you feel would be useful to the City Council in reviewing your application:

There are 2 of my painted electrical boxes in the City. The Flower basket box in front of the entrance to Kaiser Hospital and a Cheerleading box in front of Levi Stadium. I was on the board that chose the Public art for the Main Public Library.

I am a go getter, love the Arts & will make Santa Clara through the Cultural Commission a more beautiful place to live. A little art education along t~~ way will our citizens, as well.

REPORT TO COUNCIL

SUBJECT
Interviews and Action to Appoint One Applicant to the Planning Commission to Serve One Partial Term Ending June 30, 2024

COUNCIL PILLAR
Enhance Community Engagement and Transparency

BACKGROUND
At the March 7, 2023 City Council Meeting, Council declared one vacancy on the Planning Commission for one partial term ending June 30, 2024 due to a resignation.

Advertising of the recruitment was done via the City’s website and social media outlets. The City Clerk’s Office also emailed vacancy notifications all parties listed on the email vacancy interest list.

DISCUSSION
The City Clerk’s Office held a recruitment for six weeks and received six applications by the April 21, 2023 5:00 p.m. application deadline. There were two applicants that did not meet the requirement of being registered voters at time of application.

A past practice has been that upon appointment to fill a vacancy, the City Council may choose to establish an eligibility list with an applicant(s) of their choice for six months should a vacancy arise.

The City Clerk’s Office proceeds with the recruitment/interview process with the following applicants:

1. Eric Crutchlow

2. Jeannie DeGuzman

3. Rachael Maria Ervin

4. Kaushal Varshney
Each applicant met the requirement of being a qualified elector of the City confirmed by the Santa Clara County Registrar of Voters Office, and a resident of the City of Santa Clara and have each submitted proof of residency.

Attached are the voting guidelines (Attachment 2) for the appointment of Boards and Commissions members, which outline the process for conducting interviews and casting votes by the Council for applicants and a Conflicts Review of the applicants (Attachment 3).

3) Council votes for applicants:

A) If there are four (4) or fewer applicants the Council will cast one vote each for their desired appointee.

B) If there are five (5) or more applicants, the Council will cast one vote each for their two desired appointees. Only one vote per applicant is allowed.

iii. If there is a full Council present, the Members will draw straws, with the person drawing the long straw abstaining from voting at the next round. The Council has the opportunity to deliberate. iv. The Council votes, with the applicant receiving the highest number of votes being the winner. The City Clerk will announce the winner.

City Attorney’s Office
Memorandum
Date: June 13, 2023
To: Honorable Mayor and Members of the City Council
From: Alexander Abbe, Assistant City Attorney
Luis M. Haro, Deputy City Attorney
Subject: Conflicts Review – Planning Commission Applicants

Pursuant to the City Charter and the City Code, the Planning Commission is responsible for recommending the adoption, amendment, or repeal of the General Plan and Specific Plans; the application of the zoning and land use regulations of the City and recommending revisions and amendments; the processing of subdivision maps and property development applications; and provid ing input on the capital improvement program.

There may be facts which would not amount to a legal conflict of interest requiring a commissioner to recuse him- or herself from a commission vote or discussion, however the relationship could cre ate an City of

appearance of bias on the part of the commissioner. The Code of Ethics and Values requires that Commissioners “make impartial decisions, free of . . . financial and other personal interests that impair [one’s] independence of judgment or action.” Accordingly, a situation may arise that may require a commissioner to recuse him- or herself if the facts could reasonably lead one to conclude that the applicant would be biased for or against an entity or entities.

Review Of Applicants

None of the four applicants work in fields that are likely to present potential conflicts of interest for planning commissioners. The following is a list of the applicants and their employers:

• Eric Crutchlow is a Senior Project Manager for CrowdStrike, a cybersecurity technology company based in Sunnyvale.
• Jennie DeGuzman is a Design Engineer for Exatron Inc., a San Jose company that manufactures electronic products, including device handlers, automated programming systems, and test equipment.
• Rachael Maria Ervin works for the U.S. Postal Service in downtown San Jose. • Kaushal K Varshney is a Director of Global Technical Enablement at Netskope Inc., a cybersecurity technology company located in Santa Clara.

Three of the applicants work for corporations; in the unlikely event that the City ever contracted with any of those corporations, the contracts would not be subject to Planning Commission review, so no conflict would result. Kaushal Varsheny’s employer, Netskope Inc., is based in Santa Clara, and so if Netskope ever required a permit subject to Planning Commission review, Mr. Varshney would need to abstain from participating in consideration of that permit.

None of the applicants disclosed membership on any other governmental bodies, and so no incompatible office conflicts would occur. In addition, none of the applications identified any potential sources of bias.

Conclusion

The City Council may wish to consider the above comments in making its appointments to the Commission.

cc: Jovan Grogan, City Manager
Nora Pimentel, MMC, Assistant City Clerk
