RESOLUTION NO. 26-2 (STADIUM AUTHORITY)
A RESOLUTION OF THE SANTA CLARA STADIUM
AUTHORITY DELEGATING AUTHORITY TO THE EXECUTIVE
DIRECTOR TO ACT ON BEHALF OF THE STADIUM
AUTHORITY WITH REGARD TO OFFICIAL MATTERS OF
PRISM
WHEREAS, the City of Santa Clara is a member of the Public Risk Innovation, Solutions, and Management Joint Powers Authority (PRISM) for insurance and risk management services, which extends coverage to the City’s associated entities including the Santa Clara Stadium Authority; WHEREAS, PRISM has determined that it is necessary for each of its member entities (and their associated covered entities) to designate a person or position to whom authority is delegated to act on the member entity’s behalf in matters relating to its membership in PRISM; WHEREAS, except as to those actions that must be approved by the Santa Clara Stadium Authority Board, such delegation of authority is necessary in order to carry out the purposes and functions of PRISM with its members; and
WHEREAS, the Santa Clara Stadium Authority Board therefore deems it to be in the best interest of the Stadium Authority to delegate authority as set forth below. //

NOW THEREFORE, BE IT RESOLVED BY THE SANTA CLARA STADIUM AUTHORITY AS FOLLOWS:
1. That except as to actions that must be approved by the Santa Clara Stadium Authority Board, the following positions are hereby delegated authority to act on behalf of the Santa Clara Stadium Authority with regard to official matters relating to its membership in PRISM, and coverages provided thereunder: Executive Director and his/her designee(s).
2. Effective date. This resolution shall become effective immediately.
I HEREBY CERTIFY THE FOREGOING TO BE A TRUE COPY OF A RESOLUTION PASSED
AND ADOPTED BY THE SANTA CLARA STADIUM AUTHORITY, AT A REGULAR MEETING THEREOF HELD ON THE 1 om DAY OF MARCH, 2026, BY THE FOLLOWING VOTE:
