Authorization of Series 2026 Bond.

A Series of Bonds to be issued under the Indenture is hereby created. Such Series shall be known as the “City of Santa Clara, California Electric Revenue Bond, Series 2026” (herein referred to as the “Series 2026 Bond”). The Series 2026 Bond shall be issued in the maximum principal amount of $350,000,000 in accordance with the Bond Law and the Indenture for the purpose of providing moneys to make capital expenditures relating to the City’s Electric Utility. The principal amount of Series 2026 Bond at any time will be equal to the unpaid principal amount of all Loans disbursed by the Lender to the City (but in no event shall exceed $350,000,000 at any time) in accordance with the Credit Agreement. The Series 2026 Bond shall evidence the repayment obligation of the City with respect to the Loans made by the Lender under the Credit Agreement and all other Obligations (as defined in the Credit Agreement).

On the Issuance Date, the Series 2026 Bond shall be issued in physical, definitive certificated form (which may be typewritten), shall be initially issued registered in the name of the Lender, and shall be evidenced by one 2026 Bond certificate representing the total principal amount of the Series 2026 Bond. The Series 2026 Bond shall be dated the date of delivery thereof, shall be Bonds which are Current Interest Indebtedness. Each Series 2026 Bond may be assigned by the Trustee a distinctive number or letter and number, and a record of the same shall be maintained by the Trustee in the bond register. Registered ownership of the Series 2026 Bond, or any portion thereof, may not thereafter be transferred except as set forth in Section 15.07 hereof.

The Series 2026 Bonds shall mature and the Outstanding principal amount will be payable by or on behalf of the City on the Termination Date. The principal amount of the Series 2026 Bond is subject to adjustment in the event of prepayment by the City in part of the Loans under the Credit Agreement and redemption of portion of the Series 2026 Bond in accordance with Section 15.06.

Interest on the Series 2026 Bond shall be payable by or on behalf of the City on each Interest Payment Date until the principal sum of such Series 2026 Bond has been paid. The Series 2026 Bond shall bear interest at the rates and shall accrue interest in the manner and calculated as provided for the Loans made by the Lender to the City under the Revolving Credit Agreement as set forth below.

Interest Evidencing Base Rate Loans. With respect to a Loan made by the Lender that is a Base Rate Loan, the Series 2026 Bond shall bear interest on the corresponding outstanding principal amount of the Series 2026 Bond for each day during the relevant interest period at a rate per annum equal to the Base Rate, calculated on the basis of a 365-day year and actual days elapsed and as otherwise as provided in the Credit Agreement. Interest shall accrue from the later of the Issue Date or the most recent Interest Payment Date to which interest on the Series 2026 Bond has been paid, and shall be payable in arrears on each Interest Payment Date until the earlier of the Stated Maturity Date or prior redemption or other repayment of the Series 2026 Bond, if any.

Interest Evidencing SOFR Loans. With respect to a Loan made by the Lender that is a SOFR Loan, the Series 2026 Bond shall bear interest on the corresponding outstanding principal amount of the Series 2026 Bond for each day during the relevant interest period at a rate per annum equal to the Term SOFR Rate, calculated on the basis of a 360-day year and actual days elapsed and as otherwise as provided in the Credit Agreement.

Determination of Taxability. Only in the event of a Determination of Taxability, the Series 2026 Bonds shall bear interest at the Taxable Rate, calculated (i) in the case of a Base Rate Loan, on the basis of a 365-day year and actual days elapsed or (ii) in the case of a SOFR Loan, on the basis of a 360-day year and actual days elapsed, and as otherwise as provided in the Credit Agreement. Interest shall accrue from the date of the Determination of Taxability (such date for accrual of interest to be confirmed by the Lender to the City and the Trustee), and shall be payable in arrears on each Interest Payment Date until the earlier of the Stated Maturity Date or prior redemption or other repayment, if any.

Event of Default. Only upon the occurrence and during the continuance of an “Event of Default” as defined in the Credit Agreement, the Series 2026 Bond shall bear interest at the Default Rate, calculated (i) in the case of a Base Rate Loan, on the basis of a 365-day year and actual days elapsed or (ii) in the case of a SOFR Loan, on the basis of a 360-day year and actual days elapsed, and as otherwise as provided in the Credit Agreement.

Maximum Rate. The interest rate on the Series 2026 Bond shall never exceed the Maximum Rate, subject to the terms and conditions of the Credit Agreement.

All payments of principal of and interest on the Series 2026 Bond made by the City shall extinguish the corresponding payment obligation of the City with respect to the Loans made by the Lender to the City under the Credit Agreement; provided, that for the avoidance of doubt, prior to the Termination Date, the Series 2026 Bond shall not be extinguished by paying principal payments so long as the Credit Agreement is in effect as any amounts paid as or credited against payments of the principal of the Obligations may be reincurred pursuant to the terms of the Credit Agreement.

Notwithstanding anything herein to the contrary, in the event that any payment on or with respect to any of the Obligations or the Series 2026 Bond shall have been made by or on behalf of the City and, by reason of bankruptcy or other act of insolvency, such payment shall be deemed to be a preferential payment, and the owner of the Series 2026 Bond shall be required by a court of competent jurisdiction to surrender such payment, then any credit on the Series 2026 Bond which may have been given as a result of such payment shall be rescinded, and the amount owing on such Series 2026 Bond shall be calculated as if such payment shall not have been made.

Form of Series 2026 Bonds. The Series 2026 Bonds and the certificate of authentication and registration to be executed thereon shall be in substantially the form set forth as Exhibit A hereto. The Series 2026 Bond designation letters and numbers, maturity dates, principal amount and interest rates shall be inserted therein in conformity with Section 15.03 hereof.

At any time after the execution and delivery of this Fifth Supplement, the City may execute and the Trustee shall authenticate and deliver the Series 2026 Bond in the maximum aggregate outstanding principal amount of up to $350,000,000 upon the order of the City. Prior to or simultaneously with the delivery of the Series 2026 Bond, there shall be filed with the Trustee an Opinion of Bond Counsel to the effect that the execution of this Fifth Supplement has been duly authorized, executed and delivered by the City in accordance with the Indenture, and the Series 2026 Bond when duly executed by the City and authenticated and delivered by the Trustee, will be valid and binding special limited obligations of the City.

Redemption of Series 2026 Bond.

The Series 2026 Bond shall be subject to redemption in whole or in part, upon ten (10) days’ prior notice (or such shorter period as approved by the Lender), at a redemption price equal to the principal amount thereof to be redeemed plus accrued interest thereon to the date of redemption, together with any prepayment or redemption premium, if any, as provided by the terms of the Credit Agreement. The Series 2026 Bond shall be redeemed in an amount of any prepayment made by the City under Section 2.8 of the Credit Agreement without further notice. The City hereby directs that all amounts deposited in the Redemption Fund shall be used and withdrawn by the Trustee solely for the purpose of redeeming the Series 2026 Bond in the manner, at the times and upon the terms and conditions specified in the Credit Agreement.

The Series 2026 Bond shall be subject to mandatory redemption if the aggregate principal amount of the unpaid Advances at any time exceeds the Commitment in an amount equal to such Overadvance. Such redemption shall be required to occur immediately.

Any redemption of a portion of the Series 2026 Bond made by the City in accordance with the terms of the Credit Agreement and hereof shall extinguish the corresponding payment obligation of the City with respect to the Loans made by the Lender to the City under the Credit Agreement; provided, that for the avoidance of doubt, prior to the Termination Date, the Series 2026 Bond shall not be extinguished by paying principal payments so long as the Credit Agreement is in effect as any amounts paid as or credited against payments of the principal of the Obligations may be reincurred pursuant to the terms of the Credit Agreement.

This bond is one of a duly authorized issue of City of Santa Clara, California Electric Revenue Bonds (the “Bonds”) of the series and designation indicated on the face hereof, issued pursuant to an Amended and Restated Electric Revenue Bond Indenture, dated as of March 1, 2011, between the Trustee and the City, providing for the issuance of such Bonds. Said authorized issue of Bonds is not limited in aggregate principal amount, except as otherwise provided in said Amended and Restated Electric Revenue Bond Indenture, and consists or may consist of one or more series of varying denominations, dates, maturities, interest rates and other provisions, as in said Amended and Restated Electric Revenue Bond Indenture provided, all issued and to be issued pursuant to the provisions of the Bond Law (as defined in said Amended and Restated Electric Revenue Bond Indenture). This Bond is issued pursuant to such Amended and Restated Electric Revenue Bond Indenture, as supplemented and amended, including by the Fifth Supplemental Electric Revenue Bond Indenture, dated as of ____, 2026 (together with any amendments, restatements, modifications or supplements thereto, the “Fifth Supplement”), between the Trustee and the City, authorizing the issuance of the series of bonds of which this Bond is one, such series being referred to as the “Series 2026 Bond” (said Amended and Restated Electric Revenue Bond Indenture as supplemented and amended, including by the Fifth Supplement, and together with any further amendments, restatements, modifications or supplements thereto, being collectively referred to as the “Indenture”). Reference is hereby made to the Indenture and to the Bond Law for a description of the terms under which the Bonds are issued and to be issued, the provisions with regard to the nature and extent of the Adjusted Net Revenues (as that term is defined in the Indenture), and the rights of the registered owners of the Bonds; and all the terms of the Indenture and the Bond Law are hereby incorporated herein and constitute a contract between the City and the registered owner from time to time of this Bond, and to all the provisions thereof the registered owner of this Bond, by its acceptance hereof, consents and agrees. Additional Bonds and other Parity Debt (as defined in the Indenture) may be issued, and indebtedness may be incurred, on a parity with the Bonds of this authorized issue, subject to the terms and conditions contained in the Indenture.

The Bonds (including this Series 2026 Bond) and the interest thereon (to the extent set forth in the Indenture), together with the Parity Debt heretofore or hereafter issued or incurred by the City, and the interest thereon, are payable from, and are secured by a charge and lien on, the Adjusted Net Revenues (as more particularly defined in the Indenture). The Bonds are limited obligations of the City and are payable, both as to principal and interest, and as to any premiums upon the redemption thereof, out of the Adjusted Net Revenues and certain funds held under the Indenture. The general fund of the City is not liable, and the credit or taxing power of the City is not pledged, for the payment of the Bonds or the interest thereon. The Bonds are not secured by a legal or equitable pledge of, or charge, lien or encumbrance upon, any of the property of the City or any of its income or receipts, except the Adjusted Net Revenues and said funds held under the Indenture. No registered owner of this Bond shall ever have the right to compel any exercise of the taxing power of the City to pay this Bond or the interest hereon.

Subject to the restrictions contained in the Fifth Supplement, this Bond may be transferred upon the register required to be kept by the Trustee pursuant to the Indenture by the person in whose name it is registered, in person or by his or her duly authorized attorney, upon surrender of this Bond for cancellation, accompanied by delivery of a written instrument of transfer, duly executed in a form approved by the Trustee, subject to the limitations and upon payment of the charges provided in the Indenture.
