AMENDMENT NO. 1 TO AGREEMENT FOR PROFESSIONAL SERVICES
This Amendment No. 1 to Santa Maria Valley Chamber of Commerce Economic Development agreement is made on July 1, 2025, by and between the Santa Maria Valley Chamber of Commerce, a California Corporation nonprofit 501(c)( 6) Corporation (“Chamber”), and the City of Santa Maria, a California Municipal Corporation and charter city (“City”), in Santa Maria, California, based on the following recitals:
1. WHEREAS, the City is desirous of increasing the well-being of the City through economic development and general retail sales within the City , thereby increasing sales tax revenues to the City;
2. WHEREAS, the Chamber previously provided economic development services to the City on a bi -annual basis and the City wishes to contract for one more year, while the City determines a plan for Economic Development; and
3. WHEREAS, the original contract expires June 30, 2025;
NOW, THEREFORE, IT IS AGREED:
1. The term of the contract is extended until June 30, 2026. This Agreement may be terminated by either party without cause with 30 day’s written notice;
2. The effective date of this extension is July 1, 2025;
3. The compensation for the Fiscal Year 2025-2026 extension is $208,875, includes $163,875 for economic development services and $45,000 to support regional economic development services;
4. The contract including this amendment, will not exceed $208,875; and
5. Detailed billings not to exceed an average quarterly amount of $52,219, will be provided to the City for the term of this contract extension;
6. The Chamber will provide a monthly economic impact report detailing all activities and the results of our economic development initiatives. The city will provide payment for economic development services in August 2025 for the amount of $126,937.50 and in January 2026 for the amount of $81,937.50; and
7. All other terms of the Agreement remain unchanged.
IN WITNESS WHEREOF, this Agreement is executed by the parties on the date first written above.
