NDMENT NO. ONE TO CENTRALSQUARE SOLUTIONS
AGREEMENT
Amendment No. One to CentralSquare Solutions Agreement (the "Amendment") as of this date (“Effective Date”), between City of Santa Maria, CA (“Customer”) and CentralSquare Technologies, LLC (“CentralSquare”) together with Customer, the "Parties", and each, a "Party".
WHEREAS, the Parties have entered into CentralSquare Solutions Agreement, dated November 30, 2021( the "Agreement"); and
WHEREAS, the Parties hereto desire to amend the Agreement to extend the term of Agreement for an additional one (1) year.
NOW, THEREFORE, in consideration of the foregoing and other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the Parties agree as follows:
1. Definitions. Capitalized terms used and not defined in this Amendment have the respective meanings assigned to them in the Existing Agreement.
2. Amendment to the Agreement. As of the Effective Date (defined above), the Agreement is hereby amended or modified as follows:
(a) Pursuant to Section 2.2, Renewal Term, the Parties desire to extend the Agreement for an additional one (1) year with a revised expiration date October 12, 2026.
Subsequent renewals will automatically occur annually for 4 additional years unless the Agreement is terminated with written notice ninety (90) days prior to the renewal date.
3. Fees. Attached hereto as Exhibit A, Q-223848 and Q-228391, are the associated fees for the annual renewal for software subscription and support services.
4. The execution of this Amendment by the individual whose signature is set forth at the end of this Amendment on behalf of each Party, and the delivery of this Amendment by each Party, have been duly authorized by all necessary action on the part of such Party.
5. This Amendment may be executed in counterparts, each of which is deemed original, but all of which constitute one and the same agreement. Delivery of an executed counterpart of this Amendment electronically shall be effective as delivery of an original executed counterpart of this Amendment.
6. This Amendment constitutes the sole and entire agreement between the Parties with respect to the subject matter contained herein, and supersedes all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, with respect to such subject matter.
