RESOLUTION NO.

A RESOLUTION OF THE CITY COUNCIL OF THE

CITY OF SANTA MARIA, CALIFORNIA,

AUTHORIZING EXECUTION OF THE FINAL PAYMENT AND

REAFFIRMATION TO NEW FLYER AND GILLIG FOR THE

PURCHASE OF ELECTRIC BUSES PROCURED UNDER THE

STATE OF CALIFORNIA AND STATE OF WASHINGTON

ELECTRIC BUS CONSORTIUM CONTRACTS THAT WERE

ACTIVE AT THE TIME OF THE ORIGINAL ORDERS

WHEREAS, the California Air Resources Board adopted the Innovative Clean Transit (ICT) Rule, requiring all public transit agencies in California to transition to a 100% zero-emission bus (ZEB) fleet by 2040; and

WHEREAS, in compliance with the ICT requirements, the City Council of the City of Santa Maria adopted the Santa Maria ICT Rollout Plan on May 16, 2023, which outlines the methods for the City’s Transit Division to fully transition to a ZEB fleet; and

WHEREAS, in good faith and in accordance with the adopted ICT plan and the City's 2018 Purchasing Policy, the Transit Division ordered electric buses from New Flyer, Proterra, and Gillig using valid and active cooperative purchasing contracts with the State of California Department of General Services (DGS) and the State of Washington; and

WHEREAS, the electric buses have been delivered, but final payment has been delayed due to subsequent tec hnicalities, changes in the City's Financial Policies, and the expiration of the aforementioned DGS contract, creating a procedural ambiguity regarding the City Manager's delegated authority to process the final payment; and

WHEREAS, this matter is being brought to the City Council to ensure that the City can legally and lawfully issue the final payment for the electric buses and honor its financial obligations to the vendors, thereby insulating the City from potential scrutiny.

NOW, THEREFORE, IT IS HEREBY RESOLVED by the City Council of the City of Santa Maria, California, as follows:

SECTION 1. The City Council hereby ratifies and confirms the purchases of the electric buses from New Flyer and Gillig, Inc. made by the City’s Transit Division using the cooperative purchasing contracts issued by the State of California Department of General Services (DGS) and the State of Washington; and
