Attachment B
AMENDMENT NO. 6 TO THE TRANSIT OPERATIONS AND MAINTENANCE

AGREEMENT

This Amendment No. 6 to the Transit Operations and Maintenance Agreement is made on April 7, 2026, by and between RATP Dev USA, a California Corporation (“Contractor”), and the City of Santa Maria, a California Municipal Corporation and charter city (“City”), in Santa Maria, California, based on the following recitals:

1. WHEREAS, the City and Contractor entered into an agreement in 2018 for public transit operations and maintenance known as Santa Maria Regional Transit (SMRT); and

2. WHEREAS, the original agreement included a four-year base term with five optional one-year extensions, of which the City has exercised three to date; and

3. WHEREAS, the City desires to exercise the remaining two optional extensions to ensure the continued delivery of reliable transit services through June 30, 2028; and

4. WHEREAS, this Amendment addresses a 5.5% increase from the current contract to cover driver wage augmentations of up to 17% to maintain regional parity and prevent labor instability; and

5. WHEREAS, the Amendment accounts for system growth, including the addition of two new routes and two "extra-board" drivers to maintain on-time performance.

NOW, THEREFORE, IT IS AGREED:

1. Extension of Term: The contract term is hereby extended for two years, effective through June 30, 2028.

2. Compensation: The City shall compensate the Contractor at the negotiated rates and budgeted amounts specified in the cost proposal (Exhibit A). The Total Service Costs (Fixed + Variable + Maintenance) for the extension period are established as follows:
 Fiscal Year 2026-27: $7,982,578.96.
 Fiscal Year 2027-28: $8,401,318.94.

3. Extra-Board Staffing: To ensure service reliability and maintain on-time performance, the Contractor is authorized to employ and shall be compensated for two (2) “extra-board” drivers. These positions are specifically included in the approved cost proposal to provide necessary coverage for driver absences.

4. Service Enhancements: This contract amendment leaves room for the potential implementation of two (2) additional routes over the next two years as outlined in the Council Agenda Report and supported by the project costs in Exhibit A.

5. All other terms of the Agreement remain unchanged.
