AMENDMENT NO. 1 TO AGREEMENT FOR PROFESSIONAL SERVICES
This Amendment No. 1 to Agreement for Professional Services with Wallace Group dated July 5, 2022 for the design of the Santa Maria Sports Complex Project is made on, by and between Wallace Group, a California Corporation (“Contractor”) and the City of Santa Maria, a California Municipal Corporation and charter city (“City”), in Santa Maria, California, based on the following recitals:
1. Whereas a Professional Services Agreement between the City of S anta Maria and Wallace Group was signed on July 5, 2022 , for design related to the Santa Maria Sports Complex Project; and
2. Whereas the base contract outlined the scope of services from conceptual design through 90% design towards applications for grant funding; and
3. Whereas grant funding was awarded to the City of Santa Maria for the Santa Maria Sports Complex Project; and
4. Whereas the design scope of work for the Santa Maria Sports Complex Project expanded to cover 100% bid documents, 100% construction documents, landscape architectural and engineering services during construction, and design of an on-site well for irrigation; and
5. Whereas Wallace Group is qualified, willing, and able to perform this work in accordance with the scope and terms of their contract; and
6. Whereas the City of Santa Maria and Wallace group now wish to amend the 2022 agreement; and
7. Whereas the City of Santa Maria City Council wishes to ratify CA#1-10; and
8. Whereas Wallace Group has provided pricing under CA#1, CA#2, CA#3, CA#4, CA#5, CA#6, CA#7, CA#8, CA#9, and CA#10 as outlined in “Exhibit B”; and
9. Whereas the City of Santa Maria desires a $70,000 design contingency within the not -to- exceed amount to be utilized as necessary in the discretion of the City Manager through the remainder of the project for services included in Exhibit A.
NOW, THEREFORE, IT IS AGREED:
1. The above recitals are true; and
2. Wallace Group shall supply all services to effectively perform the scope of services outlined herein and further described in “Exhibit A ” with a total amendment amount of $518,467 , bringing the total Not-to-Exceed contract amount to $772,940; and
3. The City of Santa Maria agrees to pay Wallace Group in accordance with the ori ginal agreement dated July 5, 2022; and
4. The City Manager or their designer is authorized to execute the amendment; and
5. All other terms of the Agreement remain unchanged.
IN WITNESS WHEREOF, this agreement is executed by the parties on the date first written above.
