DONATION AGREEMENT
This Donation Agreement ("Agreement"} is made and entered into this 4th day of September, 2025, by and between John and Nina Baldwin ("Granter"}, and City of Santa Maria, a California Municipal Corporation ("Grantee"}.
1. DONATION
Granter, being the lawful owner and creator of the artwork ("Artwork"}, hereby agrees to donate the Artwork piece to Grantee without financial compensation. The pieces are further described as Salvador Dali Destine paintings, documentation attached hereto as Attachment A.
2. ACCEPTANCE
Grantee acknowledges receipt of the donated item and accepts it as a gift for preservation, display, or other purposes as determined by Grantee.
3. CONDITION OF ARTWORK
Granter represents and warrants that:
a. The original artwork is owned by Granter.
b. The ship is in good condition and suitable for public exhibition. c. There are no liens, encumbrances, or claims against the Artwork.
4. USAGE RIGHTS & DISPLAY
Grantee shall have the full right to display, store, and manage the artwork as it sees fit, including but not limited to showcasing it in public spaces, exhibitions, or other locations.
5. LIABILITY
Upon transfer, Granter shall no longer hold responsibility for any damage, loss, or alteration of the Artwork. Grantee assumes all risks associated with storage, maintenance, and exhibition of the donated Artwork.
6. TAX DONATION
To the greatest extent possible, the Grantee accepts the artwork, valued at Thirty Four Thousand Dollars ($34,000.00}, as a donation to the public, for the public good and to enhance the community of Santa Maria. The Grantee hereby provides this written proof of donation for Grantor's tax deduction. No goods or services are provided by the City in return 1 --

7. GOVERNING LAW
This Agreement shall be governed and construed under the laws of the State of California.
