AMENDMENT NO. 3
AGREEMENT FOR PROFESSIONAL SERVICES
HYDRAULIC MODEL UPDATES
This Amendment No. 3 to Agreement for Professional Services is made and entered into as of December 31, 202 5, by and between Water Systems Consulting, Inc. , a California corporation (“Contractor”), and the City of Santa Maria, a California Municipal Corporation and charter city (“City”), in Santa Maria, California, based on the following recitals:
WHEREAS, on June 26, 2023, the City and the Contractor entered into an Agreement for Professional Services concerning Hydraulic Model Updates (the “Project”) (the “Agreement”) with a term date of June 30, 2024; and
WHEREAS, on June 30, 2024, the City and the Contractor entered into an amendment to extend the term of the Agreement to June 30, 2025 (“Amendment No. 1”); and
WHEREAS, on February 24, 2025, the City and the Contractor entered into an amendment to memorialize additional work requested by the City, authorize additional work related to modeling, increase the Project budget accordingly , and extend the term of the Agreement to December 31, 2025 (“Amendment No. 2”); and
WHEREAS, the City now wishes to authorize an extension to the term of the Agreement to allow sufficient time to complete the Project, with no change in Project budget; and
WHEREAS, the City continues to not have available employees to perform the specialized services for the Project; and
WHEREAS, the Contractor remains registered or licensed in California to perform professional and technical services for the Project; and
WHEREAS, the Contractor remains qualified, willing, and able to perform the work required by the City to complete the Project, as an amendment to the Agreement referenced above.
NOW, THEREFORE, IT IS AGREED:
1. Recitals true. The above recitals are true.
2. Amendments.
2.01 Term and Termination. The term of this Agreement is hereby extended to 11:59 p.m. on December 31, 2026, or upon completion of the Project as determined by the City, whichever date occurs first.
2. Other terms and conditions remain the same.
All other terms and conditions of the original Agreement dated June 26, 2023, as modified by Amendment No. 1 dated June 30, 2024, Amendment No. 2 dated February 24, 2025, and this Amendment No. 3 dated December 31, 2025, remain the same.
