Description:
The City Council will consider adopting a Resolution approving Amendment No. 1 to the Agreement with Moore & Associates, Inc. for Transit Marketing, Communications, an d Outreach services to revise the Scope of Work and confirm the contract term through Fiscal Year 2028-29.
Environmental Notice: The activity is not a “Project” as defined under Section 15378 of the California Environmental Quality Act State Guidelines; therefore, pursuant to State Guidelines Section 15060(c)(3) no environmental review is required.
RECOMMENDATION:
1. Adopt a Resolution approving Amendment No. 1 to the Agreement with Moore & Associates, Inc. for Transit Marketing, Communications, and Outreach Services for Santa Maria Regional Transit, approving revision to Scope of Work and confirming contract term through Fiscal Year 2028-29; and
2. Authorize the City Manager , or designee , to e xecute Amendment No. 1 to agreement.
BACKGROUND:
Following a competitive Request for Proposals (RFP) process conducted in 2018 -19; Santa maria regional Transit (SMRT) entered into a Professional Services Agreement (Agreement) for Transit Marketing Se rvices with Moore & Associates, Inc., executed on March 20, 2019. Moore & Associates is a public transit –focused marketing and communications firm that has since provided SMRT with a comprehensive range of services, including graphic design and branding, multilingual community outreach, digital strategy, system information materials (such as Passenger Ride Guides and route maps), public relations, and market research.
The Agreement includes a Maximum Obligation schedule in Section 4 that extends through Fiscal Year 2028/29 at an annual maximum of $115,000. However, Section 3 of the Agreement contains boilerplate language referencing an eighteen -month completion 2 period, a clerical error resulting from the use of a standard contract template. This language conflicts with the clearly stated multi -year fiscal schedule and the long -term nature of transit marketing services.
Because the original Agreement has already been exe cuted and is part of the City's official records, a formal amendment is required to correct the inconsistency. In addition, the Transit Division has updated the Scope of Work to reflect the full range of services currently provided by Moore & Associates an d to ensure alignment with current industry standards and community needs.
DISCUSSION:
Amendment No. 1 accomplishes two things:
Correction of Contract Term
Section 3 of the original Agreement contains a reference to an eighteen-month completion period t hat conflicts with the multi -year Maximum Obligation schedule in Section 4.
Amendment No. 1 deletes and replaces Section 3 in its entirety, confirming that the Agreement shall remain in full force and effect through the end of Fiscal Year 2028/29, consistent with the parties' original intent. All prior references to an eighteen-month period are rendered null and void.
Revision to Scope of Work
The Revised Scope of Work, dated April 2026, updates and replaces the original Scope of Work to reflect the full range of services currently delivered by Moore & Associates.
Key service areas include:
Multilingual Outreach: Bilingual staffing for community events and development of accessible, culturally responsive materials.
Digital Strategy and Analytics: Social m edia management, website optimization, and performance tracking via analytics.
System Information Materials: Maintenance of Ride Guides, route maps, service change notices, and real-time rider alerts.
Public Relations and Crisis Communications: Media relat ions, rapid response strategies, and stakeholder communications.
Market Research: Statistically valid surveys and data -driven reporting to support planning and outreach decisions.
As-Needed Transit Planning: Operational analyses, Short-Range and Long-Range Transit Plan support, and grant preparation assistance.
All other terms and conditions of the original Agreement remain unchanged.
Alternative(s)
The City Council may choose not to adopt Amendment No. 1. This would leave the Agreement's conflicting time period language unresolved and would require the Transit Division to seek a new procurement for marketing and outreach services. This alternative is not recommended, as established workflows and production schedules, including 3 timely printing and distribution of Passenger Ride Guides, are currently in place and would be disrupted.
Fiscal Considerations
Amendment No. 1 does not increase the City's financial obligation under the Agreement.
The maximum annual compensation remains $115,000 per fiscal year, co nsistent with the original Agreement. Funding for these services is included in the Transit Division's annual operating budget and no additional appropriation is required.
Impact on the Community
This amendment is administrative in nature and will not res ult in any adverse impact to the community. Approval will ensure continuity of transit marketing, communications, and rider information services provided to Santa Maria Regional Transit customers
