FIRST MODIFICATION OF AGREEMENT NO. 9509 (CCS)
This First Modification of Agreement Number 9509 (CCS) ("First Modification"), entered into as of Avgi.._ll\5-t_ 27 __ , 2014, by and between the City of Santa Monica, a municipal corporation ("City"), and Accela Inc. is made with reference to the following:
RECITALS
A. On or about February 14, 2012, the City and Accela Inc. entered into Agreement Number 9509 (CCS) for a purchase of the web based land management system used by the City of Santa Monica's Planning and Community Development Department, Public Works Department, and Fire Department.
B. The City and Accela Inc. desire to modify the Original Agreement to include additional services to be performed by Accela Inc. and to increase the contract price to pay for those additional services.
TERMS AND CONDITIONS
Now, therefore, the undersigned parties do hereby mutually agree to modify the Original Agreement as follows:
1. Section 4 of the Original Agreement entitled "Installation and Configuration of the System; Software Services" shall be modified by adding the following paragraph:
F. Additional Services. Accela Inc. will perform all of the additional services ("Project Change Descript/Task Summary") described in Exhibit 6. Accela Inc. will complete the Additional Services in accordance with Exhibit 6.
2. The first paragraph of the Section 6 of the Original Agreement entitled "License Fees and Support Services Fees" shall be modified to the following paragraph:
City shall pay to Vendor an amount up to $367,169.20 as specified in Exhibits 3 and 5 and incorporated by reference. This price includes software, services, and travel-related expenses.
3. Section 6 of the Original Agreement entitled "License Fees and Support Services Fees" shall be modified by adding the following paragraph:
D. Additional Services. The City will compensate Accela Inc. for the Additional Services in an amount not to exceed $21,000.00, as set forth in Exhibit 6.
