OAKS INITIATIVE NOTICE

NOTICE TO APPLICANTS, BIDDERS, PROPOSERS

AND OTHERS SEEKING DISCRETIONARY PERMITS, CONTRACTS,

OR OTHER BENEFITS FROM THE CITY OF SANTA MONICA
Santa Monica's voters adopted a City Charter amendment commonly known as the Oaks Initiative. The Oaks Initiative requires the City to provide this notice and information about the Initiative's requirements. You may obtain a full copy of the Initiative's text from the City Clerk.

This information is required by City Charter Article XXII—Taxpayer Protection. It prohibits a public official from receiving, and a person or entity from conferring, specified personal benefits or campaign advantages from a person or entity after the official votes, or otherwise takes official action, to award a "public benefit" to that person or entity. The prohibition applies within and outside of the geographical boundaries of Santa Monica.

All persons or entities applying or receiving public benefits from the City of Santa Monica shall provide the names of trustees, directors, partners, and officers, and names of persons with more than a 10% equity, participation or revenue interest. An exception exists for persons serving in those capacities as volunteers, without compensation, for organizations exempt from income taxes under Section 501(c)(3), (4), or (6), of the Internal Revenue Code. However, this exception does not apply if the organization is a political committee or controls political committees. Examples of a "public benefit" include public contracts to provide goods or services worth more than $25,000 or a land use approval worth more than $25,000 over a 12-month period.

In order to facilitate compliance with the requirements of the Oaks Initiative, the City compiles and maintains certain information. That information includes the name of any person or persons who is seeking a "public benefit." If the "public benefit" is sought by an entity, rather than an individual person, the information includes the name of every person who is: (a) trustee, (b) director, (c) partner, (d) officer, or has (e) more than a ten percent interest in the entity. Therefore, if you are seeking a "public benefit" covered by the Oaks Initiative, you must supply that information on the Oaks Initiative Disclosure Form. This information must be updated and supplied every 12 months.

Failure to Maintain Insurance Coverage
If Consultant, for any reason, fails to maintain insurance coverage which is required pursuant to this Agreement, the same shall be deemed a material breach of contract. The City of Santa Monica, at its sole option, may terminate this Agreement and obtain damages from the Consultant resulting from said breach. Alternatively, the City of Santa Monica may purchase such coverage (but has no special obligation to do so), and without further notice to the Consultant, the City may deduct from sums due to the Consultant any premium costs advanced by the City for such insurance.

City of Santa Monica

MAJOR PROJECT TASKS
As described in your RFP, you are looking for five tasks to be completed. Each of these tasks is described below.
5 SYSTEM TASKS
Task 1: System Evaluation and SCADA Master Plan
The City of Santa Monica is looking for consulting services to improve their drinking water and wastewater infrastructure. This includes updating, enhancing, or replacing the existing Wonderware InTouch SCADA system and bring field data into a central SCADA system. There is a balance between what to keep and what to upgrade. We are always looking out for the overall budget and work diligently at staying within those guidelines.

What we will do: Vertech evaluate the City of Santa Monica Water/Wastewater facilities to determine a best path forward. We will survey any communications equipment and paths, control panels with PLCs and OITs, SCADA hardware including servers and workstations, and current software packages and licensing to determine viability of all components of your current system. Vertech will work with the City to determine a path forward through evaluations and meetings and provide a SCADA Master Plan.

Task 2: SCADA Programming
You have three water facilities plus multiple wells, reservoirs, pressure relief valves and pumping stations in your system from which you are not seeing data at your central SCADA system. Bringing this data into a central system will allow you to control your system, be more pro-active in system maintenance and upkeep as well as improve system performance. This data needs to be captured so that operators can be on top of the day-to-day requirements of a large system to keep it functioning at its peak performance, saving you and your customers money.

What we will do: This proposal will cover the migration of InTouch application and Historical data from the existing facility structures into the central monitoring and control system defined in the SCADA Master Plan.

Current screens will be recreated and programmed in the new HMI utilizing the new SCADA Standards developed in the SCADA Master Plan.

Task 3: Integrate the Sustainable Water Infrastructure Project (SWIP) facilities into the SCADA System
Currently you cannot see the information from the SWIP facilities at your central SCADA site. This all ties into a functioning, set-ahead system that can be controlled and maintained. This data is important and needs to be seen and evaluated.

What we will do: Vertech will analyze the information provided by the City to determine how this system can be improved. Through discussions with you, we will program additions to the SCADA software to create SCADA screens including required animation, control, alarms and data logging to increase the production and storage of recycled water and recharging aquifers. Based on the determined requirements from the site assessment, Vertech will migrate the required data from the Sustainable Water Infrastructure Project facilities into your central SCADA system.

Task 4: Provide oversight and become the City's Advocate The City needs someone they can trust to watch over the integration of third party of storm water storage tanks required by the Clean Beaches Initiative (CBI). The Wonderware InTouch SCADA application will be updated by a third party with new data related to these new tanks and it needs to be consistent with the rest of the system and enhancements occurring elsewhere.

What we will do: Our team will be very familiar with every aspect of your SCADA system and have a complete understanding of your needs with this upgrade. We will work with you and any third-party OEM to ensure that your SCADA system remains consistent throughout this upgrade. This includes implementation of all SCADA programming, control functions, alarms, data logging and system testing. This proposal covers oversight of the City's chosen OEM for this endeavor. Vertech will guide the OEM to ensure consistency throughout the SCADA project including any third-party programming.

Task 5: On-Call Professional Services and Support
The City needs on-call support for their SCADA system. You need an expert who knows your system and who you can depend on when things go awry or need to be tweaked for better performance.

What we will do: Vertech will provide the City with on-call services for 5 years to keep your systems working as flawlessly as possible. Our integrators are professionals and they will walk with you through the entire upgrade project as well as be there after the system has been running. Vertech has included a pool of 1600 hours that can be used over the five-year period based on your requirements. When you have used up 70% of these hours, we will let you know so that the contract can be modified with more hours if required.

SCADA MASTER PLAN PART I
Vertech has performed many SCADA Master Plan's for entities in Southern California. We've learned from our previous work and we hope that our experiences will be passed on to you. Below details what the SCADA Master Plan entails, possible schedule, and deliverables.

PROJECT KICK-OFF & SITE EVALUATIONS
At Vertech, we believe that good communication with the client has always been a key to our success. It is our belief that the project should begin with a significant amount of up-front system level design and documentation. We have found that the up-front effort pays off with LET'S reduced time required during the coding of the specific functions of the system. With TALK. this goal in mind, Vertech will coordinate with the City to schedule a Project Kick-off meeting after the Notice to Proceed is received. At this meeting, discussions will lead to the finalized description and requirements of the project. A detailed schedule with achievable milestones will also be created so that you will know what to expect and when. The following systems will be documented and evaluated:

1. Wastewater Systems

2. Water Systems

3. SCADA Network

4. SCADA Infrastructure

PROJECT MANAGEMENT PLAN
Vertech and our team members have been managing SCADA engineering projects for over 13 years. We follow the standards set by the CSIA when controlling large scale projects. We believe that SCADA and control systems are a critical asset for any District and must be planned, designed, implemented, and maintained accordingly. We employ a standard approach for all projects, and it has proven very effective.

Our proven approach is based on these core principles:
• Plan the project. All our programs or projects begin with a plan, which includes the scope, budget, schedule, and resource allocations to meet your goals.
• Set requirements to guide technical execution. A clear and comprehensive set of requirements to establish criteria for evaluating the project is developed. • Standardize for programming and operational consistency. Modern SCADA systems are large and complex. Successful deployment requires everything to be done right, including hardware design, communications network architecture and data protocols, programming logic, SCADA integration, automation, and ultimately operational optimization. We believe that establishing and enforcing standards for these elements is a vital part of effectively deploying new technologies. Vertech has built a comprehensive library of standards, and can successfully customize them to your specific operating environment.
• Plan the cutover. Cutover is that critical moment when the switch is made from the old system to the new, and it must be done right. Maintaining plant operations during and after cutover is critical.

Vertech has the people with the experience and expertise to make your cutover a success. • Use phased sequencing throughout production. Often when you develop and commission a control system, it impacts multiple facilities and processes. We recommend performing the necessary sequence of events (procurement, staging, programming, factory testing, installation, field testing and commissioning) in logical "phases" of manageable size reducing risk and impact on your operations.

We've provided a sample "Project Management Plan" internal document for your reference in Appendix A.

The Project Manager is responsible for maintaining this document and updating you on its details. This is also the document used to track deliverables, their due dates, and who is responsible.

The project manager will update you on a bi-weekly basis, or more frequently if issues arise. A preliminary schedule of work can be found in Appendix B. The project manager will update you on the schedule should any significant changes come to pass. This sample details the foreseeable meetings and workshops to be held, though that is subject to change.
