FIRST MODIFICATION OF AGREEMENT NO. 10257 (CCS)
This First Modification of Agreement Number 10257 (CCS) ("First Modification", entered into as of ine 4 _ 2018, by and between the City of Santa Monica, a municipal corporation ("City"), and GovernmentJobs.com dba NEOGOV (NEOGOV) is made with reference to the following:
RECITALS
A. On or about May 12, 2016, the City and NEOGOV entered into Agreement Number 10257 (CCS) for job applicant tracking software services ("Original Agree- ment").
B. The City and NEOGOV desire to modify the Original Agreement to extend the contract term; and to increase the contract value.
TERMS AND CONDITIONS
Now, therefore, the undersigned parties do hereby mutually agree to modify the Origi- nal Agreement as follows:
1. Section 1 of the Original Agreement entitled "Term" shall be deleted in its entirety and replaced with the following paragraph:
Term. This Agreement begins on the Execution Date and terminates on May 12, 2019, unless terminated earlier as set forth in the Original Agreement or extended by the parties in writing.
2. Section 4 of the Original Agreement entitled "Compensation" shall be deleted in its entirety and replaced with the following paragraph:
Compensation. The City will compensate NEOGOV for the Services performed in an amount not to exceed $53,640 for the term of this Contract in accordance with the Budget attached as Exhibit B-1. 1 August 2017
3. Exhibit B to the Original Agreement is deleted and replaced with Exhibit B-1 attached to this First Modification. Any references in the Original Agree- ment to Exhibit B shall instead refer to Exhibit B-1.
4. Except as expressly modified by this First Modification, all other terms and conditions of the Original Agreement shall be and remain in full force and ef- fect.
