Other Breach. Any breach of the Contract or any provision of the other Contract Documents.

11.2.4 Disbursement of Withheld Amounts.

Losses by City.

City, in its reasonable discretion, after providing the notice to Contractor required by Part .2 of this Section 11.2.4, may apply any withheld amount to the payment of any Loss that is the cause of a withholding of funds. Design/Builder agrees and hereby designates City as its agent for such purposes, and any payment so made by City shall be considered as a payment made under the Contract by City to Design/Builder. City shall not be liable to Design/Builder for any such payment made in good faith and following reasonable investigation. Payments may be made without a prior judicial determination of City's actual rights with respect to such Loss. City shall render to Design/Builder an accounting of any funds disbursed on behalf of Design/Builder.
.2 Notice of Grounds.

Prior to applying such amounts as stated herein above, City shall afford Design/Builder an opportunity to present good cause, if any, why the Loss in issue is not a valid or just basis for withholding against Design/Builder.

Continuous Performance.

Provided City pays the undisputed portion, if any, of funds withheld in good faith, Design/Builder shall maintain continuous and uninterrupted performance of the Work during the pendency of any disputes or disagreements with City over withholding of disputed funds.

11.2.5 Correction of Statement and Withholding of Payment. No

inaccuracy or error in any Application for Payment provided by Design/Builder shall operate to release Design/Builder from the error, or from damages arising from the Work, or from any obligation imposed by the Contract Documents. City retains the right to subsequently correct any error made in any previously Approved Application for Payment, or progress payment issued, by adjustments to subsequent payments.

11.2.6 Deposits in Lieu of Withholding.

Substitution of Securities.

At the request and expense of Design/Builder, a substitution of securities may be made as found in Government Code
Section 16430 and as authorized by the Public Contract Code Section 22300 in lieu of monies retained by City to ensure performance under the Contract Documents. Securities equivalent in value to the retention amount required by the Contract Documents for each Application for Payment shall be deposited by
Design/Builder with a state or federally chartered bank in the State of California ("Escrow Agent"), which shall hold such securities pursuant to the escrow agreement until Final Payment is due in accordance with the Contract Documents. Securities shall be valued as often as conditions of the securities market warrant, but in no case less than once per month. Design/Builder shall deposit additional securities so that the current market value of the total of all deposited securities shall be at least equal to the total required amount of retention.
.2 Escrow Deposit.

Alternatively, to Section 11.2.6.1 above, and at the request and expense of Design/Builder, City shall deposit retention directly with Escrow Agent. Design/Builder may direct the investment of such deposited retention into interest bearing accounts or securities, and such deposits or securities shall be held by Escrow Agent upon the same terms provided for securities deposited by Design/Builder. .3 Escrow Agreement.

A prerequisite to the substitution of securities in lieu of retention or the deposit of retention into escrow shall be the execution by Design/Builder, City and Escrow Agent of an Escrow Contract for Deposit of Securities in Lieu of Retention and Deposit of Retention form provided by City. The terms of such escrow agreement are incorporated into the requirements of Section 11.2.6 of the Contract.

11.2.7 Effect of Progress Payments.

Withholding.

Neither the payment, the withholding nor the retention of all or any portion of any progress payment claimed to be due and owing to Design/Builder shall operate in any way to relieve Design/Builder from its obligations under the Contract Documents. Design/Builder shall continue diligently to prosecute the Work without reference to the payment, withholding or retention of any progress payment. City shall pay all sums that are due and owing and not in dispute. The partial payment, withholding or retention by City in good faith of any disputed portion of a progress payment, whether ultimately determined to be correctly or incorrectly asserted, shall not constitute a breach by City of the Contract and shall not be grounds for an adjustment of the Contract Price or Contract Time.
.2 Payments by Design/Builder.

Design/Builder shall not include in its Applications for Payment sums on account of any Subcontractor's or Design Professional's portion of the Work that it does not intend to pay to such Subcontractor or Design Professional. Upon receipt of payment from City, Design/Builder shall pay the Subcontractor or Design Professional performing Work on the Project, out of the amount paid to Design/Builder on account of such Subcontractor's or Design Professional's Work, the amount to which said Subcontractor or Design Professional is entitled in accordance with the terms of its contract. • A withholding by City pursuant to the Agreement and General Condition and that is consistent with Applicable Law shall not relieve Design/Builder of its obligation to promptly satisfy, from its own funds if necessary, sums due to Subcontractors and Design Professionals who have properly performed Work that is included in Design/Builder's Application for Payment. Design/Builder shall, by appropriate agreement with each Subcontractor or Design Professional, require each Subcontractor or Design Professional to make payments to its subcontractors and suppliers in similar nanner. City shall have no obligation to pay or be responsible in any way for payment to a Subcontractor or Design Professional of Design/Builder.

No Acceptance.

No progress payment or partial or entire use or occupancy of the Project by City shall constitute an Approval or Acceptance of Work not in accordance with the Contract Documents.
.4 Warranty.

At City's sole discretion, after the overall Work is fifty percent (50%) completed, City may release the retention held on a particular Subcontractor's portion of the Work. Such release, if Approved by City, shall be made within sixty (60) Days following receipt of Design/Builder's certification that said Subcontractor's portion of the Work has been completed in accordance with the terms of the Contract Documents.

4.2 of the General Conditions prior to or at the time of Design/Builder's submission to City of its Application for Final Payment.

11.3.4 Delay in Certificate of Occupancy. If Design/Builder has satisfied all of the requirements of the Contract Documents pertaining to Substantial and Final Completion of the Work, save and except for obtaining the issuance of a certificate of occupancy, then the City's obligation to make payment upon an Application for Final Payment that has been properly prepared and submitted in accordance with the Contract Documents shall not be excused or postponed because the City, acting in its regulatory capacity, has not, for reasons other than the negligence of Design/Builder or its Subcontractors or Design Professionals or the failure of Design/Builder to comply with the Contract Documents, failed to issue a certificate of occupancy for the Project.
