SEVENTH MODIFICATION OF AGREEMENT NUMBER 8153 (CCS)

Jure - 2009, by and between the City of Santa Monica ("City"), a municipal corporation, and Continental Automotive Systems US, Inc. ("Continental"), a Delaware corporation (collectively referred to as "the parties").
WHEREAS the City and Continental entered into Agreement Number 8153 (CCS) ("Original Agreement) on May 30, 2003, for an Advance Fleet Maintenance System.
WHEREAS the parties entered into a First Modification dated on or about June 1, 2004 ("First Modification) to authorize assignment of the Original Agreement from Siemens Transportation Systems to Siemens VDO Automotive Corporation.
WHEREAS the parties entered into a Second Modification dated on or about June 17, 2004 ("Second Modification") to increase the amount of compensation.
WHEREAS the parties entered into a Third Modification dated on or about March 21, 2005 ("Third Modification) to delete certain services and reduce the contract price.
WHEREAS the parties entered into a Fourth Modification dated March 2, 2006 ("Fourth Modification") to delete certain services and reduce the contract price.
WHEREAS the parties entered into a Fifth Modification dated August 11, 2006 ("Fifth Modification") to extend the term and amend the deliverables.
WHEREAS the parties entered into a Sixth Modification dated December 8, 2008 ("Sixth Modification) to memorialize the name change from Siemens VDO Automotive Corporation to Continental Automotive Systems US, Inc.
WHEREAS the Original Agreement, Second Modification, Third Modification, Fourth Modification, Fifth Modification and Sixth Modification are collectively referred to herein as "Agreement"; WHEREAS the City and Continental desire to modify the Agreement to further amend the contract to accurately reflect the agreement of the parties;
NOW THEREFORE, in consideration of the mutual promises herein, the parties agree as follows:
AGREEMENT
A. The contract end date of the Agreement shall be extended to June 30, 2009, exclusive of warranty and maintenance. A copy of the Project Schedule is attached hereto as Exhibit "A" and incorporated herein by this reference. The parties agree this Project Schedule is predicated upon Continental, City of Santa Monica and Big Blue Bus allocating the required resources, assets and facilities as needed and agreed in the attached Project Schedule by and between the parties. The parties acknowledge that any delay in providing the required resources, assets and facilities as referenced in the Project Schedule may cause additional delays to this Project Schedule; B. The parties' Agreement, Deliverables List and Compliance Matrices state Continental will provide Mobile Supervisor. Mobile Supervisor has since been upgraded to Mobile Dispatch. The parties agree the Agreement, Deliverables List and Compliance Matrices shall be amended such that all references to "Mobile Supervisor" are hereafter substituted with "Mobile Dispatch". The Deliverables List has been further modified to list all equipment required to facilitate this change. The City shall be responsible for any ongoing costs associated with this upgrade.
C. Pursuant to the December 29, 2006 Response to System Deployment Specifications, a copy of which is attached hereto as Exhibit "B" and incorporated herein by this reference, it is agreed by the Parties that: (i) the farebox interface functionality shall be delivered and tested during the warranty period, warranty period defined as one (1) year after Final System Acceptance, (i) if the farebox interface
functionality is not delivered and accepted within the one (1) year warranty period, warranty shall continue until such time as the farebox interface functionality is delivered and passes its Acceptance Test Procedure, and (iii) the delay in the delivery of the farebox interface functionality shall not delay or prohibit Final System Acceptance;
D. The Deliverables List reflecting all changes listed herein is attached hereto and incorporated herein as Exhibit "C". All prior Deliverables Lists are deleted and replaced by the attached Exhibit "C".
Changes to the Deliverables List include those named above and also include the following:
a. The delivery of TMDataMart software as provided on page 5 of Attachment C of this Seventh Modification and one (1) TDataMart server (HP Proliant DL380) as provided on page 5 of Attachment C of this Seventh Modification in exchange for deleting the following reports as detailed in RFP Addendum III dated 10-29-01, Section 7.1.3, Reports: Markup Sheet-Pick List, Bus Assignment Sheets, and Public Timetable with Map; b. The reduced number of mobile installations pursuant to the Fourth Modification to the Contract.
E. The parties agree that Continental shall add the performance of Vehicle Acceptance Testing on the fifty-two (52) New Flyer Industries vehicles received by the City from New Flyer Industries on or about April 30, 2005. The Vehicle Acceptance Test shall consist of the Vehicle Acceptance Test procedure previously agreed to and performed by the Parties for the testing of all the vehicles pursuant to Agreement Number 8153. The Parties expressly agree that the fifty-two (52) New Flyer Industries vehicles are outside the scope of Agreement Number 8153 and that the performance of the Vehicle Acceptance Test by Continental on said vehicles shall not be construed as incorporating these fifty- two (52) New Flyer Industries vehicles into Agreement Number 8153 for any purposes or benefits whatsoever including, but not limited to, warranty, maintenance, or materials used in repair of said vehicles. In exchange for performing the Vehicle Acceptance Testing described herein, Continental shall be released from the requirement to provide the interface to the Run Dash Route signs on all City/Big Blue Bus coaches.
F. The parties agree that Continental shall credit the City the sum of Seventy Dollars U.S. ($70.00) each to have the handset cords modified on the one hundred fifty eight (158) vehicles in this Agreement and Continental further agrees to credit the City the sum of Seventy Dollars U.S. ($70.00) each to have the handset cords modified on the fifty two (52) NFl vehicles listed in Paragraph E above, upon written permission from NFl for such modification. The Parties expressly agree that the fifty-two (52) New Flyer Industries vehicles are outside the scope of Agreement Number 8153 and that the used in repair of said vehicles. All of these vehicles currently have a four foot (4) long handset cord which the City desires to be shortened for safety reasons. The four foot (4) long handset cords shall be modified to a length that has yet to be determined by the City. In exchange for providing the City a credit for performing the handset cord modifications described herein, Continental shall be released from the requirement to provide the Street Index by Route Report as set forth in Section 7.1.3 of the Technical Specifications. The change in the total contract value is detailed in Paragraphs R and S of this Seventh Modification.

maximum amount of liquidated damages recoverable under this Contract ($97,500.00). With this settlement, the parties agree to delete the liquidated damages provision from Agreement Number 8153 at Section 7.12.2 and acknowledge that no liquidated damages are recoverable under Agreement Number 8153 from this date forward. This settlement will have no negative impact on either party with regard to their obligations under Agreement Number 8153. The change in the total contract value is detailed in Paragraphs R and S of this Seventh Modification.
H. The installation of six (6) TMOnStreet signs shall be removed from the Agreement. The Agreement shall now reflect installation of fourteen (14) TMOnStreet signs. The remaining six (6) TMOnStreet signs shall be spares. The change in the total contract value is detailed in Paragraphs R and S of this Seventh Modification.
The billing milestones shall be amended as shown in Paragraph K per the June 25, 2007 letter from Al Dave, attached hereto as Exhibit "D" and incorporated by this reference. And as shown in Attachment "D", the credit applied to Agreement 8153 pursuant to the Fourth Modification to Agreement Number 8153, dated March 2, 2006, and set forth as Billing Milestone 27.1, shall be applied to Billing Milestones 24, 25, 26, 27, 28, 29, and 29.1. The alteration of these Billing Milestones shall fulfill Continental's credit obligation as previously set forth in Billing Milestone 27.1. Further, pursuant to the June 25, 2007 letter from Al Dave, upon execution of this Amendment, (1) the City shall make full payment on Milestone 25 and fifty percent (50%) payment of Milestone 26; (2) the remaining fifty percent (50%) of Milestone 26 shall be made upon resolution of the NABI bus issues; (3) full payment of Milestone 24 shall be made upon resolution of the Thomas bus issues; (4) full payment of Milestone 27 shall be made upon resolution of the New Flyer issues; and (5) Milestones 29 and 29.1 shall be paid when the TransitMaster™ equipment is installed and functional in the remaining non-revenue vehicles. The issues to be resolved regarding Milestones 24, 27, and fifty percent (50%) of Milestone 26 are as set forth in Attachment E, Billing Milestone Completion Activities. The approval of the • Completion Activities shall not be unreasonably withheld.
J. The four (4) vehicle annunciation kits for the MCI buses shall be deleted. Therefore a total of one hundred fifty four (154) annunciation kits shall be provided and installed, exclusive of spares. The change in the total contract value is detailed in Paragraphs R and S of this Seventh Modification.
K. The four (4) Automatic Passenger Counter kits (APC) for the MCI buses shall be deleted. Therefore a total of one hundred fifty four (154) APC shall be provided and installed. The change in the total contract value is detailed in Paragraphs R and S of this Seventh Modification.
L. The three hundred (300) Vehicle Operator Quick Reference Decals shall be deleted. The change in the total contract value is detailed in Paragraphs R and S of this Seventh Modification.
M. The installation of the TransitMaster™ equipment for Vehicle Number 75 shall be deleted. and the TransitMaster equipment for Vehicle Number 75 shall be added to the spares pool. The change in the total contract value is detailed in Paragraphs R and S of this Seventh Modification.
N. There has been damage to the City's property as shown in the City's invoices numbered 2503A. The change in the total contract value is detailed in Paragraphs R and S of this Seventh Modification.
O. Regarding the deletion of the pricing for the GPRS modem upgrade, the change in the total contract value of -$785, is detailed in Paragraphs R and S of this Seventh Modification.
P. It is agreed by and between the parties that the Mini Fleet Test shall be incorporated into the Final System Acceptance Test.
Q. For clarification purposes only to the Deliverables List, the following changes are agreed:
I. The number of Adtran 8 port Ethernet routers/hubs shall total four (4); II. The number of IVR Gateway Server - Proliant DL 380R03 shall total one (1); Ill. Loquendo software shall be provided as part of the Ontira software suite; IV. The Ontira Hardware package shall also include a quantity of one (1) Mediaform 1000 IVR, which consists of four (4) fxo modules with a total of sixteen (16) ports; V. A quantity of one (1) survey tool kit shall be provided and installed; and VI. The number of Mobile supervisor installation kits and installation of those kits shall total six (6). Mobile supervisor installation kits consist of an IVLU, a laptop computer, mounting hardware, cables, and quantity of two (2) Motorola MCS 2000 radios.
R. Section 5.1 of the Original Agreement and Section 1 of the Second, Third, and Fourth Modifications of Agreement are hereby deleted and replaced with the following:
5.1 Total Contract Amount. City agrees to pay Vendor, and Vendor agrees to accept from City, the sum $5,901,248.25, which includes taxes and fees at the rate in effect as of the date of this Seventh Modification, for the System in the following amounts and in accordance with the following performance milestones set forth in Section 5.1.1 below.

The City of Santa Monica (City") has rovlewed Slemens VDO Corporation (Siemens" Jetter entitleci *System Deployment Specifications - Final Changes" dated December 8, 2006.
The City underslands that Siemens is not able to conduct the section of the Vehice Acceptance Test Procedure ("ATP*) related to the farebox interface at this time due to the interface functionality still being in development. It is also understood that this functionality will be delivered during the warranty period of the contract and that the City will remain in the warranty phase for a perlod of one year from Final System Acceptance or until such time as the functionality Is delivered.
Testing of the remalning sections of the Vehicle ATP can be undertaken at this time. Completion of the lesling of the farebox interface portion of the ATP will be accomplished once the functionality is delivered.
The ATP remalns the one outstanding appendix to the System Design Specification ("SDS") to be delivered. As this veraion of the ATP is acceptable to both the City and Slemens, thle version of the document will be incorporated into the SDS thereby completing the content of the SDS. The City will now conduct one further review of the SDS prior to accepting the submission.

TMRouteManager - RouteManager is a data collection and merge application used to create and modify vehicte route files.

Subject: Contract Billing Milestones
Dear Mr. Spinks,
The City of Santa Monica (City) has reviewed Siemens proposed modification to the payment amounts related to the vehicle installation milestones due to the credit owed the City as a result of change order #4.
The City finds the proposal, attached here as Exhibit A, acceptable. Please incorporate these changes into change order #6. Once the change order has been processed by both parties, the City will be in a position fo make payment on completed work.
Per our conversation of May 22, 2007, as part of the management meeting held at the Cily, the City will make full payment on milestone #26 and a 50% payment of milestone #26, Both milestones are titled "Vehicle Installation - 60." The City will make the remaining 50% payment for milestone #26 when issues related to the NABI buses are resolved. Similarly, full payment will be made on milestone #24 when issues related to the Thomas buses are resolved and milestone #27 for the 1987 New Flyer bus issues.
A follow up item from the management meeting was a review by the Project Managers of the deliverables and the associated quantities. While that review has been completed, the City has not received any information related to any adjustments that are to be made to the contract. In the event the City is owed a monetary credit, the City reserves the right to review the methodology for determining the amount and for deciding to which payment milestone the credit should be applied.
This information should be forwarded to the City as soon as possible so as to avoid delay in the processing of Change Order #6.
