EIGHTH MODIFICATION OF AGREEMENT NUMBER 8153 (CCS)
This Eighth Modification of Agreement Number 8153 (CCS) is made effective this Y7 sept. _, 2009, by and between the City of Santa Monica ("City"), a municipal corporation, and Continental Automotive Systems US, Inc. ("Continental"'), a Delaware corporation (collectively referred to as "the parties").

WHEREAS the parties entered into a Third Modification dated on or about March 21, 2005 ("Third Modification") to delete certain services and reduce the contract price.
WHEREAS the parties entered into a Fourth Modification dated March 2, 2006 ("Fourth Modification") to delete certain services and reduce the contract price.
WHEREAS the parties entered into a Fifth Modification dated August 11, 2006 ("Fifth Modification) to extend the term and amend the deliverables. to Continental Automotive Systems US, Inc.
("Seventh Modification") to extend the term and amend the deliverables.
WHEREAS the Original Agreement, Second Modification, Third Modification, Fourth Modification, Fifth Modification, Sixth Modification, and Seventh Modification are collectively referred to herein as "Agreement";
WHEREAS the City and Continental desire to modify the Agreement to further amend the contract to accurately reflect the agreement of the parties; NOW THEREFORE, in consideration of the mutual promises herein, the parties agree as follows:
AGREEMENT
A. The contract end date of the Agreement shall be extended to December 31, 2009, exclusive of warranty and maintenance.
B. Except as expressly set forth in this Eighth Modification, all other terms and conditions of the Original Agreement, First Modification, Second Modification, Third Modification, Fourth Modification, Fifth Modification, Sixth Modification, and Seventh Modification shall be and remain in full force and effect.
